continuing thereafter until interest and
principal are paid in full, the last pay
ment being due December 1, 1986.
Default has occurred in the payment
of the debt evidenced by said note and
secured by said deed by the non-pay
ment of the installments beginning with
one which fell due on April 1, 1963. The
total balance of said debt has, there
fore, been declared due and said deed
foreclosable according to the terms of
said Security Deed and the note which
it secures.
Said property will be sold to the high

Amend Section 7 of said charter by
striking Section 7 in its entirety and
substituting in lieu thereof a new Sec
tion 7 to read as follows:
The board of directors of the corpora
tion shall consist of the pastor and five
members of the board of trustees. The
length of the pastors term of office shall
be the will of the majority of the mem
bers of the church. The term of office
of directors or trustees shall be twelve
months and elected as provided by the
constitution and by-laws of said church
and corporation. Upon the death or
resignation of a member of the Board,
the trustees shall call a special meeting
for the election of his successor. A ma
jority vote of the members of the Board
shall be necessary for the election of
his successor. Should a member of the
Board of Trustees become disable or for
any reason cease to function and the
same continue for a period exceeding six
(6) months, then the remaining members
of the Board of Trustees shall have the
power to declare the office vacant and
call an election to elect a successor trus
tees in the manner provided above.

Section 9 to be amended by adding
a section to be known as 9A and to
read as follows:
At such time as The Victory Baptist
Church, Inc., ceases to operate as a
church or religious organization, then
at that time all assets of said church or
corporation shall revert to The World
Baptist Fellowship.

charter be amended as aforesaid stated,

to the Court:

— there has been established in
Clayton County, Georgia, a church
known as Unity Baptist Church.
That Petitioners and their associates
are members of said church and consti
tute the congregation thereof in which
is vested the government of said church.
That Petitioners, for themselves and
their associates, desire to be clothed
with corporate authority to enforce
good order, receive donations, make pur
chases and effect all alienations of realty
and personalty, not for the purpose of
trade and profit but for promoting the
general design and work of said church
and to look after the general interest
of the same.
That Petitioners desire the right to
contract and be contracted with, sue
and be sued, to have and use a common
seal, and exercise all corporate powers
that are usual and appropriate to in
corporated churches and like institu
tions.
That Petitioners further desire to have
the right to borrow money to be used
for the purpose of said church in con
structing or completing the construc
tion or repairing from time to time the
building or buildings of said church, and
for any other purpose that may be
strictly within the purposes and design
of said church; and petitioners desire to
have the right to execute in its corpo
rate name, by and through such offi
cers as it may thereunto duly authorize,
notes, bills, bonds, with or without
coupons, and other evidences of debt,
and to secure the payment of the same
by mortgage, deed of trust, security deed
or other instrument authorized to be
executed for such purposes under the
laws of said State.
The corporation shall have the power
and authority to accept gifts and con
tributions, whether made by will or
otherwise, in any form of property, pro
vided that the objects specified by the
testator or donor are within the objects
and purposes of the corporation. All
such gifts and contributions shall be de
voted to the objects and purposes and
in all respects administered according
to the provisions contained in said will
or other form of instrument making said
gift or donation, to the end that the
wishes and directions of the donor shall
in all respects be faithfully observed and
executed, provided, however, that the
corporation shall not accept any con
tribution which is to be held or used for
purposes other than for the promotion
of education, charity and religion.

Petitioners desire that upon the grant
ing and acceptance of the charter herein
applied for all of the property, both
real and personal, of the voluntary or
ganization heretofore existing known as
Unity Baptist Church, Clayton County,
Georgia, shall immediately vest in the
corporation to be created under the
order herein applied for, and shall there
after become the property of such cor
poration; that all of the rules and regu
lations of said organization shall im
mediately become the rules and regula
tions of the corporation and continue
to be such until changed by the con
gregation of said church; that all offi
cers of said organization in office at
the time of the acceptance of the char
ter herein applied for shall immediately
become the officers of said corporation
and continue to be such until their suc
cessors are chosen in accordance with
the rules and customs of the congrega
tion of said church.
Petitioners attach hereto a certificate
of the Secretary of State of the State
of Georgia certifying that the name of
UNITY BAPTIST CHURCH, INC. is not
the name of any other existing corpo
ration now registered in his office.
WHEREFORE, PETITIONERS PRAY
that they and their associates may be
incorporated under the corporate name
of UNITY BAPTIST CHURCH, INC. for
a period of thirty-five (35) years, pur
suant to the provisions of Section 22-1881
of the Georgia Code Annotated, with
the privilege of renewal thereafter in
conformity with law, and that said cor
poration shall have all the powers as
may be necessary and proper to carry
into effect the purposes of said corpora
tion and as are usual and customary to
be conferred upon corporations thus
created.

The foregoing petition read and con
sidered and it appearing that the same
is within the spirit and intention of
the laws authorizing the incorporation
of churches.
IT IS THEREFORE ORDERED that
the petitioners, their associates and suc
cessors be and they are hereby incor
porated and made a body politic under
the name and style of UNITY BAPTIST
, CHURCH, INC., with a corporate exist
ence to continue for thirty-five (35)
years from this date, the same being
, specially prayed in the foregoing peti
tion, with the privilege of renewal after
the expiration of that date.
IT IS FURTHER ORDERED that the
I corporation hereby created shall have
all of the powers set forth in said peti
tion, and shall also be vested with all
the powers, privileges and immunities
, usual to be conferred upon corporations
of the character hereby created, and all
such corporate powers as may be nec
essary and proper to carry into effect the
purposes of the organization hereby in

IT IS FURTHER ORDERED that upon
the acceptance of the charter hereby

church, all of the property, both real
and personal, of the voluntary organ
ization heretofore known as Unity Bap

hereby created, whether the same be
. in the name of said congregation or in
the name of the trustees for said con

IT IS FURTHER ORDERED that the
, rules and regulations of said voluntary
organization shall be the rules and regu
lations of the corporation hereby created
; until the same shall have been altered,
’ amended or repealed according to the
rules and customs of said church; and,
. IT IS FURTHER ORDERED that the
’ officers of said voluntary association

their successors are chosen in accordance

i hereinafter called petitioners, respect
r fully shows:
1.
Petitioners desire for themselves, their
associates and successors to be incorpo
rated under the name of “Burks Con
struction Co., Inc.”
2.
The object of said corporation is pe
cuniary gain and profit.
3.
The general nature of the business or
businesses to be transacted is as fol
lows: The construction, erection, re
pairing and remodeling of buildings and
structures of all types, including resi
dences, apartments, stores, warehouses,
and office buildings for itself and others;
the doing of all kinds of public works,
including grading and paving of roads,
sidewalks and highways, the laying of
water mains and sewers and installation
of gas and electricity and other public
services.
4.
Petitioners further desire that said
corporation be vested with all the rights
and powers now or hereafter given to
do any and all things which may be
needful or proper in the operation of the
above described business, and that' said
corporation have all of the powers
enumerated in Sections 22-1827 and
22-1828. Georgia Code Annotated, and
such powers as may hereafter be given
by law’.
5.
The maximum number of shares of
stock with par value shall be 2500 shares
of SIOO.OO per share. However, the
amount of capital with which the cor
poration shall begin business shall be
not less than Five Hundred Dollars
($500.00.). The corporation shall be au
thorized to issue additional shares up
to the maximum sum above stated, and
thereafter, from time to time, but with
in the limitations set forth in Section
22-1854, Georgia Code Annotated, to re
duce the amount of capital outstanding.
6.
The time for which the corporation is
to have existence is 35 years, with the
privilege of renewal of the charter, frons
time to time, upon the expiration of
said periods of thirty-five (35) years.
7.
The County in which the principal
office of the corporation is to be located
is Clayton County, Georgia, but the
privilege is desired of establishing
branch offices and places of business
both within and without the State of
Georgia.
8.
The name and Post Office address of ‘
each of the applicants for charter are
as follows:

Mrs. V. H. Burks, Forest Park, Georgia
John R. McCannon, Forest Park,
Georgia.
9.
Petitioners further desire that by-laws
of the corporation shall be adopted by
the common stock holders, and such by
laws shall provide for the officers of the
corporation, the manner of their selec
tion, and such other rules appropriate
to by-laws which have as their purpose
the control and management of the cor
poration, including provisions whereby
the by-laws may be amended.
10.
Your petitioners herewith exhibit a
certificate of the Secretary of the State
of Georgia as required by Section
22-1803, Georgia Code Annotated.
11.
WHEREFORE, petitioners pray to be
incorporated under the name and style
aforesaid with all the rights, powers,
privileges, and immunities herein set
forth, and such additional rights, powers
and privileges as may be necessary,
proper or incident to the conduct of the
business aforesaid, and as may be in
herent in or allowed to like corpora
tions under the laws of the State of
Georgia as they now exist or may here
after exist.
