The petition of JACK FENNEL, whose
residence address is 4660 Janice Drive,
College Park, Georgia. WILLIAM T
STARLING, whose residence address is
100 Lynwood Court, Forest Park, Geor
gia, and JAMES V. BILLINGS, whose
residence address is 1112 Greensprings
Road, College Park, Georgia, respectfully
show the following state of facts:
The Petitioners desire for themselves,
their associates, successors and assigns
to be incorporated under the name of
SOUTH ATLANTA BUILDERS. INC.
The Post Office addresses of the Peti
tioners are listed in the preceding para
graph.
2.
The principal office and place of busi
ness of said corporation shall be located
in Clayton County, with the privilege of
establishing branch offices and places
of business in such other places as may
be determined.
3.
The object of said corporation is pe
cuniary gain and profit to its stock
holders.
4.
The general nature of the business to
be transacted and the corporate powers
desired are:
(a) To buy, sell, acquire, own, hold,
rent, lease, transfer, assign, and en
cumber both real estate and personal
property of every kind and character,
and to deal with the same in any way
and manner that may be expedient and
proper, including the pledging of said
real estate and personal property as
security for loans:
*b) To grade, ditch, trench, improve
and landscape real property;
(c) To own, establish, and manage
subdivisions for the development of
both residential and commercial prop
erty;
(d) To engage in the business of con
structing and selling and lending money
on real property and personal property
of every kind and character;
(el To have all of the powers and
enjoy all of the privileges enumerated
in Paragraphs 22-1827 through Para
graphs 22-1870 of the Code of Georgia
Annotated (Acts 1937-38, Ex Sess., PP
214, 220, 221; Acts of the General As
sembly of 1955, PP 259, 260, and all
Amendments thereto) and all of the
powers and privileges enumerated there
in are made a part hereof to the same
extent as if the same were quoted
herein.
5.
The time for which said corporation
is to be in existence is thirty-five years
with the privilege of renewal as allowed
by the Code of Georgia of 1933 and the
Acts amendatory.
6.
The amount of capital with which the
corporation W’ill begin business shall
not be less than $1,000.00 in cash or
other assets, or a combination of the
two.
7.
The capital stock of the corporation
shall be divided into 200 shares of com
mon stock without nominal or par
value, making the original capital stock
one thousand dollars, each share of such
non-par value standing upon an equality
with every other share of non-par stock.
8.
Petitioners desire the privilege of in
creasing the capital stock of said cor
poration to 5,000 shares of common
stock without nominal or par value each
so that the total capital will be $25.-
000 00 by a majority vote of the stock
holders outstanding at such time at a
meeting duly called for that purpose.
9.
Petitioners desire that the liability of
stockholders of said corporation be con
fined to the unpaid purchase price of
the stock subscribed by each.
10.
Petitioners attach hereto a Certificate
of the Secretary of State of the State of
Georgia certifying that the name of
SOUTH ATLANTA BUILDERS. INC., is
not the name of any other existing cor
poration now registered in his office.
11.
WHEREFORE, Petitioners pray to be
Incorporated under the name and style
aforesaid with all of the rights, powers,
and privileges herein set out and such
additional powers and privileges as may
be necessary, proper or incident to the
conduct of the business for which the
petitioners are asking incorporation and
as may be allowed like corporations
under the laws of the State of Georgia
as they may now exist or may hereafter
exist.

The foregoing petition of Jack Pen
nel, William T. Starling, and James V.
Billings, to be incorporated under the
name of SOUTH ATLANTA BUILDERS,
INC., read and considered. It appearing
to the Court that said petition is within
the purview and intention of the laws
applicable thereto and that all of the
said laws have been fully complied with,
including the presentation of a Certifi
cate from the Secretary of the State as
required by paragraph 22-803 of the Code
of Georgia Annotated;
It is hereby ordered, adjudged and
decreed that all of the prayers of said
petition are granted and that said peti
tioners, their associates, successors and
assigns are hereby incorporated and
made body politic under the name of
SOUTH ATLANTA BUILDERS, INC., for
and during a period of thirty-five years
with the privilege of renewal at the
expiration of that time according to the
laws of Georgia and that said corpora
tion is hereby granted and vested with
all of the rights, powers and privileges
mentioned in said petition.

The authorized capital stock of said '
corporation shall be 1,000 shares of com- :
mon stock of the par value of SIOO.OO ;
per share. However, said corporation
shall begin business with not less than I
$3,000.00 paid in capital. The corpora
tion shall be authorized to issue addi- <
tional shares up to the maximum sum 1
above stated, and thereafter, from time (
to time, to reduce the amount of capital
outstanding, but not below the minimum ;
above stated, and all this, upon a ma
jority vote of the Board of Directors,
approved by a t>yo-thirds majority vote
of the stockholders.

The time for which the corporation
shall have its existence shall be thirty
five (35) years with the privilege of
renewal of the charter from time to tim?
upon the expiration of said periods of

David Hardeman executed and delivered
to Atlanta Federal Savings and Loan
Association a promissory note for the
principal sum of $7,250.00, bearing in
terest from date at the rate of 4% per
annum, payable in monthly installments
of $45.01 each, the first of said install
ments coming due January 25, 1947, and
one installment maturing on the same
day of each successive month thereafter
until the entire indebtedness evidenced
by said note had been paid in full. Said
note further provided that each monthly
installment shall be applied, first, to any
interest due and the remainder of said
installment shall be applied to the pay
ment of the principal of said note; and
WHEREAS in order to secure said
note Hugh David Hardeman on July 25,
1946, executed and delivered to Atlanta
Federal Savings and Loan Association
a deed to secure debt which is recorded
in Deed Book 48, Page 23 in Clayton
County, Georgia, by the terms of which
deed he conveyed to Atlanta Federal
Savings and Loan Association as security
for the promissory note above described

WHEREAS said deed to secure debt
provided, among other things, that
should Hugh David Hardeman fail to
pay any installments due according to
the terms of said note as the same may
become due and payable, then and in
that event the entire indebtedness re
maining unpaid and secured by said loan
