The petition of Robert Groover, Fran

spectfully shows to this Honorable Court

Petitioners desire for themselves, their .
associates, successors and assigns, the
privilege of incorporating for a period
of thirty-five < 35i years with the privi
lege of amendment and renewal thereof,

hereby given that a bulk transfer of in
ventory and equipment is about to be
made to COYNE SERVICE STATIONS,
INC., 1050 Main Street, Forest Park,
Georgia. All debts of the transferors,
F. F. YANCEY and J. A. YANCEY d/b/a
YANCEY BROTHERS SERVICE STA
TION are to be paid by said transferors
when due and are not to be paid by the
transferee, COYNE SERVICE STATIONS,
INC. The inventory and equipment to
be transferred consists of service sta
tion equipment, gasoline, oil, tires, sup
plies, batteries, and accessories as sched
uled in an inventory taken on February
2, 1964. Any interested creditor may in
spect the schedule of property in con
nection with the before-mentioned in
ventory and the list of creditors of
transferors during business hours at
1050 Main Street, Forest Park, Georgia.
Said transfer is for new consideration
and not for payment of existing debts.
The consideration for said transfer is
being held by the Bank of Forest Park,
Escrow Agent, until the statutory pro
visions relating to bulk transfers has
been compiled with (Uniform Com
mercial Code-Bulk Transfers Section
IQ9A-6-101 et. seq; Ga. Laws 1962, pp.
156, 321-327).

THIS AGREEMENT entered into this
the 7th day of Januarv, 1964, bv and be
tween CLAYTON COUNTY, a political
subdivision of the State of Georgia, here
inafter referred to as COUNTY, and
City of Riverdale, a municipal corpora
tion existing under the laws of the State
of Georgia, hereinafter referred to as
CITY.
It is understood and agreed upon
between the parties executing this agree
ment that there are certain avenues of
travel lying within or partially within
the citv limits in Clayton County that,
by their very location, nature and char
acter, connect other avenues and arteries;
of travel, some of which may or may
not lie wholly or partially within the
municipal limits but which serve a,‘
large portion of automobile and other
vehicular traffic both in and out of the •
city, and it is to the best interests of,
the public that these avenues of travel
be kept in the best repair possible,.'
under the circumstances.
It is further agreed between the parties*
th«t these avenues of travel are:

COUNTY agrees to repair and main-4
tain to its best ability the above de-*
scribed avenue of travel within the cor-‘

no’icing, maintaining the necessary bar-"
ricades, lighting facilities, and other
appurtenances necessary or desirable in,
maintaining safety to the public during
any period of time when maintenance,
is in progress on said avenue of travel,’*
and shall hold COUNTY harmless for--
any and all, acts dealing with the safety*

that said work is involved.
