Georgia, respectfully shows:
That Petitioners desire for themselves,
their associates and successors to be in
corporated under the name of "LAKE
CITY DEVELOPMENT. INC.”

The object of said corporation is pe
cuniary gain and profit.
The general nature of the business or
businesses to be transacted is as fol
lows :
(at To engage in and operate a gen
eral real estate business, to buy and sell
real and personal property of all kinds:
(b) To develop and subdivide real
property and construct buildings of all
kinds:
(c» To make loans on real and per
sonal property:
(d) To borrow money on real and
personal property:
(e» To act as a broker in the placing
of loans on real and personal property:
(ft To buy, sell, own. deal in, mort
gage or convey all types of real and per
sonal property in this state or in any
other state in the United States.
Petitioners further desire that said
corporation be vested with all the rights
and powers hereafter given to do any
and all things which may be needful or
proper in the operation of the above de
scribed business, and that said corpora
tion have all of the powers enumerated
in Sections 22-1827 and 22-1828. Georgia
Code Annotated, and such powers as
may hereafter be given by law.
The maximum number of shares of
stock shall be Two Thousand Shares of
Common Stock of the Par Value of
SIOO.OO. However, the amount of capital
with which the corporation shall begin
business shall be not less than $200.00.
The corporation shall be authorized to
issue additional shares up to the maxi
mum sum above-stated and thereafter
from time to time.
The time for which said corporation
is to have existence is thirty-five i3si
years, with the privilege of renewal of
the charter from time to time, upon the
expiration of said periods of thirty-five
(351 years.

The county in which the principal
office of the corporation is to be lo
cated is in Clayton County, Georgia, but
the privilege is desired of establishing
branch offices and places of business
both within and without the State of
Georgia.
Petitioners further desire that by-laws
of the corporation shall be adopted by
the common stockholders, and such by
laws shall provide for the officers of the
corporation, the manner of their selec
tion, and such other rules appropriate
to by-laws which have as their pur
pose the control and management of the
corporation, including provisions where
by the by-laws may be amended.
Petitioners herewith exhibit cer
tificate of the Secretary of the State of
Georgia as required by Section 22-1803,
Georgia Code Annotated.

to amend, alter, change or repeal any
provision of its charter in form or sub
stance upon the vote of two-thirds of
its outstanding common stock and all
rights conferred upon stockholders, di
rectors and officers herein are granted
subject to the revision.
WHEREFORE. PETITIONERS PRAY to
be incorporated under the name and
style aforesaid with all the rights,
powers, privileges and immunities herein
set forth, and such additional rights,
powers and privileges as may be neces
sary. proper or incident to the conduct
of the business aforesaid, and as may be

after exist.

Petitioners desire to be incorporated
and made a body corporate under the
name and style of GRISWELL CON
STRUCTION COMPANY, for a period of
thirty-five years, pursuant to the provi
sions of the Act of the General Assembly
of Georgia, approved January 28, 1938,
and Acts amendatory thereof.

The object of said corporation is pe
cuniary gain to itself and stockholders.

The addresses of the petitioners are
as follows: J. C. Griswell, Pineridge
Drive, Lake City, Georgia; Libby Jo
Griswell, Pineridge Drive, Lake City,
Georgia; Arthur A. Morrison, 1102 Main

The general nature of the business or
businesses to be transacted by the cor
poration is that of buying, selling ex
changing, leasing, subdividing and im
proving real estate; the construction,
erection, repairing and remodeling of
buildings and structures of all types, in
cluding residences, apartments, stores,
warehouses, and office buildings for
itself and others; the doing of all kinds
of public works including grading and
paving of roads, sidewalks and highways,
the laying of water mains and sewers
and installation of gas and electricity
and other public services; also the bor
rowing and lending of money.

The principal office of said Corpora
tion shall be in Clayton County, Geor
gia, with the privilege of establishing
branch offices and places of business
elsewhere in the State of Georgia,

The authorized capital stock of said
corporation shall be $50,000 with the
maximum number of shares of stock to
be 50.000 of the par value of SI.OO
each, and to consist of common stock.
The amount of capital may be subscribed
and paid for in cash or with property
at a fair market value, or a combination
of the two; and the amount of capital
with which the corporation shall begin
business shall be not less than SI,OOO.
WHEREFORE, petitioners pray that
they be incorporated under the name
and style as above stated, with all the
powers and privileges as set forth and
such others as are now’ or may be here
after allowed similar corporations by the
laws of the State of Georgia.

style of LAKE CITY COMMUNITY
CLUB. INC. for a period of thirty-five
(35) years, with full right of renewal
as may be provided law, with its
principal office at such place in Clayton
County. Georgia, as its Trustees may
from time to time determine.

The object and purpose of this cor
poration is as follow’s:
Said corporation shall be a nonprofit
organization without capital stock, and
shall have as its general object the
scientific, educational, religious and rec
reational development of the residents
of the Lake City community in Clayton
County, Georgia; as an individual cor
poration and in cooperation with other
similarly established organizations in the
community.

This corporation is not organized and
shall not be operated for pecuniary gain
or profit and it shall have no capital
stock.
No part of the property of said cor
poration and no part of its net earnings
shall ever at any time inure to the bene
fit of any private shareholder or indi
vidual, nor shall said corporation have
the pow’er to, and shall never, carry on
propaganda) or otherwise attempt to in
fluence legislation.
The corporation shall have the power
and authority to accept gifts and con
tributions, whether made by will or
otherwise, in any form of property, pro
vided that the objects sppeified by the
•testatbr or donor ar^ within the objects
and purposes of the corporation. All
such gifts and contributions shall be
devoted to the objects and purposes and
in all respects administered according
to the provisions contained in said will
or other form of instrument making said
gift or donation, to the end that the
wishes and directions of the donor shall
in all respects be faithfully observed and
executed, provided, however, that the
corporation shall not accept any con
tribution which is to be held or used
for purposes other than for the promo
tion of science, recreation, education,
charity and religion.
The governing body of the corpora
tion shall consist of not less than three
1 (3) nor more than five (5) members.
The incorporators shall be the first mem
bers of the Board of Trustees. Each of
the members of the Board shall serve
for life but may resign the trust at any
time. Upon the death or resignation of
any member of the Board, a majority
of the remaining Trustees shall choose
his successor. In the event the living
Trustees shall for any reason fail to
name such successor, then in that event,
such successor trustee or trustees shall
be appointed by the Judge of the Clay
ton Superior Court upon the application
of one or more members of the trust,
or if they fail to act, then upon the
application of any party having a real
interest therein. Should a member of the
Board of Trustees become disabled or
for any reason cease to function and the
same continue for a period exceeding
twelve (12) months, then the remaining
members of the Board of Trustees shall
have the power to declare the office
vacant and elect a successor trustee in
the manner provided above.

The Board of Trustees, by majority
vote, shall have the power to adopt all
rules and by-laws consistent with the
charter and conduct of the affairs and
activities of the corporation.
All contributions received and ac
; cepted shall be devoted exclusively to
the purposes set forth in this charter,
the corpus and the income therefrom
being perpetually used for those pur
poses.

The corporation, unless otherwise re
quired by the terms of any contribution,
shall have the pow’er in its discretion
to retain all contributions in the original
form in which they may have been re
ceived, and also to buy, sell, exchange
and otherwise deal in stocks, bonds, real
estate and any other forms of property
at either public or private sale, without
order of any court or other authority, to
invest and re-invest any funds belonging
in the corporation at any time in such
securities and property, real and per
sonal, as the Trustees in their sole dis
cretion see fit, irrespective of whether
such investments may not be legal in
vestments for trust funds under the laws
of Georgia. The corporation may use
any bank or trust company in the State
as its fiscal agent, and delegate to such
institution the custody and management,
investment and re-investment of its
funds, and compensate such agent for
its services.
The officers of the corporation shall
be a President, a Vice-President, a Sec
retary and a Treasurer; the latter two
offices may be held by one person. The
Trustees may appoint such committees
and agents and create such other offices
as to them shall seem best, and dele
gate to them such powers and duties as
in the discretion of the Trustees may
: seem appropriate.

corporate authority to enfoi ce good
order, receive donations, make pur
chases and effect all alienations of realty
and personalty, not for the purpose of
trade and profit but for promoting the
general design and work of said church

contract and be contracted with, sue
and be sued, to have and use a common
seal, and exercise all corporate powers

• IT IS FURTHER ORDERED that the

shall be and become the officers of said
corporation and continue as such until

The petition of G. E. MURRAY, J. C.
CONNER, AND HOMER GEORGE, shows 1
to the Court the following facta:
The Ash Street Baptist Church has
for a number of years existed and is
presently existing as an unincorporated
religious society located in Clayton
County, Georgia.
2.
Petitioners constitute the present
Board of Trustees of said church and as
such, respectfully request that the said
church be incorporated under the laws
of the State of Georgia, such incorpora
tion having been authorized by resolu
tions of the Board of Deacons and of
the membership of said church, as
shown by the certified copy of said reso
lutions attached hereto and made a part
hereof as Exhibit “A”.
3.
The name of the proposed church cor
poration shall be Ash Street Baptist
Church, Inc.
4.
The purpose of the corporation shall
be the worship of God and the extension
of His kingdom according to the prin
ciples and uses of Baptist churches of
like faith and order.
5.
The corporation shall have no capital
stock and shall be organized and oper
ated exclusively for religious purposes,
and no part of the net earnings of the
corporation shall inure to the benefit
of any individual.
6.
The corporation shall have the power
to preserve order, to receive and dis
miss members, to elect officers: to buy,
own, lease, and sell such real estate and
personal property as may be necessary
oi’ convenient to the purpose of its or
ganization; to borrow money, and to con
vey any property that it may own. real
or personal, to secure such loans; to
execute notes, bonds, mortgages, deeds
of trust, security deeds, and other evi
dences of indebtedness; to receive prop
erty by gift or bequests; to do and per
form any and every act or acts which
may be necessary or convenient for the
carrying out of the purposes of its or
ganization.
7.
All members of the Ash Street Baptist
Church, presently existing as an unin
eorporaiea religious society in Clayton
County. Georgia, shall upon the granting
of this charter, become members of the
corporation and the corporation shall
succeed to all of the property rights and
all the obligations of whatever nature
heretofore existing in and accruing to
said unincorporated religious society.
8.
The corporation shall exist for a period
of Thirty-five (35) years, with the right
of renewal thereafter.
9.
The principal office of the corporation
shall be located in Clayton County,
Georgia.
10.
The name and post office address of
each of the petitioners is as follows:

under the provisions of Section 501 (c)

they may hereafter be amended.

The corporation is not organized nor
shall it be operated for pecuniary gain
or profit and it shall have no capital

IV
The corporation shall have the power

tributions. made by will or otherwise,
in any form of property, provided that

donor arc within the objects and pur
poses of the corporation. All such gifts

The governing body of the corporation
shall consist of three (3) members. The
incorporators shall be the first members
of the Board of Trustees. Ernest Waters.
Sr. shall serve until February 1. 1965.
On or before the expiration of his term
of office the Board of Directors of
Southeastern Utilities Service Company
shall be requested to designate by cor
; porate resolution one of their members
: to serve for a three year term begin
ning on February 1. 1965. and to so elect
a trustee at three year intervals there
after. C P. Rochfort and Mildred L.
Rochfort shall serve as members of the
Board of Trustees for life. Upon the
death of C. P. Rochfort or Mildred L.
Rochfort. whichever shall first occur.
( the remaining trustees then in office
shall choose his or her successor. The
initial term of office of this member
of the Board of Trustees shall expire
one calendar year after the date of the
expiration of the term of office of the
trustee then in office elected by, or if
prior to February 1. 1965, to be elected
to office by the Board of Directors of
Southeastern Utilities Service Company.
Thereafter the term of office for this
member of the Board of Trustees shall
be three years. Election shall be by the
other trustees then in office. Unon the
death of the survivor of C. P. Rochfort
or Mildred L. Rochfort, the remaining
trustees then in office shall select his
or her successor. The initial term of of
fice for this member of the Board of
Trustees shall expire one year after the
term of office of the member of the
Board of Trustees then in office elected
to succeed the first deceased of C. P.
Rochfort or Mildred L. Rochfort. There
after the term of office for this mem
ber of the Board of Trustees shall be
three years. Election shall be by the
other trustees than in office. Any trus
tee may resign the trust at any time.
Upon resignation of any member of the
Board of Trustees, the remaining trus
tees shall choose a successor to fill the
unexpired term for which said trustee
was elected: but in the event of the res
ignation of C. P. Rochfort or Mildred L.
Rochfort. then the election of such suc
-1 cessor shall be subject to the conditions
set forth above as to the term of office
of such successor at the death of C. E.
. Rochfort and/or Mildred L. Rochfort.
Should a member of the Board of Trus
tees become disabled or for any reason
cease to function and the same continues
for a period exceeding twelve (12)
months, then the remaining members of
the Board of Trustees shall have the
power to declare the office vacant and
elect a successor trustee.
If the Board of Directors of South
eastern Utilities Service Company shall
for any reason fail to elect a trustee as
hereinabove provided, or in case trustees
in office fail for any reason to elect a
successor trustee as hereinabove pro
vided, then in that event, such trustee
or trustees shall be appointed by the
Senior Judge of the Court upon the ap
plication of one or more members of
the trust, or if they fail to act. then
upon the application of any party having
a real interest therein.
VI
The Board of Trustees by a majority
vote, shall have the power to adopt all
rules and by-laws consistent with the
Charter and the conduct of the affairs
and activities of the corporation.
VII
All contributions received and ac
cepted shall bo devoted exclusively to
the purposes set forth in this Charter,
the corpus and the income therefrom
shall be perpetually used for those pur
poses.
VIII
The corporation, unless otherwise re
quired by the terms of any contribution,
shall have the power in its discretion ‘
to retain all contributions in the original 1
form in which they may have been re
ceived. and also to buy, sell, exchange,
and otherwise deal in stocks, bonds, real
estate and any other form of property
at either public or private sale without
order of any court or other authority,
to invest and reinvest any funds be
longing to the corporation at any time
in such securities and property, real and
personal, as the trustees in their sole
discretion see fit, irrespective of wheth
er such investments may not be legal
investments for trust funds under the
laws of Georgia. The corporation may
use any bank or trust company in the
State as its fiscal agent, and delegate to
such institution the custody and man
agement, investment and reinvestment
of its funds, and compensate such agent
for its services.
IX
The officers of the corporation shall
be a Chairman of the Board of Trustees,
a Vice-Chairman, a Secretary and a
Treasurer; the latter two offices may be
held by one person. The trustees may
appoint such committees and agents and
create such other offices as to them may
seem best, and delegate to them such
powers and duties as in the discretion of
the trustees may seem appropriate.

The corporation, upon vote of a ma
jority of its trustees at the time in
office, shall have the power to do and
perform any and all the powers con
ferred by this Charter, or the laws of
the State of Georgia, and shall likewise

Wallace received is remarkable.
Let’s consider some of the rea
sons: 1. The Governor and his
official family was against Wal
lace, 2. The President of the
United States, 3. The Postmaster
General of the United States,
Robert F. Kennedy whose broth
er received 830 thousand votes in
Wisconsin in 1960, 4. The State
and Federal Democratic ma
chine which includes United
States Senator William Prox
mire. Proxmire quarrels at Pres
ident Johnson for not being lib
eral enough and considered
President Kennedy too conserv
ative.
The McGills, Martin Luther
Kings and their kind will have
many different explanations for
this vote.
The truth is that Governor
Wallace explained the so-called
Civil Rights bill which is the
greatest power grab in the his
tory of the nation.
After doing some research on
this bill we find that it will
effect almost everybody.
The farmer—The farmer for
the past 30 years has been
harrassed by Federal bureau
crats; under the civil rights
civil wrongs bill he will be abso
lutely under their power. He will
become a serf of the federal gov
ernment. A veteran of World
War 2 who went through enough
torture to effect him mentally
will be compelled to hire a Jap
anese to work on his farm even
if the hiring should cause him
to have to return to a mental in- ,
stitution. Denying his wife and
children his support and pres
ence.
Homeowners—This bill would
deny citizens of the United
States the right to build, occupy,
rent, lease or sell their homes
such additional rights, powers, privi
leges and immunities as are now or may
hereafter be provided by the Laws of
Georgia to similar corporations.

The bill abolishes freedom of
speech, freedom of press, free
dom of choice and destroys the
right of local self government.
Governor Wallace told the
people of Wisconsin about the
civil rights bill and when the
people who heard him found out
the truth about this bill they
forgot the prejudice that they
had against the south and voted
in the interest of America. Also
they voted for their children
