The application of INSLEE M. JOHN
SON, WILLIAM W. DANIEL, and CON
NIE EDWARDS, respectfully shows to
the Court:
1.
Petitioners desire for themselves, their
associates, successors and assigns to be
incorporated under the name and style
of
BOX RESTAURANT, INC.
for a period of thirty-five (35) years
with the privilege of renewal as provided
by law.
2.
The object and purpose of the cor
poration shall be pecuniary gain and
profit.
3.
The general nature of the business to
be engaged in and the powers desired
shall be as follows: To buy, sell, lease,
exchange, develop, improve, own, oper
ate, and manage hotels, motels, restau
rants, cases, bar lounges, news stands,
and gift shops in this State and else
where in the United States, including,
but not limited to, the buying, selling
and dealing in any and all kinds of food
products, liquids and beverages, of what
ever kind or nature, permitted by law;
to deal in or with any other real or per
sonal property of any kind or character
for cash or in any other manner; to
furnish any and all services in connec
tion with any of said business enter
prises, and in furtherance of its cor
porate purposes to carry on any other
lawful business whatsoever that is in
cidental to or connected with the fore
going which has for its purpose the
attainment of the objects and purposes
of the corporation.

Petitioners desire the power to assume,
guarantee, endorse, or become surety on
any obligation, or liability of any per
son, partnership or corporation, whether
or not connected with the regular busi
ness of the corporation, and the right
to purchase or acquire the assets of any
business entity, to assume its debts and
obligations, and to pay for same in cash,
exchange of property, capital stock, or
any other lawful manner.
5.
The authorized maximum capital stock
of the corporation shall be one thousand
(1,000) shares, without par value, but
with a fixed or stated value of Ten
Dollars ($10.00) per share. Payment for
said stock may be ‘n money, or in prop
erty or services taken at a fair valua
tion.
6.
The principal office of the corporation
will be in Clayton County, Georgia, but
petitioners desire the privilege of estab
lishing branch offices elsewhere in this
State and throughout the world.
7.
The minimum capital with which the
corporation will begin business shall be
One Thousand Dollars ($1,000.00).
8.
The post office address of each of the
petitioners is: 1223 Fulton National
Bank Building, Atlanta 3, Georgia.
WHEREFORE, petitioners pray that
they, their associates, successors and
assigns be incorporated under the name
and style aforesaid with all the rights,
powers, privileges and Immunities above
set forth, together with mH the rights
and powers granted to ftrre corporations
under the laws of the State or Georgia.

the Mayor and the City Council of The
City of Jonesboro, Georgia, dated May
23, 1964, and under the power contained
in the charter of said city, sealed bids

approved by a majority of the qualified
and registered voters of said City voting

Whereas, the Mayor and Council of
the City of Lake City, Georgia have
determined as the governing body and
the elected representatives of the people
that a five (5) mill add valorem tax is
desirable in order to provide the citi
zenry of said city with the services re
quired and needed by said citizenry; and.
Whereas, The said Mayor and Council
have determined that in no event will
the tax levied after its passage by the
people in said referendum be increased
above five (5) mills without the con
sent of the voters;
THEREFORE, BE IT RESOLVED:
That an election and referendum

TO THE SUPERIOR COURT OF SAID
COUNTY:
The petition of Jack Callaway Realty,
Inc., hereinafter called the applicant,
shows the following facts:
1. The principal office of said corpora
tion is located in said county, and said
corporation was incorporated under the
Corporation Act of 1938” on the 24th
day of January 1963.
2. This petition is brought to amend
the Charter of said corporation in the
particular hereinafter set out, this pro
posed amendment having been favorably
voted and consented to by all of the
stockholders of said corporation at a
special meeting called for the purpose,
as shown by the certificate of the Sec
retary of said corporation attached here
to as ' Exhibit A” and made a part
thereof.
3. The particular in which said Char
ter is hereby sought to be amended is
as follows, to wit: Petitioner desires to
have its charter amended to change the
corporate name of petitioner to “John
son Realty, Inc.”
Petitioner files herewith a certificate
from the Secretary of State that the pro
posed new name of petitioner is not the
name of any other existing corporation
registered in the records of the Secre
tary of State.
Petitioner desires to extend the life
of its charter for a period of thirty-five
years from the date of this amendment.
WHEREFORE, petitioner prays that
the Charter of said corporation be
amended as hereinabove set out upon
a due complaint with the law in such
cases made and provided.

the 24th day of January 1963. and that

this corporation held on the sth day of
February 1964, and duly called for the
purpose of acting upon a proposal to
amend the charter of the corporation, at
which all of the stockholders of the cor
poration were present in person, the
following resolution was unanimously
adopted:
BE IT RESOLVED THAT THE name
Jack Callaway Realty, Inc. be changed
to Johnson Realty, Inc.; and that the cor
poration shall have existence for a period
of thirty-five years from the date of the
amendment.
