roads, sidewalks and highways, the
laying of watermains and sewers,

PETITION FOR DISSOLUTION

The petition of APPLE HILLS,
Inc. respectfully shows the follow
ing facts, to-wit:
I. Petitioner was incorporated by
Order of this Court on September
11, 1964, and it now desires to sur
render its charter and franchises to
the State of Georgia and be dis
solved as a corporation.
2. Such dissolution may be al-
lowed without injustice to any
stockholder or to any person hav
ing any claim or demand of any
character against said corporation.
3. At a joint meeting of the stock
holders and Board of Directors held
on January 20, 1967, at which time
all of the outstanding stock of the
corporation was represented and
which was held pursuant to a call
of the Board of Directors a resolu
tion was unanimously adopted,
upon the recommendation of the
Board of Directors, by the affirma
tive vote of the entire capital stock
that the corporation surrender its
charter and franchises and be dis
solved A certified copy of the
resolution is attached hereto marked
“Exhibit A" and made a part here

titled to one vote per share, but
shall have the right to cumulate
his shares and to cast for one can
didate votes equal in number to
the number of directors to be
elected multiplied by the number
of shares owned by the stockholder,
or to distribute such total number
of cumulated votes among as many
candidates as the stockholder sees
fit; PROVIDED, HOWEVER, that
written notice, either by personal
delivery of U. S. Mail, Certified or
Registered, Return Receipt Re
quested, shall be given by any
stockholder to and received by the
President or Secretary of the Cor
poration not less than 24 hours be
fore the time fixed for holding a
meeting for the election of direc
tors that the Stockholder intends to
cumulate his votes at such election.
Such right to vote cumulatively
shall not be further restricted or
qualified by any provision in the
By-Laws of this Corporation, nor
shall such right be abriidged or
modified except by amendment to
the corporate Charter which has
been approved by the affirmative
vote of eighty per cent (80%) of
the outstanding stock."
