Petitioner’s charter was granted
to it for a period of thirty-five years
by order of this Court entered on
the 14th day of April, 1966; and
said charter has go_t been amended.
Petitioner now desires to surren
der its charter and franchises to
the State of Georgia and to be dis
solved as a corporation.

Such dissolution may be allowed
without injury or damage to any
stockholder or to any person hav
ing any claim or demand of any
character against said corporation,
adequate provision having been
made for the orderly liquidation of
the corporation and the payment
of all of its debts and obligations.

At a meeting of the stockholders
held on the 30th day of Septem
ber, 1967, at which two-thirds of all
of the outstanding stock of the cor
poration was present and voted, and
which was held pursuant to cail for
the purpose of considering corpo
rate dissolution, a resolution was
unanimously adopted accegtlng the
recommendation of the Board of
Directors that the corporation be
dissolved, and directing that its
charter and franchises be surren
dered. A duly certified copy of said
resolution is attached hereto,
marked Exhibit “A”, and made a
part hereof.
WHEREFORE, petitioner prays
that its charter and franchise be
accepted for surrender, and that it

Morrow Pumping’ Station. The bids
will be publicly opened and read

The work consists of an addition
to the existing building, one addi
tional pump with appurtenances;
pumping equipment, inside and out
side piping, electrical wiring, con
trols, etc.; complete and put into
operation and other related work.

to the Court:

in Clayton County, Georgia a
cnurch known as “THE TRUE GOS
PEL BAPTIST CHURCH OF CLAY
TON COUNTY, INC.”

The petitioners and their asso
ciates are members of said church
and constitute the congregation
thereof in which is vested the gov
ernment of said %hurch.
That petitioners, for themselves
and their associates, desire to be
ciothed with corporate authority to
enforce good order, receive dona
tions, make purchases and effect
all alienations of realty and per
sonalty, not for the purpose of trade
and profit but for promoting the
general design and work of said
church and to look after the gen- |
eral interest of the same. |

That petitioners desire the right
to contract and be contracted with,
sue and be sued, to have and use
a common seal, and exercise all
corporate powers that are usual and
appropriate to incorporated churches
and like ins(itutl%ns.
That petitioners further desire to
have the right to borrow money to
be used for the purposes of said
church in constructing or com
pleting the construction or repair
ing from time to time the building
or buildings of said church, and for
any other purpose that may be
strictly within the purposes and de
sign of said church; and petitioners
desire to have the right to execute
in its corporate name, by and
through such officers as it may
thereunto duly authorize, notes,
bills, bonds, with or without
coupons, and other evidences of
debts, and to secure the payment
of the same by mortgage, deed of
trust, security deed or other in
strument authorized to be executed
for such purposes under the laws
of said State. .
The corporation shall have the
power and authority to accept gifts
and contributions, whether made by
will or otherwise, in any form of
property, provided that the objects
specified by the testator or donor
are within the object and purposes
of the corporation. All such gifts
and contributions shall be devoted
to the objects and purposes and in
all respects administered according
to the provisions contained in the
said will or other form of instru
ment making said gift or donation,
to the end that the wishes and di
rections of the donor shall in all
respects be faithfully observed and
executed, provided, however, that
the corporation shall not accept any
contribution which is to be held or
used for purposes other than for
the promotion of education, charity
and religion. 7
Petitioners desire that upon the
granting and acceptance of the
charter herein applied for all of
the property, both real and per
sonal, of the voluntary organization
heretofore existing known as “THE
TRUE GOSPEL BAPTIST CHURCH
OF CLAYTON COUNTY, INC.”
shall immediately vest in the cor
poration to be created under the
order herein applied for, and shall
thereafter become the property of
such corporation; that all of the
rules and regulations of said organ
ization shall immediately become
the rules and regulations of the
corporation and continue to be such
until changed by the congregation
of said church; that all officers of
said organization in office at the
time of the acceptance of the char
ter herein applied for shall imme
diately become the officers of said
corporation and continue to be such
until their successors are chosen in
accordance with the rules and
customs of the congregation of said

Petitioners attach hereto a cer
tificate of the Secretary of State
of the State of Georgia, certifying
that the name of “THE TRUE GOS
PEL BAPTIST CHURCH OF CLAY
TON COUNTY, INC.” is not the
name of any other existing cor
pioration now registered in his of
fice.
WHEREFORE, Petitioners pray
that they and their associates may
be incorporated under the corpo
rate name of “THE TRUE GOSPEL
BAPTIST CHURCH OF CLAYTON
COUNTY, INC.” for a period of
thirty-five (35) years, pursuant to
the provisions of Section 22-1881 of
the Georgia Code Annotated, with
the privilege of renewal thereafter
in conformity with law, and that
said corporation shall have all the
powers as may be necessary and
proper to carry into effect the pur
poses of said corporation and as
are usual and customary to be con

The foregoing petition read and
considered and it appearing that the
same is within the spirit and in
tention of the laws authorizing the
incorporation of churches.
IT IS THEREFORE ORDERED
that the petitioners, their associates
and successors be and they are here
by incorporated and made a body
politic under the name and style
of THE TRUE GOSPEL BAPTIST
CHURCH OF CLAYTON COUNTY,
INC., with a corporate existence to
continue for thirty-five (35) years
from this date, the same being spe
cially prayed in the foregoing peti
tion, with the privilege of renewal
after tfe expiration of that date.
IT IS FURTHER ORDERED that
the corporation hereby created shall
have all of the powers set forth in
said petition, and shall also be
vested with all the powers, privi
leges and immunities usual to be
conferred upon corporations of the

cifications may be obtained upon
payment in advance of the sum of
$4.00, which sums will not be re
funded.
Proposals must be submitted on
regular forms, which will be sup
plied by the undersigned, and may
be obtained by a payment, in ad
vance, of $5.00 for each proposal
issued. When the proposal is sub
mitted, it must be accompanied by
a proposal guaranty in the form of
a certified check, cashier’'s check,
negotiable United States Bonds, or
other acceptable security in the
amount indicated, and must be |
plainly marked “Proposal for Road |
Construction,” County and Number,
and show the time of opening as
advertised. Check of the low bidder
will be cashed and all other checks
will be returned as soon as the con
tract is awarded, unless it is deemed
advisable by the State Highway De
partment to hold one or more

arises, the State Highway Depart
ment reserves the right to cash all

Contracts will not be awarded to
contractors who have not been
placed on the list of qualified Con

No proposal will be issued to any

Right is reserved in the undersigned
to delay the award of the contract
for a period not to exceed thirty
(30) days from the date of opening
bids, during which period bids shall

Upon compliance with the re
quirements of the Standard Specifl
cations, payment for work done
shall be made in accordance with
