Petitioners desire for themselves,
their associates and successors to
be incorporated under the name of
"UNITED ELEVATOR
CORPORATION"
for a period of thirty-five <35) years,
with the privilege of renewal, from
time to time, upon the expiration
of 35 years.
2.
The object of said corporation is
pecuniary gain and profit.
3.
The general nature of the busi
ness is the design, manufacture
and sale, either wholesale or retail,
of elevator component parts or re
lated structural steel products; to
contract for the leasing of said
equipment; to acquire, hold, im
prove and trade in real estate, or
any rightful interests therein; and
to do any and all things necessary,
convenient, expedient, ancillary or
in aid to the accomplishment of the
foregoing.

said corporation be vested with all
the rights and powers now or here
after given to do any and all things
which may be needful or proper in
the operation of the above described
business, and that said corporation
have all the powers enumerated in
Sections 22-1827 and 22-1828. Geor
gia Code Annotated, and such
other powers as may hereinafter be
given by law.

The maximum number of shares
of stock shall be ten thousand (10.-
0001 of the par value of SIO.OO per
share, all of which shall be com
mon stock. However, the amount of
capital stock with which the cor
poration shall begin business will
not be less than $10,000.00. r The
corporation shall be authorized to
issue additional shares up to the
maximum above stated, and there-
after, from time to time, to reduce
the amount of capital outstanding,
but not below the minimum above
stated, and all this upon a ma
jority vote of the Board of Direc
tors ' approved by a majority vote
of the stockholders.

The principal office and place of
business shall be in Clayton County,
Georgia, but petitioners desire the
privilege of establishing other places
of business within and without the
State of Georgia.

Petitioners herein exhibit a cer
tificate of the Secretary of State as

Petitioners desire that such by
laws as are usual for the manage
ment of a corporation of this na

The petition of QUICK GROCERY
COMPANY, a corporation organized
and existing under the laws of the
State of Georgia, shows to this Hon
orable Court the following facts,
to-wit:
1. That it was duly chartered as
a corporation by this Honorable
Court on the 29th day of April, 1964
and the charter was accepted by the
organizers of said corporation, and
since that time petitioner has func
tioned as a corporation, but has
since ceased doing business.
2. That it now desires to sur
render its franchise and charter as
a corporation and be dissolved by
proper order and decree of this
Honorable Court.
3. Petitioner shows that at a
meeting of the stockholders called
for that purpose and duly held on
August 25, 1967, (pursuant to reso
lution adopted at a Board of Di
rectors meeting previously held),
resolutions were adopted by the af
firmative vote of the owners of all
of the capital stock of petitioner
issued and outstanding, resolving
that the corporation shall surrender
its charter and franchise and be dis
solved as a corporation. A certified
copy of said resolutions is hereby
attached marked Exhibit A and
made a part of this petition.
4. Petitioner shows that such dis
solution may be allowed without in
jury to any stockholder or any per
son having claims or demands of
any character against said corpora
tion.
WHEREFORE, petitioner prays
that it be dissolved as a corporation
and its charter be surrendered as
provided by law.

All that tract or parcel of land
lying and being in Land Lot 216 ol
the 12th District of Clayton County,
Georgia, containing .83 acres as
shown by plal prepared by Lee En
gineering Co., dated July 6, 1959,
and being more particularly de
scribed as follows:
BEGINNING at a made corner 4n
center of Old Stage Coach Road, at
the Southeast corner of property of
G. W. Rowden, running thence
North 0 degrees 45 minutes West
325 feet to a made corner marked
by stone; thence North 89 degrees
East 100 feet to a made cornei
marked by stake; thence South 0
degrees 45 minutes East 404 feet to
a made corner in center of Old
Stage Coach Road; and thence
Northwesterly along the center of
said Road 127 feet to said point of
beginning.
Being the same property as con
veyed by W. C. Rowden to Homer
M. Jinks April 30, 1959, recorded in
Deed Book 193, page 7, Clayton
County Deed Records.
The debt secured by said deed is
evidenced by a note daetd April 6,
1960 in the original amount of
$553.48, payable, principal and in
terest, in the amount of $20.00 per
month beginning on May 6, 1960
and continuing monthly thereafter
until principal and interest are paid
in full.
Default has occurred in the pay
ment of the debt evidenced by said
note and secured by said deed by
the failure to pay the installments
as they fall due. By reason of said
default, the total balance of said
debt has therefore been declared
due and said deed froeclosable ac
cording to the terms of said deed
and the note which it secures.
Said property will be sold to the
highest bidder for cash as the prop
erty of HOMER M. JINKS, and the
proceeds will be applied to the pay
ment of said indebtedness and the
lawful expenses of said sale, all as
provided in said note and said deed;
said sale to be subject to all unpaid
taxes and assessments.
Said property will be sold sub
ject to an outstanding security deed
to Clayton County Federal Savings
& Loan Association, dated April 6.
1960 and recorded in Deed Book
213, page 289, Clayton County Rec
ords with an original principal bal
ance of $7,000.00.
