APPLICATION TO AMEND
CHARTER OF THE
BANK OF FOREST PARK

The application of BANK OF
FOREST PARK, a banking corpora
tion, incorporated under the laws
of Georgia, on the 9th day of May,
1956, respectfully shows the follow
ing facts and petitions the Secre
tary of State to have its Charter
amended as hereinafter set out.
1.
Applicant shows that an amend
ment to its Charter was granted by
the Secretary of State on October
9. 1958. and December 30, 1958 re
ducing the par value of the shares
of stock in said corporation from
One Hundred Dollars < SIOO.OOI per
share to Ten Dollars (slo.oo* per
share and increasing the capital
stock of said corporation from Ten
Thousand (10,000* shares to Thirteen
Thousand One Hundred Twenty-
Five (13.125* shares.

Applicant further shows that an
other amendment of its Charter was
granted by the Secretary of State
on March 28. 1961, increasing the
capital stock of said corporation
from Thirteen Thousand One Hun
dred Twenty-Five (13,125* shares to
Fourteen Thousand Five Hundred
(14,500* shares at a par value of
SIO.OO per share.

Applicant further shows that an
other amendment of its Charter was
granted by the Secretary of State
on June 23, 1961. increasing the
capital stock of said corporation
from Fourteen Thousand Five Hun
dred <14,500* shares to Twenty
Thousand (20,000* shares at a par
value of SIO.OO per share.

Applicant further shows that an
other amendment of its Charter was
granted by the Secretary of State
on April 13. 1964, increasing the
capital stock of said corporation
from Twenty Thousand <20,000*
shares to Twenty Eight Thousand
(28,000» shares at a par value ot
SIO.OO per share.

Applicant further shows that an
other amendment of its Charter was
granted by the Secretary of State
on March 25, 1966, increasing the
capital stock of said corporation
from Twenty Eight Thousand (28,-
000* shares to Thirty Two Thousand
<32,0001 shares at a par value of
SIO.OO per share.

Applicant respectfully shows that
a meeting of the Stockholders of
said corporation was duly and
properly called by the Board of Di
rectors. notice of said meeting
having been mailed to each stock
holder, addressed to his last known
lesidence. more than ten *lo* days
previous «o the date of said meet
ing, said notice stating the time,
place and purpose of said meeting.

Applicant further shows that said
meeting was duly held pursuant to
said notice, at the office of said
bank on November 7, 1967, at 4:00
o’clock P.M., E.S.T., at which meet
ing more than a majority in amount
of the entire capital stock of said
corporation was present, in person
or by proxy, and adopted unan
imously the following Resolutions, a
certified copy of which is attached
hereto and made a part hereof:
(a• That the Bank of Forest Park
increase the capital of the bank by
issuing an additional 6,000 shares of
capital stock with a par value of
SIO.OO per share, so that the total
number of shares of capital stock at
SIO.OO per share par value will in
crease from 32.000 shares to 38,000
shares, and so that the capital of
the bank thereby will be increased
from $320,000.00 to $380,000.00.
(b* That the 6,000 of said new
shares of stock will be issued at a
price of $25.00 per share, SIO.OO per
share being entered as capital and
$15.00 per share being entered as
surplus.
ic* That all such stock first be
offered to the present stockholders
of the Bank on a pro rata basis,
in relation to their present stock
holdings in the Bank.
id * That, upon the adoption of the
foregoing Resolutions, the Directors,
Officers, and Attorney for the
Bank take such legal action as they
deem necessary for the purpose of
carrying out the foregoing Resolu
tions, and that the Bank petition
the Secretary of State to amend
the Charter of the Bank pursuant
to these Resolutions, subject to the
approval of the Superintendent of
Banks of the State of Georgia.
*e* That, upon the adoption and
approval of said Resolutions, ap
propriate action be taken so that
all stock may be issued without
issuing any fractional share to any
stockholder, and so that each stock
holder will be given election of
each fractional share which he
would be entitled to purchase, so
that he may receive whole shares,
either less or more than the frac
tional share to which he is entitled
pursuant hereto, by purchasing or
selling a fractional share of stock.
if* That the President of the Bank
will act as agent, without compen
sation, for the purpose of executing
the election of stockholders as to
the division of such fractional shares
and the exercising of said options
rejating thereto.

Applicant attaches hereto a cer
tified abstract from the minutes of
the Board of Directors and stock
holders of the corporation showing
the proposed amendment has been
authorized by a vote of a majority
in amount of the entire capital
stock at a meeting of the Stock
holders called by the Board of Di
rectors for the purpose of acting
thereon.
WHEREFORE, applicant prays
that its Charter be amended pur
suant to the resolutions set forth
hereinbefore.

of BANK OF FOREST PARK, For
est Park, Georgia, do hereby cer
tify that the following is an exact
copy of a part of the minutes of
a meeting held by the Stockholders
of said Bank on November 7, 1967.
•1* That the Bank of Forest Park
increase the capital of the bank by
issuing an additional 6,000 shares
of capital stock with a par value of
SIO.OO per share, so that the total
number of shares of capital stock at
410.00 per share par value will in
crease from 32,000 shares to 38,000
shares, and so that the capital of
the bank thereby will be increased
from $320,000.00 to $380,000.00.
•2* That the 6,000 of said new
shares of stock will be issued at a
price of $25.00 per share, SIO.OO per
share beinß en tered as capital and

surplus.

all stock may be issued without is
suing any fractional share to any
stockholder, and so that each stock
holder will be given election of
each fractional share which he
would be entitled to purchase, so
that he may receive whole shares,
either less or more than the frac
tional share to which he is entitled
pursuant hereto, by purchasing or
selling a fractional share of stock.
<6l That the President of the
Br.nk will act as agent, without
compensation, for the purpose of

I further certify that said stock
holders' meeting was a special
meeting, that proper notice was
given, and that the purpose of said
meeting was to act on the proposed

at said Stockholders' meeting either
in person or by proxy and voted in

TION CO., for a period of thirty

velop and repair dwellings and
business structures, both residential
and commercial.

Petitioners desire said corporation

Georgia.
The maximum number of shares
of stock shall be Fifty Thousand of
the par value of One Dollar per
share, all of which shall be common
stock. However, the amount of
capital with which the corporation
shall begin business shall not be
less than Five Hundred Dollars rep
resented by cash or property.
The County in which the princi
pal office of the corporation is to
be located is Clayton County, Geor
gia, with the privilege of establish
ing branch offices and places of
business both within and without
the State of Georgia.

Your petitioners herewith exhibit
a certificate of the Secretary of
State of Georgia as required by law.
WHEREFORE, petitioners pray
that they be incorporated under the
name and style aforesaid with all
the rights, powers, privileges and
immunities herein set forth and
such additional rights, powers,

necessary to the conduct of the
business aforesaid as now or here
after are afforded under the laws
of this State.

000 grants will be made In
1969 at the biennial conven
tion of the sorority in Kan
sas City. The second will be
announced in 1971 and the
third in 1973.
"We have not set limiting
guidelines,” Mrs. Galbreath
said, "because we hope to
encourage the widest pos
sible Interest. There are so
many opportunities — talk
ing books to overcome lan
guage barriers, development
of humanistic libraries, au
dio-visual materials for the
mentally retarded, special
studies in American history,
music and art appreciation
on the level of the educa
tionally deprived. Our urban
problems offer a vast area
for A. D. K-sponsored re
search work, too.”
Alpha Delta Kappa, now
in its 21st year, was founded
in Kansas City by four wom
en, two of whom remain ac
tive. it now has approxi
mately 33,000 members in
1,134 chapters in the United
States, Puerto Rico, Mexico,
Canada, and Argentina.

hundred and fifty Forest
Park citizens. Judge E. T.
Brock from the Municipal
Court in Atlanta acted as
moderator.
Mrs. M. R. Sutton, first vice
president of the Forest Park
Woman’s Club, welcomed the
guests and introduced Judge
Brock and the panel consist
ing of Mrs. J. W. Stanford,
president of the Sixth Dis
trict of the Georgia Federa
tion of Woman’s Clubs, Rep.
Lamar Northcutt and Mrs.
Phillip Kimbell, president of
the Forest Park Jaycees.
Judge Brock introduced the
candidates. Each talked two
minutes on their platform,
then answered questions
read by the moderator.

The Clayton County Commis
sioners of Roads and Revenue held
a regular meeting at 10 A.M., Tues
day, October 3, 1967.
The following members were
present: Mr. P. K. Dixon, Mr. James
A. Duncan and Mr. Tommy E.
Vaughan.
Motion by Mr. Vaughan, second
by Mr. Duncan, that the minutes
of September 5, 14 and 21, 1967 be
approved as read. Vote unanimous.
Motion by Mr. Duncan, second by
Mr. Dixon, that the low bid of
Gulf Oil Company in the amount
of .1350 per gallon for gasoline and
the low bid of Standard Oil Com
pany in the amount of .1022 per gal
lon for diesel fuel be accepted. Vote
unanimous.
The petition of Bunyan Enter
prises to rezone property from
A-Ag to R-3 located in Land Lot
118 of the 12th District was con
sidered by the board.
Motion by Mr. Vaughan, second
by Mr. Dixon, that the petition be
approved. Motion carried. Mr. Dun
can recorded voting against Bunyan
Enterprises petition.
Motion by Mr. Vaughan, second
by Mr. Dixon, that upon promotion
an employee will be given raises
twelve *l2* months from date of
promotion instead of date of em
ployment. Vote unanimous.
Motion by Mr. Dixon, second by
Mr. Duncan, that the following
names be submitted to the Clayton
County Hospital Authority to fill

a Regular Meeting at 2 P.M., Thurs
day, October 12. 1967. The following
members were present: Mr. P. K.
Dixon. Mr. James A. Duncan and
Mr. Tommy E. Vaughan.
The petition of Leon Bates to re
zone property from R-2 to C-3 lo
cated on the South Expressway in
Land Lot 175 of the 13th District
was presented to the board. Motion
by Mr. Duncan, second by Mr.
Dixon, that the petition be ap
proved. Vote unanimous.
The petition of F. C. Brown to
rezone property from R-2 to M-2
located on 54 Highway in Land Lot
49 of the 12th District was pre
sented to the board. Motion by Mr
Duncan, second by Mr. Dixon, that
the petition be approved. Vote
unanimous.

considered by the board. Motion by
