Petitioners desire to be incorpo
rated under the name and style of
“PROFESSIONAL PILOT TRAIN
ING, INC.,” for a period of thirty
five (35) years with the privilege of
amendment and renewal as provided

The principle office of the cor
poration shall be in Clayton County,
Georgia, but the corporation shall
have the right to establish banch
offices and places of business else
where, both within and without,
the State of Geox&gla.
The object of said corporation
shall be pecuniary gain to itself and
its stockholders. The general nature
of the business to be transacted by
the corporation shall be to solicit,
procure and enroll students for pilot
training and pilots for advance
training. To offer for sale and to
sale franchises to airports and other
interested persons for the above rea
sons,

In addition to, but not in limita
tion of, the general powers conferred
by law, petitioners desire for said
corporation the power to lend money
and extend credit; the power to buy,
hold for investment, sell, lease, rent,
manage and otherwise deal in prop
erties of every kind and description,
whether real or personal, without
any limitation or restriction whatso
ever; the power to construct build
ings, to survey, subdivide, improve
and develop land; the power to
enter into any contract of quaranty,
suretyship or endorsement in which
it shall have no direct interest, and
to make any purely accommodation,
quaranty, endorsement or contract
of suretyship; the power to provide
for pension, retirement or similar
aid to its officers or employees; to
compensate its officers or employees
by bonuses or other forms of retro
active payment; the power to enter
into partnerships, joint ventures and
associations through franchise or
otherwise; the power to borrow
money, {issue bonds, promissory
notes and other obligations and evi
dences of indebtedness, and to se
cure the same by mortgage, pledge
or otherwise; the power to carry on
any lawful business; and the power
to do anything whatsoever that may
be deemed necessary, proper, useful
or incidental to carrying on its busi
ness, .
The maximum authorized capital
stock of the corporation shall be
100 shares of common stock having
a par value of 31800.00 per share.
The amount of capital with which
the corporation shall begin business
shall be at least $200.00.
WHEREFORE, petitioners pray
that this application for charter be
granted and that they be incorpo
rated under the aforesaid name with
all the rights, powers, immunities,
and privileges hereinabove set forth
and such other and may be now
or hereafter allowed to corporations
of like character under the laws of
this State. y

is a certificate from the Secretary
of the State of Georgia, stating that

Petitioners desive for themselves,
their associates and successors to
be incorporated under the name of
“FARM HOUSE, INC."
2.
The object of said corporation is
pecuniary gain and profit.
3.
The general nature of the business
or businesses to be transacted is as
tollows: The purchase of land, sale
of land, and the improvements
thereon, including all the business
irfcident thereto and the erection
and construction of structure or
structures, including remodeling, for
the purpose of operating a restau
rant business for the purchase and
sale of foods, both wholesale and
retail, and the catering to and serv
ice of the general public as well as
private parties in this field, along
with all of the allied and appurte
nant operations incidental and nec
essary to the proper performance
and carryving out of a restaurant

is to include leasing of property,
both improved and unimproved, for

corporations be vested with all the
rights and powers now or hereafter
given to do any and all things which
may be needful or proper in the
operation of the above described
business, and that said corporation
have all of the powers enumerated
in Sections 22-1827 and 22-1828,
Georgia Code Annotated, and such
powers as may hereafter be given
by law

The maximum number of shares
of stock with par value shall be
1,000 shares at SIOO.OO per share.
However, the amount of capital with
which the corporation shall begin
business shall be not less than
- $500.00. The corporation shall be au

time, but within the limitations set
forth in Section 22-1854, Georgia
Code Annotated, to reduce the
amount of capital outstanding.

style of '‘Eastside Baptist Church of
Riverdale, Inc.” with a corporate
existence of 35 years from this date
the same being specially prayed in

the State Highway Department, in
his or her individual capacity.
Plans and Specifications may be
inspected at the offices of the
undersigned at Atlanta, and at the
Division Office indicated, and at
the office of the Board of County
Commissioners of the County in
which the work lies. Copies of the
plans may be obtained upon pay
ment in advance of the sum indi
cated. Copies of the Standard Speci
fications may be obtained upon pay
ment in advance of the sum of $4.00,
which sums will not be refunded.
Proposals mus' be submitted on
regular forms, which will be sup
plied by the undersigned, and may
be obtained by a payment, in ad
vance, of $5.00 for each proposal
issued. When the proposal is sub
mitted, it must be accompanied by
a proposal guaranty in the form of
a certified check, cashier’'s check,
negotiable United States Bonds, or
other acceptable security in the
amount indicated, and must be
plainly marked "Proposal for Road
Construction,” County and Number,
and show the ‘ime of opening as
advertised. Check of the low bidder
will be cashed and all other checks
will be returned as soon as the con
tract is awarded, unless it is deemed
advisable by the State Highway De
partment to hold one or more
checks. If an unusual condition
arises, the State Highway Depart
ment reserves the right to cash all
checks. Bidders Bond will not be
accepted. Bond will be required of
the successful bidder as required
by law.
Contracts will not be awarded to
con‘ractors who have not been ‘
placed on the list of qualified Con
tractors prior to the date of award.
No proposal will be issued to any
bidder later than 9 AM. of the date
of opening bids.
All bids must show totals for each
item and total amount of bid. Right
is reserved in the undersigned to
delay the award of the contract for
a period not to exceed thirty (30)
days from the date of opening bids,
during which period bids shall re
main open and not subject to with
drawal. Right is also reserved in
the undersigned to reject any and
all bids and to waive all formalities.
Upon compliance with the refiulre
ments of the Standard Specifica
tions, payment for work done shall
be made in accordance with the

shall be that of carrying on propa
ganda or otherwise attempting to

The corporation shall have no
capital stock and no shareholders;
and no trustee or other individuals
shall at any time have any interest
in the earnings or income of the
corporation; and no dividend or re
turn of any character nor any part
of the assets of the corporation shall
ever be returned to any of the in
corporators or to any trustee there
of either upon dissolution or other
wise.

The governing body of the cor
poration shall consist of not less
than seven and not more than
fifteen members as a Board of Trus
tees, who shall perform the duties
and have all the rights and authority
of a Board of Directors under the
laws of the State of Georgia, as
well as such other rights as are
herein granted.

The corporation shall have all of
the rights, powers and privileges
customary or proper for charitable
corporations, as well as those herein
specifically set out; may receive do
nations by gift, bequest or devise
and agree upon the conditions there
of with donors for the purpose pro
vided in this charter; may from
time to time invest the funds of
the corporation in such property,
teal and personal, as the trustees in
their discretion may determine, ir
respective of whether such invest
ments may be legal investments for
trust funds under the laws of Geor-

The incorporators shall constitute
the original Board of Trustees of
the corporation who shall serve as
trustees until the next annual nieet
ing of the Board of Trustees or
until their successors shall be duly
elected and qualified. The Board of
Trustees shall be a self-perpetuating
body. Each year the Board of Trus
tees shall elect a Nominating Com
mittee consisting of not more than
five and not less than three mem
bers of the Board of Trustees which
Nominating Committee shall nomi
nate fifteen qualified persons as
trustees. At the annual meeting of
the Board of Trustees, the Board
shall first determine by vote the
number to be trustees for the en
suing vear. The Board shall then
proceed to the election of trustees,
In addition to those nominated by
the Nominating Committee, any
other member whose acquiescence
has previously been gotten mav bhe
jominated by any two trustees
Those persons nominated who re.
ceive a plurality of the votes cast
shall be elected as trustees and shall
constitute the Board of Trustees for
the ensuing year.

this charter may be surrendered, in
which event the assets of the cor
