the particulars hereinafter set out,

charter was granted on the 29th

at a special meeting of the
stockholders of this corporation
held on the 30th day of September,
1968, duly called for the purpose
of acting upon a Resolution to
amend the charter of the
corporation, at which all of the
stockholders of said corporation
were present in person, the
following Resolution was
unanimously adopted:
BE IT RESOLVED: that R & R
TOOL AND DIE COMPANY, INC.
proceed forward to secure an
amendment to its charter, which
shall provide that the corporation
shall have existence for a period of
35 years from the date of their
amendment and to secure powers
for the corporation to guarantee,
become surety upon, or endorse the
contracts or obligations and to
change its name from R & R TOOL
AND DIE COMPANY, INC. to the
name of BRADLEY TOOLING
CORPORATION, and to have all
powers, rights, and duties as the
corporation did have under the
name of R & R TOOL AND DIE
COMPANY. INC.

Rt. 1, LaGrange, Georgia, shows:

The desire for themselves, suc
cessors, associates and assigns to be
incorporated under the name and
style of:
"PRIME MEATS INC."
for a period of thirty-five years, as
provided by law.
2.
The certificate required by law,
entitling the petitioners to make
this application has been obtained
from the office of the Secretary of
State of Georgia, and is attached
hereto and made a part hereof.
3.
The principal office of the cor
poration will be in Clayton County,
State of Georgia, but petitioners
desire the right for the corporation
to establish offices and places of
business elsewhere, either within or
without the State of Georgia.
4.
The purpose of the corporation is
pecuniary gain to its stockholders.
‘ The general nature of the busi
ness, the corporation will transact
and for which charter powers are
desired is that of meat supply busi
ness, either at wholesale or retail, or
both, which shall include the pur
chase and sale and handling of all
types of meats and to do and per
a form any other acts or things re
lating or relative to the conduct of
such business authorized by law.

Petitioners further desire that the
corporation have the right to buy,
own, and sell real estate and per
sonal property, whether incident to
the operation of the corporation
business or not; to create mort
gages., execute deeds of trust and
issue debentures for any other
forms of obligations secured by
such covenants and in any form as
may be necessary to the validity
thereof; to perform and transact
any type and kind of business tnat
can be legally done by a corpora
tion created by a Superior Court of
Georgia, in its own behalf, or as
agent for others, and to have and
exercise all rights, privileges and
powers provided by law.
7.
The capital stock of the corpor
ation will be 1,000 shares and par
value to be SI.OO per share.
8.
The amount of capital with which
the corporation will begin business
will be $200.00.
9.
Petitioners desire the right to
adopt any by-law or regulations for
the conduct of the corporate busi
ness consistent with the Constitu
tion and Laws of the State of Geor
gia and the United States.
WHEREFORE, petitioners pray
that they be incorporated under the
name and style aforesaid with all
rights, powers and privileges that
can be granted to a corporation by
a judgement of a Superior Court of
Georgia, according to the Laws of
said State, as they now exist or may
hereafter be amended.
