To the Superior Court of Said
County:
The petition of Jack Ragland,
Richard J. Lee, and Sam A. Nunn
Jr., respectfully shows :
1. Petitioners desire for them
selves, their associates and suc
cessors to be incorporated under
the name of “Interstate Real Es
tate, Inc.”.
2. The object of said corpora
tion is pecuniary gain and profit.
3. The purposes of the corpora
tion and the general business or
businesses to be transacted by the
corporation is as follows;
(a) To carry on the business
of dealers or financial agents in
all transactions relating to the
sale, transfer, or exchange of ev
ery description of stocks,' shares,
debentures, bonds, mortgages,
freehold or leasehold property,
life interests, reversions or other
security interests or investments
for money, and all transactions
and negotiations on commission or !
otherwise relating to such busi
ness; and to advance or negotiate :
the advance of money at interest
on securities or otherwise; and to ,
carry on the business of stock,
land, estate and mortgage agents, |
and brokers in all branches.
(b) To build, erect, construct,
lease or otherwise acquire, man- ,
age, occupy, maintain, and operate
buildings for hotel purposes, mo
tels, dwelling houses, apartment
houses, office buildings, and busi
ness structures of all kinds for the
accommodation of the public and
of individuals; and to keep, man
age, conduct and operate hotels,
motels, apartment houses, dwell
ing houses, restaurants, lunch and
tea rooms, barber shops, and cases
for the accommodation of the pub
lic and of individuals; and to buy,
sell, exchange, lease, subdivide and
improve real estate with all the
usual and necessary services per
taining thereto; and to conduct
and carry on the business of pro
viding meals and food for the
general public, and buying and
selling any and all other things ne
cessary or desirable in connection
with the operation of a motel or
a hotel business.
(c) To cause to be formed, mer
ged, or reorganized or liquidat'd,
to promote, take charge of, and aid !
in any way permitted by law the
| formation, merger, liquidation, or
i reorganization of any corporation,
association, or organization of any
; kind, domestic or foreign, and to
; form, organize, promote, manage,
I control and maintain and dissolve,

4. The foregoing clauses shall be
construed as both purposes and
powers.
5. The corporation shall have
the power to enter into, or, be
come a partner in, any arrange
ment for sharing profits, union or
interests, cooperation, joint ven
ture or otherwise with any person,
firm or corporation now carrying
, on or about to carry on any busi
ness which this corporation has a
direct or incidental authority to
pursue.
6. In furtherance and not in
limitation of the powers conferred
by the laws of the State of Geor
gia, the Board of Directors is ex
pressly authorized: Without the as
sent or vote of the stockholders, to
authorize and issue obligations of
the corporation, secured or unse
cured, and to include therein such
revisions as to the redeemability,
convertibility, or otherwise, as
such Board of Directors, in its
discretion, may determine, and to
authorize the mortgaging or pledg
ing, as security therefor, of any
property of the corporation, real
or personal, including after ac- !
quired property.
7. Petitioners further desire that
said corporation be vested with
all the rights and powers now or
hereafter given to do any and all
things which may be needful or
proper in the operation of the
above described business, and that
said corporation have all the pow
ers enumerated in Sections 22-1827
and 22-1828, Georgia Code Annota
ted, and such powers as may here
after be given by law.
8. The maximum number of
shares of stock shall be one mil
lion (1,000,000) of the par value
of fifteen (15) cents per share,
all of which shall be common
stock. However, the amount of
capital stock with which the cor
poration shall begin business shall
be not less than Six Hundred
($600.00) Dollars. The corporation
shall be authorized to issue addi
tional shares up to the maximum
sum above stated.
9. The time for which the cor
poration is to have existence is

tary of the State of Georgia as re
quired by Section 22-1803, Georgia
Code Annotated.
Wherefore, petitioners pray to
be incorporated under the name
and style aforesaid with all the
rights, powers, privileges, and im
munities herein set forth, and such
additional rights, powers and pri
vileges as may be necessary, pro
per or incident to the conduct of
the business aforesaid, and as may
be inherent in or allowed to like
corporations under the laws of the
State of Georgia as they now exist
or may hereafter exist.
