PETITION FOR CHARTER

To the Superior Court of Said
County;
The petition of J. M. Tolleson, Jr..
John O. Batson, and Sam A. Nunn,
Jr. hereinafter called petitioners, re
spectfully shows:
1. Petitioners desire for themselves,
their associates and successors to be
incorporated under the name of
TOEUESON-BATSON COMPANY.
INC."
2. The object of said corporation is
pecuniary gain and profit.
3. The post office address of each
of the incorporators is as follows:
J. M. Tolleson, Jr., Perry, Georgia:
John O. Batson, Fulton, Alabama;
Sam A. Nunn, Jr., Perry, Georgia.
4. The general nature of the busi
ness or businseses to be transacted
is as follows:
a. To engage in any commercial.
Industrial, and agricultural enterprise
calculated or designed to be profita
ble to this corporation and in conform
ity with the laws of the State of
Georgia.
To generally engage in, do, and
perform, any enterprise, act, or vo
cation that a natural person might
or could do or perform;
To engage in the manufacture, sale,
purchase, Importing, and exporting
of merchandise and personal proper
ty of all manner and description, to
act as agents for the purchase, sale,
and handling of goods, wares, and
merchandise of any and all types
and descriptions for the account of
the corporation or as factor, agent,
procurer, or otherwise for or on be
half of another.
b. To engage in the general log
ging and lumber business, including,
but without limitation, the manufac
ture and sale of lumber and lumber
products of all kinds.
c. To engage in a general lum
ber, timber, kiln, drying, milling,
construction materials, and merchan
dise business: to manufacture, pur
chase, or otherwise acquire, sell, or
otherwise dispose of logs, lumber,
wood products in a processed or un
processed state, and by-products of
wood or of said manufacturing opera
tions, and building and construction
supplies and merchandise, either at
w hoiesale or retail.
d. To engage in the business of
manufacturing, buying, and selling
veneer plastics, and plywood and its
allied products and by-products and,
in connection therewith, to construct,
acquire, own, hold, maintain, and
operate any and all mills, buildings,
sheds, plants, veneer and plywood
plants, depots, and yards.
5. The Corporation shall have the
power, generally and without any
limitations or restriction whatsoever,
to hold, purchase, own, deal in.
mortgage or convey real estate and
personal property in this State and in
any other state or country.
6. The Corporation shall be au
thorized to purchase any of its out
standing common stock and to hold
same as treasury stock, or to cancel
and retire the same, or to resell the
same.
7. The Corporation shall have the
power to include in its by-Jaws or in
any agreement between the stock
holders, any regulatory or restrictive
provisions relating to the proposed
sale, transfer or other disposition of
any of its outstanding stock by any
of its stockholders or in the event
of the death of any of its stockhold
ers, provided that such provisions are
in compliance with the requirements
of Georgia law. The terms, condi
tions, and details of any such pro
vision or agreement shall be determ
ined by the stockholders of this cor
poration.
8. Petitioners further desire that
said Corporation be vested with all
the rights and powers now or here
after given to do any and all things
which may be needful or proper in
the operation of the above described
business, and that said Corporation
have all of the powers enumerated
in Sections 22-1827 and 22-1828,
Georgia Code Annotated, and in ad
dition such powers as contained in
the Georgia Business Corporation Act
which is to become effective in the
year 1969, and such powers as may
hereafter be given by Georgia law.
9. The maximum number of shares
of stock which may be issued by the
Corporation shall be ONE HUNDRED
THOUSAND (100,000) of the par value
of $ .10 per share, and The Corpora
tion shall be authorized to issue addi
tional shares up to the maximum
sum above stated, and the sales price
or issue price of the shares may be
set by the Corporation, provided that
the issue price shall not be less than
S .10 per share, the par value here
in set forth.
10. The time for which the Cor
poration is to have existence is
thirty-five (33) years, with the pri
vilege of renewal of the charter,
from time to time, upon expiration
of said thirty-five (35) year period.
Provided, however, when provisions
of Georgia law permit perpetual du
ration, this Corporation shall have
perpetual duration or existence with
out further action of the Directors or
stockholders,
11. The County in which the prin
cipal office of the Corporation Is to
be located is Houston County, Geor
gia, but the Corporation reserves the
privilege to establish branch offices
and places of business In other coun
ties, both within and without the
State of Georgia.
12. Your petitioners herewith exhi
bit a certificate of the Secretary of
the Stale of Georgia as required by
Section 22-1803, Georgia Code Anno-

incorporated under the name and
style aforesaid with all the rights,
powers, privileges and Immunities
herein set forth, and such additional
rights, powers and privileges as may
be necessary, proper or incident to
the conduct of the business aforesaid,

the officers of the corporation, the
manner ot their election, and such
other rules appropriate to by-laws
which have as their purpose the con
trol and management of the corpor
ation, including provisions whereby
the by-laws may be amended.
10. Your petitioners herewith exhi
bit a certificate of the Secretary ot
the State of Georgia as required by
Section 22-1803, Georgia Code Anno
tated.
11. The corporation shall have the
power to amend, alter, change or
repeal any provision of its charter
in form or substance upon the vole
of two-thirds of its outstanding com
mon stock; and all rights conierred
upon stockholders, directors and of
ficers herein are granted subject to
this reservation.
12. The corporation shall have the
power, upon a two-thirds majority
vote of the stockholders representing
all of the outstanding capital stock,
counting one vote for each share of
stock regardless of the general vot
ing qualifications of said share, to
change the capital stock to share of
no par value, or to fix the value al
any other par value they may deter
mine to make it.
13. The corporation shall have the
power, from time to time, and with
out charter amendment upon a two- .»
thirds vote of the outstanding stock,
to increase, or decrease, its capital
stock within the maximum or the
minimum limitations hereinbefore
provded in this charter; and in so
increasing its capital to wthln the
authorized maximum, the corpora
tion may, at the same time and by
the same vote, provide the type of,
whether common or preferred, with
or without par value, and the rights,
privileges and immunities of, such
additional stock; nor shall the then
existing stockholders be entitled to
any preemptive right in such in
crease.
14. There shall be not less than
three directors, nor more than five
directors of this corporation, whose
terms, date and place of meeting,
and their qualifications, and manner
of selection shall be set forth in the
by-laws of this corporation.
Wherefore, petitioners pray to be
incorporated under the name and
style aforesaid with all rights pow
ers, privileges, and immumtes herein
set forth, and such additional rights,
powers and privileges as may be ne
cessary, proper or incident to the
conduct of the business aforesaid,
and as may be inherent in or allow
ed to like corporations under the
laws of the State of Georgia us they
