2. Petitioners desire to merge un
der the laws of the State of Georgia
whereby Mobile Gas Co., Inc. shell
be merged into Mobile Home Gas
Oorp which shall continue as the
resulting corporation
3. Ail things have been done and
all acts have been performed which
are required under the Jaws of the
State of Georgia for the effectuation
of the merger herein prayed There
is attached hereto and made a part
hereof as Exhibit A a duly certified
copy of the agreement of merger
which has beer, entered ‘into and
adpled by each of the corporations,
all as required by law. according to
the terms of which this merger is
prayed
4. The name of (he resulting cor
poration shall be Mobile Home Gas
Corp. and IU principal office shall be
in Houston County, Georgia
5 The said agreement of merger
prescribes the manner of completing
the wild merger, the capitalization
of the resulting corporation and all
other matters required to be set forth
by law. Said merger agreement shall
govern the terms of the merger and
the provision* of the corporate char
ter of the resulting corporation
6 Petitioners pray that the author
ized capital of the resulting corpor
ation shall be 11*1,000 shares of com
mon stock having a par value of
SI.OO per share instead of 30,000
shares of common stock of the par
value of SI.OO per share provided
in the original charter of Mobile
Home Gas Corp.
Wherefore. petitioners pray that
Mobile Gas Co.. Inc. be merged into
Mobile Home Gas Corp. which shall
continue as the resulting corporation
as set forth in this petition and the
attached exhibit and as provided by
law, and that the authorized capital
of Mobile Home Gaa Corp. be in
creased to 100.000 shares of the pur
value of SI,OO per share.

WITNESSETH:
That, whereas, said corporations
desire 4o merge under the corporate
charter of Mobile Home Gas Corp.;
Now. thrat'lore. (he parties do
agree that the following shall ixmsli
lute the terms and conditions ot
the merger;
1. Mobile Gas Co., Inc. shall merge
into Mobile Home Gas Corp.. which
shall be the resulting corporation.
The provisions of the existing char
ter of Mobile Home Gas Corp., ex
cept as hereinafter provided, shall
constitute the provisions of the char
ter of Ihe merged corporation, which
shall be governed by the laws of
Georgia.
2. The name ami principal place of
business of the resulting corporation
shall be Mobile Home Gas Corp.,
Houston County, Georgia.
3. Upon the effective date of the
merger Mobile Gas Co., Inc. shall
execute to Mobile Home teas Corp.
proper instruments transferring alt of
Its assets and Mobile Home Gas Corp.
will assume all of the liabilities of
Mobile Gas Co.. Inc. and will Issue
to Mobile Gas Co.. Inc, 43.000 shares
ot its common capital stock. Simul
taneously Mobile Gas Co.. Inc. will
distribute to Its stockholders In com
plete liquidation and redemption of
Its stock the 43.000 shares ol the
common capital Mock of Mobile Home
Gas Corp. In lieu of Issuing u certi
ficate to Mobile Gas Co. Ine. the
certificates may be Issued by Mo
bile Hume Gas Corp directly to the
stockholders of Mobile Gas Co., Inc
proportionately to the present stock
ownership In the corporation.
4 The authorized capital of the
resulting corporal ion shall be 100.000
shares of common stuck having a
par value of SI,OO per share which
shares shat) be Issued us fully paid
and nonassessable and shall have
equal voting rights, but without pre
emptive rights.
5. All expenses in connection with
Ihe merger not previously paid by
Mobile Gas Co., Inc, shall be paid
or assumed by Mobile Home Gas
Corp.
6. All of the provisions of Sections
22-1837 through 22-1842 of the Code
of Georgia Annotated, as amended,
shall be compiled with.
7. This merger shall take effect
and all steps necessary to consum
mate It shall be taken on and as of
the beginning of business on the Ist
day of July, 1968.
I do hereby certify that I am secre
tary of Mobile Home Gas Oorp. and
that 1 am secretary of Mobile Gas
Co., Inc. and that the within and
foregoing agreement of merger, afler
having been duly executed by the of
ficers and directors of each of said
Companies, was submitted to the
stockholders of each of mid Compan
ies at a meeting duly called for the
purpose of voting upon said merger,
that all stockholders were present
and voting at said meeting and that
the stockholders of each of said Com
panies unanimously voted to approve
the mid merger on the terms and
conditions set forth In the agree
ment of merger.

1. Petitioners desire for themselves,
their associates and successors to be

2. The object of said corporation is

but not limited to. residences, apart

• and others: to purchase, lease, build.
■ construct, erect, occupy, hold and
manage buildings of every kind and
> character whatsoever; to finance the
purchase, improvement, development,
and construction of land and build
ings belonging to or to be acquired
' by this corporation or any other
person, firm or corporation; the do
ing of all kinds of public works, in
cluding grading and paving of roads,
sidewalks and highways, the laying
of water mains and sewers and in
stallation of gas and electricity and
other public services or utilities.
4. Petitioners further desire that
said corporation be vested with all
the rights and powers now or here
-1 after given to do any and all things
which may be needful or proper in
the operation of the above described
business or businesses, and that said
corporation have all of the power
enumerated In Sections 22-1827 and
22-1828, Georgia Code Annotated,
and such powers as may hereafter
be given by law.
5. The maximum number of shares
■ of stock with par value shaH be One
Thousand Shares at the par value of
One Hundred Dollars ($100.00) per
share. However, the amount of capi
tal with which the corporation shall
begin business shall be no less than
Ten Thousand Dollars ($10,000.00) or
One Hundred Shares. The corporation
shall be authorized to issue addition*
al shores up to the maximum sum
above stated and thereafter, from
time to time, but w-ilhln the limita
tions set forth in Section 22-1854.
Georgia Code Annotated, to reduce
the amount of capital outstanding,
but not below the minimum above
stated, and all this upon a majority
vote of the board of directors, ap
proved by a two-thirds majority vote
of the stockholders.
6. The time for which the corpora
tion Is to have existence is 35 years,
with the privilege of renewal of the
charter, from time to time, updh the
expiration of said periods of thirty
five (35) years.
7. The county In which the princi
pal office of the corporation is to be
located Is Houston County, Georgia,
but the privilege is desired to estab
lish branch officst and places of
business both within and without
the Slate of Georgia.
8. The name and post office ad
dress of each of the applicants for
charter are as follows: Roy N. Cow
art, Warner Robins, Georgia; R. Avon
Bulce, 'Perry, Georgia; Mildred P.
Berry, Warner Robins, Georgia.
9. Petitioners further desire that
by-laws of the corporation shall be
adopted by the common stockholders,
and such by-laws shall provide for
the officers of the corporation, the
manner of their election, and such
other rules appropriate to by-laws
which have as their purpose the con
trol and management of the corpor
ation, Including provisions whereby
the by-laws may be amended.
10. Your petitioners herewith exhi
bit a certificate of the Secretary of
the State of Georgia as required by
Section 22-1803, Georgia Code Anno
tated.
11. The corporation shall have the
power to amend, alter, change or
repeal any provision of its charter
In form or substance upon the vote
of two-thirds of Us outstanding com
mon stock; and all rights conferred
upon stockholders, directors and of
ficers herein are granted subject to
this reservation.
12. The corporation shall have the
power, upon a two-thirds majority
vote of the stockholders representing
all of the outstanding capital stock,
counting one vote for each share of
stock regardless of the general vot
ing qualifications of said share, to
change the capital stock to share of
no par value, or to fix the value at
any other par value they may deter
mine to make it.
13. The corporation shall have the
power, from time to time, and with
out charter amendment upon a two
thirds vote of the outstanding stock,
to increase, or decrease, its capital
slock within the maximum or the
minimum limitations hereinbefore
provded In this charter; and in so
Increasing its capital to wthln the
authorized maximum, the corpora
tion may, at the same time and by
the same vote, provide the type of,
whether common or preferred, with
or without par value, and the rights,
privileges and immunities of, such
additional stock; nor shall the then
existing stockholders be entitled to
any preemptive right In such in
crease.
14. There shall be not less than
three directors, nor more than five
directors of this corporation, whose
terms, date and place of meeting,
and their qualifications, and manner
of selection shall be set forth In the
by-laws of this corporation.
Wherefore, petitioners pray to be
Incorporated under the name and
style aforesaid with all rights, pow
ers, privileges, and immunites herein
set forth, and such additional rights,
powers and privileges as may be ne
cessary, proper or incident to the
conduct of the business aforesaid,
and as may be inherent in or allow
ed to like corporations under the
laws of the State of Georgia as they

Centerville Sets
Fire Truck Vote
CENTERVILLE—Voters in
Centerville will go to the polls
Monday, July 15, to vote for a
of fire equipment for
this ten-year old Houston County
City.
Coupled with the purchase is
a two mill tax increase. The is
sue was defeated by a narrow
margin of only four votes in
1964. Centerville is presently
served on a contract arrangement
with the City of Warner Robins.
“The Council and myself
solidly support this referendum
and urge our citizens to vote for
the increase which will be used
solely for the purchase of a fire
truck and equipment,” Mayor
Cedric Jones said.
The Mayor explained that the
council could raise the taxes
without a referendum but “we
feel the people should soundly
endorse this much needed ser
vice.”
“Letters are being written
every voter and resident this
week and we feel our people
upon seeing the need will give
this program their endorsement”,
Mr. Jones said.
Centerville has one of the
lowest tax millages in Georgia,
set at six mills on its chartering
in 1958 and continuing at that
rate today.

Edgar Barfield of Perry, is the
new club golf champion at Hous
ton Lake Golf and Country Club
Barfield took top honors in the
recent club tourney by firing a
36-hole total of 150 to win the
event by nine strokes over his
nearest rival.
Young Barfield is a student
at the University of Georgia and
is the son of Mr. and Mrs. Wil
liam Barfield of Perry.
Second place in the “A” di
vision was won by Floyd Keeney
with a 159. Billy Oliver shots
160 for third spot.

Soybean Grower
Gels Good Yield
A Calhoun County farmer is
setting an excellent example a
mong Georgia farmers who are
making soybeans a fast-growing
new cash crop for the state, re
ports J. R. Johnson, head of the
Extension Service agronomy-je
partment at the University o(
Georgia College of Agriculture.
Last year the Calhoun County
producer, Ralph M. Jordan, aver
aged 45 bushels per acre on 260
acres for a total production of
11,757 bushels.
Although Georgia farmers have
made substantial progress in re
cent years in increasing acreage
and yields of soybeans, the out
look for the crop is still good,
Mr. Johnson said. The Georgia
demand far exceeds the 196 i
production.
In making his high production,
Mr. Jordan planted the Bragg va "
riety in 30-inch rows. He planted
at various times over a 30-day
period extending from April 15 to
May 15. ,
Mr. Jordan used 800 pounds o
a 5-10-15 fertilizer per acre and
he limes his fields every three
years according to soil teß ’
recommendations. He inoculated
the soybean seed before pl ant '
ing and used insecticides to con
trol pests.
