cotton mill at Annestown and finding
all of the property in Gwinnett coun
ty, l nai orally thought of my few
acquaintances up there. As you
probably know I was born and raised
in Walton county and know but few
people in Gwinnett, though for sev
eral reasons I have always felt kind
ly toward the county on account of
the few acquaintances and friends,
but more so because Gwinnett coun
ty gave to me one of the best moth
ers the world ever furnished a son,
according to my way of looking at it.
I have put my money in Gwinnett
county property, I must say my
mother county, and am in for.every
thing that will tend to make it the
grandest county in the state of Geor
gia. All I ask of her citizens is a
fair business consideration which I
fully believe I will get.
Mr. R. H. Ginn, a Walton county
boy, will be superintendent of the
mill and there is no finer citizen than
he. He has spent forty-two years in
the mill business and I have no fear
but what he will make a success in
the undertaking. You will find him
very modest in his political views,
but f think if lie would speak out his
sentiments he would be for plain
Dick Russell.
Mr. W. H. Jones is vice president
and everybody knows “Walter.”
He is a son of I)r. D. C. Jones, de
ceased, of Atlanta. He is a descend
ant of the Harris family of Walton
county, one of the first and best fam
ilies in the state.
As you know, the mill at this place
by reason of bad management or
from some other cause has failed to
pay proper dividends and naturally
has gotten a bad name but the busi
ness world need not fear any bad re
sults for we are going to run the bus
iness on business principles and pay
as we go.
The first thing after starting up the
mill will he to build a church and
establish a good school. Nature has
not provided a more oeaufciful place
for a home than Annostown; it has a
high elevation, pure water and per
fect drainage, and if >on will not
think I am boasting, in a few years I
•will show you the loveliest, village
and happiest citizens on Yellow river
that tin re is in the* state of Georgia.

Application for Charter.
GEORGIA Gwinnett County. To the
superior court of said county. The petition
of A. J. Baxter, W. H. Jones and R. H.
Ginn, all of Walton county, said state, re
spectfully shows:
1. That they desire for themselves, their
associates, successors and assigns to become
Incorporated under the name and style of
"BAXTER COTTON MANUFACTURING
COMPANY.’’’
2. The term for which petitioners ask to
be Incorporated Is twenty (20) years, with
the privilege of renewal at the end of that
time.
3. The capital stock of said corporation Is to
be thirty thousand ($30,000.00 ido liars, divided
into shares of one hundred ($100.00) dollars
each. Petitioners, however, ask the privi
lege of increasing the said capital stock
from time to time not exceeding in the ag
gregate three hundred thousand ($300,000.00)
dollars.
4. That more than ten (10) per cent of the
said capital stock of t hirty thousand ($30,-
(HH).00) dollars has already been actually paid

5. Petitioners desire the privilege of issu
ing preferred stock not exceeding in the ag
gregate the sum of fifty thousand ($50,000.00)
dollars upon proper authority from the
stockholders of the satd corporation and
proper resolutions of the directors thereof.

ders. Petitioners desire full power to man
ufacture cotton into yarns, bagging, rope,
twine, thread, cloth and other fabrics for
sale, to buy and sell merchandise as inci
dent to the manufacturing business, to pur
chase and store cotton to supply the ma
chinery of the corporation, to buy, hold and
own such real estate as may be necessary
for the erection of their buildings and to
buy and sell machinery of all kinds, used In
the manufacture of cotton; to buy, sell and
use patent rights and inventions for manu
facturing cotton, to buy and sell personal
property, mules, drays and other personalty
necessary to carry on the business of man
ufacturing cotton, to adopt such by laws
and elect such officers as they may think
proper for the carrying on said business; to
generate electricity for furnishing power
for running their own machinery and for
sale to other persons, private or corporate,
and for lighting their own buildings and
for sale for lighting purposes to other per
sons, private or corporate,ln said county or
any other county In said state, to transmit
electric current and erect poles and lines
therefor, to have and use a corporate seal,
to sue and be sued in their corporate name,
to contract and be contracted with, to bor
row and lend money, to buy, hold, sell and
mortgage real estate and personal property,
ro issue and sell bonds on their property or
mortgage the same and give or receive col
laterals for debts due by or to said corpora
tion and to have a lien on the stock of its
stockholders for all indebtedness due to the
corporation for all unpaid subscriptions or
otherwise; to manufacture corn into meal
and wheat into flour and other products
and to own and operate corn and flourmills
and to exercise the usual powers and do all
the usual, necessary and proper ac.ts which
pertain to or may be connected with the
business hereinbefore set out.
Wherefore petitioners pray that they be
made a body corporate under the name and
style aforesaid, entitled to all the rights,
privileges and immunities and subject to
the liabilities fixed by law.
