Gross, hereinafter called peti¬ tioners, respectfully shows: - - 1 - Petitioners desire for them¬ selves, their associates and suc¬ cessors to be incorporated under the name of GROSS MERCANTILE COMPANY. - 2 - The object or said corpora iu.l is pecuniary gain and profit. -3- The general nature of the business to be transacted is as follows:- To carry on the business of establishing and conducting a general department store busin¬ ess, including the buying, leas¬ ing, manufacturing, selling, and otnerwise dealing in merchan¬ dise, hard and soft goods, wares and commodities of all kinds and descriptions; and to do any and all acts and things neces- s a r y convenient, expedient, ancillary or in aid to the ac¬ complishment of the foregoing. -4- Petitioners further desire that said corporation be vested with all the rights and powers now or hereafter given to do any and aii things which may be needful or proper in the operatson of the above described business, and that said corporation have all of the powers enumerated in Sections 22-1827, 22-1828 and 22-1870 of the Code of Georgia, and all of the other powers and privileges enumerated in Chap¬ ter 22-8 and 22-9 of the Code of Georgia, as well as such powers as may hereafter be given by law. -5- The maximum number of shares of stock shall be six hundred (600) of the oar value of One Hundred Dollars (100.00) per share, all of which shall be common stock. However, the amount of capi¬ tal with which the corporation shall begin business shall be not less than One Thousand Dollars ($1,000.00) The corporation shall be authorized to issue additional shares up to the maximum sum above stated, and thereafter, from time to time, but within the limitations set forth in Section 22-1854, Georgia Code Annotated, to re¬ duce the amount of capital out¬ standing. the The time for which cor¬ poration is to have existence is thirty-five (35) years with the privilege of renewal of the Charter frbm time to time upon the expiration of said periods of thirty-five (35) years. -7- The County in which the principal office of the corpora¬ tion is to be located is Dade County, Georgia, but the privil¬ ege is desired of establishing branch offices and places of business, both within and with¬ out the State of Georgia.
