come operative. Said sale will be
made for the purpose of raising
funds to pay the note which said
deed was given to secure, and which
the date of rale vill include
principal, interest attorneys fees and
expenses of this proceeding. Hie

said sale, if any. will be delivered
to said William Daniel.

in regular stockholders meeting as

1. All of the stockholders of said
corporation being present and all of
the debts of the corporation havinr
been paid, and there being no out
standing lien against the property
of the corporation and no outstand
ing indebtedness of any kind against
the corporation, and an offer hav
ing been made by an individual
purchaser for the property and
business of the corporation, and this
offer being acceptable to all of the
stockholders, be it therefore resolved
that Vernon C. Davis, as Secretary-
Treasurer of the corporation, is in
structed to petition the Superior
Court for authority to cancel and
surrender said charter, m
property and wind up the affairs of
the corporation, upon such terms
and conditions of sale as may be
agreed upon by the majority of the
stockholders, and after paying the
expenses of same to divide the pro
ceeds remaining the stor
holders in accordance with their
interest therein.
