PETITION TO SUPERIOR
COURT FOR BUSINESS
CORPORATION
GEORGIA, CHATTOOGA
COUNTY:
TO THE SUPERIOR COURT OF
SAID STATE AND COUNTY:
The petition of H. W. Hamp
ton, James S. Tankersley, Jr.,
and O. L. Foster states to the
court the following petition:
(1) That they desire for them
selves, their associates and suc
cessors to be made a body poli
tic under the name and style of
Tooga Theatre, Incorporated for
the period of twenty years.
(2) The principle office of the
company shall be in the city of
Summerville and county afore
said, but petitioners desire the
right to establish branches with
offices in this State or elsewhere,
whenever the holders of majori
ty of the stock may so determine.
(3) The object of said corpora
tion is pecunariary gain to itself
and its shareholders.
(4) The principle place of busi
ness will be in the City of Sum
merville, Georgia, and in the
County of Chattooga.
(5) The business to be carried
on by said corporation is a gen
eral motion picture business.
(6) The capital stock of the
corporation shall be $20,000.00
with the priviledge of increasing
same to the sum of $75,000.00 by
a majority vote of stockholders.
Said stock to be divided into
1,000 (one thousand) shares no
par value. Ten per cent of cap
ital stocks to be employed by
them has actually been paid in.
Petitioners desire the right to
the subscription to said capital
stock paid in money or property
to be taken in at fair valuation.
(7) Petitioners desire the right
to sue and be sued, to plead and
to be impleaded and to use a
common seal to make all the nec
essary laws for the successful
carrying on of said business, in
cluding the right to buy, hold,
and sell real estate and personal
property, suitable to the proper
ty of the corporation and to se
cure the same by mortgage, se
curity deed, or other form of lien.
(8) They desire for said in
corporation the power and au
thority to apply for and accept
amendments to its charter of ei
ther form or substance by vote
of majority of its stock outstand
ing at the time. They also ask
authority for said corporation
to wind up its affairs, liquidate
and discontinue its business at
any time if they may determine
to do so by a vote of two-thirds
of its stock outstanding at the
time.
(9) They desire for said in
corporation the right of renewal
when and as provided by the
laws of Georgia, and that it may
have all such other rights, pow
ers, priviledges, and immunities
as are incident to like incorpora
tion or permissible under the
laws of Georgia. Wherefore, pe
titioners pray to be incorporated
under the name and style afore
said with the powers, priviledges,
and immunities herein set forth
and as are now, or may hereaft
er be, allowed a corporation sim
ilar character under the laws of
Georgia.

The petition of Ledbetter-
Johnson, Contractors, respectful
ly shows to the Court:
FIRST: That your petitioner
was heretofore incorported by
order of the Superior Court of
Chattooga County, Georgia, for a
period of twenty years, on the
7th day of October, 1927, under
the name of Ledbetter-Johnson,
Contractors, and that under date
of December 8, 1936, its charter
was amended, conferring upon
'said Company certain additional
powers and privileges.
SECOND: Your petitioner fur
ther shows that heretofore, to
wit, on the 26th day of March,
1947, at a meeting of the stock
holders duly and regularly called
and held, a resolution was adopt
ed by two-thirds of the vote of
: the capital stock of said corpora
tion in words and figures as fol
lows, to-wit:
WHEREAS, The Charter of
Ledbetter-Johnson, Contractors,
was heretofore granted on Oc
tober 7, 1927, and was thereafter
on December 8, 1936, amended
by the Superior Court of Chat
tooga County, Georgia; and,
WHEREAS, It is desired by the
’stockholders of said corporation
that a renewal of said charter
shall be procured and the pow
ers of said corporation shall be
extended and broadened, and the
name of said corporation
changed:
NOW, THEREFORE, BE IT
RESOLVED By the Stockholders
of said corporation that the
President be and he is hereby
authorized and directed to peti
tion the Superior Court of Chat
tooga County, Georgia, for a re
newal of the charter of said cor
poration for a period of thirty
five years from the date of such
renewal.
. BE IT FURTHER RESOLVED
That the name of said corpora
tion shall be changed to Led
better-Johnson Company.
BE IT FURTHER RESOLVED
That, in addition to the business
specified in its original charter
to be carried on and the powers
therein granted, that said Presi
dent of said corporation shall
seek to have granted to said
corporation full power and au
thority to buy, sell, construct or
contract for the construction of
any type or character of build
ings, or the construction of air
fields, railroads or any character
of construction or works; to
manufacture any character of
materials it may need, or to han
dle the same either as brokers
or agents; to buy, own or sell
stock of other corporations; to
issue bonds and to secure the,
same by trust deed, security
mortgage or other form of
security, to build and operate
warehouses, both for its own
use and the use of others, to
crush and quarry stone, to own,
build, lease or construct brick
plants and operate the same; to
own, build, purchase, lease or
construct cement plants for the
manufacture of cement, and to
own and operate any other plant
of any kind or character what
soever for the manufacture cf
any material, or fabrication
thereof, which may enter into
any of its work and the carrying
on of its contracting or building
operations, with power to lease,
sell, purchase or rent equipment
of whatsoever kind or character,
to act as dealers in any material
which may be needed or used by
it incidental to its business as
granted to it in its original char
ter and the amendment thereto,
and to generally do and perform
any and all other things inci
dental to any of the above pow
ers granted to it by its original
charter and to have and exercise
all powers and authorities grant
ed to a corporation of like char
acter by the laws of the State
of Georgia as of the date that
the charter of this' corporation
shall be renewed.
THIRD: Petitioner presents i
herewith a certificate of the Sec
retary of State that there is no
corporation incorporated under
the name of “Ledbetter-Johnson ,
Company.”
WHEREFORE, Petitioner prays |
that its corporate name be
changed to “Ledbetter-Johnson ;
Company,” and that its charter
be renewed for a period of thir
ty-five years, in accordance with i
the terms of the statutes in such i
cases made and provided, with i
all the powers, privileges and au- |
thority given to it by its original i
charter and the amendments
thereto hereinbefore referred to,
and as set forth in the resolution
set out in the second paragraph
of this petition, and as may be
conferred upon it by the laws of ■
the State of Georgia.

eral funds for improvement of
rural library service under the
Public Library Service Demon
stration Bill now before Con
gress, State School Supt. M. D.
Collins has announced.
Dr. Collins said the proposed
measure, known as the Hill-Aik
en Bill, would appropriate $25,000
annually for demonstrations in
each state and as much as $75.-
000 annually for matching by the
state. Such funds would be avail
able for a period of five years.
One of the purposes of the
demonstrations would be to show
people in rural areas how a li
brary would operate, how eco
nomically it could be managed
and how well it would serve
them.

chase books, newspapers, educa
tional films, periodicals and oth
er materials normally distribut
ed by libraries.
Dr. Collins said the program
would be operated through state
agencies which would submit to
the U. S. Office of Education
plans best suited to areas with
out libraries. Federal control is
eliminated as soon as these plans
meet specifications included in
the bill.
The state school superintend
ent said Georgia would benefit
greatly from such a program be
cause 1,045,516 of its people, or
33 per cent of its total popula
tion are without library service.

When the colored preacher’s
knock on the door of the modest
little shanty brought a woman
attired in heavy mourning, the
good man solicitously inquired,
