said conveyance being that said
widow has not been able to find
gainful employment in said
county and applicant is informed
and believes that the interests
of the applicant and her minor
son can better be served by con

and moving to another locality.

PETITION TO SUPERIOR
COURT FOR BUSINESS

TO THE SUPERIOR COURT OF
SAID STATE AND COUNTY:
The petition of H. W. Hamp
ton, James S. Tankersley, Jr.,
and O. L. Foster states to the
court the following petition:
(1) That they desire for them
selves, their associates and suc
cessors to be made a body poli
tic under the name and style of
Tooga Theatre, Incorporated for
I the period of twenty years.
(2) The principle office of the
[company shall be in the city of
Summerville and county afore
said, but petitioners desire the
right to establish branches with
offices in this State or elsewhere,
(whenever the holders of majori
[ ty of the stock may so determine.
I (3) The object of said corpora
tion is pecunariary gain to itself
and its shareholders.
(4) The principle place of busi
: ness will be in the City of Sum
merville, Georgia, and in the
County of Chattooga.
; (5) The business to be carried
[on by said corporation is a gen
eral motion picture business.
(6) The capital stock of the
{corporation shall be $20,000.00
I with the priviledge of increasing
[same to the sum of $75,000.00 by
[a majority vote of stockholders.
[Said stock to be divided into
1,000 (one thousand) shares no
par value. Ten per cent of cap
ital stocks to be employed by
them has actually been paid in.
Petitioners desire the right to
the subscription to said capital
stock paid in money or property
to be taken in at fair valuation.
(7) Petitioners desire the right
to sue and be sued, to plead and
[to be impleaded and to use a
| common seal to make all the nec
essary laws for the successful
carrying on of said business, in
cluding the right to buy, hold,
and sell real estate and personal
property, suitable to the proper
ty of the corporation and to se
cure the same by mortgage, se
curity deed, or other form of lien.
(8) They desire for said in
corporation the power and au
thority to apply for and accept
amendments to its charter of ei
i ther form or substance by vote
[of majority of its stock outstand- j
jing at the time. They also ask
authority for said corporation
to wind up its affairs, liquidate
and discontinue its business at
any time if they may determine
to do so by a vote of two-thirds:

laws of Georgia, and that it may

The petition of Ledbetter-
Johnson, Contractors, respectful
ly shows to the Court:
FIRST: That your petitioner
was heretofore incorported by
order of the Superior Court of
Chattooga County, Georgia, for a
period of twenty years, on the
7th day of October, 1927, under
the name of Ledbetter-Johnson,
Contractors, and that under date
of December 8, 1936, its charter
was amended, conferring upon
said Company certain additional
powers and privileges.
SECOND: Your petitioner fur
ther shows that heretofore, to
iWit, on the 26th day of March,
1947, at a meeting of the stock
i holders duly and regularly called
and held, a resolution was adopt
ed by two-thirds of the vote of
! the capital stock of said corpora
tion in words and figures as fol
lows, to-wit:
WHEREAS, The Charter of
Ledbetter-Johnson, Contractors,
was heretofore granted on Oc
tober 7, 1927, and was thereafter
on December 8, 1936, amended
{by the Superior Court of Chat
tooga County, Georgia; and,
WHEREAS, It is desired by the
stockholders of said corporation
| that a renewal of said charter
shall be procured and the pow
ers of said corporation shall be
extended and broadened, and the
name of said corporation
changed:
NOW, THEREFORE, BE IT
RESOLVED By the Stockholders
of said corporation that the
President be and he is hereby
' authorized and directed to peti
tion the Superior Court of Chat
tooga County, Georgia, for a re
newal of the charter of said cor
poration for a period of thirty
five years from the date of such
renewal.
BE IT FURTHER RESOLVED
That the name of said corpora
tion shall be changed to Led
better-Johnson Company.

changed to “Ledbetter-Johnson
Company,” and that its charter
be renewed for a period of thir
ty-five years, in accordance with
the terms of the statutes in such
cases made and provided, with
all the powers, privileges and au
thority given to it by its original
charter and the amendments
thereto hereinbefore referred to,
and as set forth in the resolution
set out in the second paragraph
of this petition, and as may be
conferred upon it by the laws of
the State of Georgia.

Elsa Maxwell has made a most
unusual career for herself. Giv
ing parties!
Where do you suppose she was
born? In the fashionable May
fair in London? On Fifth Ave
nue, New York? In Biarritz,
France? No! In Keokuk, lowa.
A woman’s age is a delicate
subject—ordinarily. But not in
Elsa’s case. She not only tells it,
but will shout it, May 24, 1883. So
that now she is 64 years old—and
going strong.
As a child she liked entertain
ing others. Parties intrigued her.
When she was 14 years of age
her family moved to San Fran
’cisco, where she made friends
and acquaintances, and was in
vited to many parties. When it
came her time to give a party
she decided to give one that was
different. Instead of having a
nice ice-cream-and-cake affair,
she hired a scow that was an
chored in San Francisco Harbor;
and for her music, she engaged
a musician to wander up and
down the waterfront playing an
accordian. The party was a big
success; the talk of her set for
days.
Her father died. Adversity sat
on her doorstep; and she had to
go out and eanr a living. She got
a job playing the piano in a mo
vie theater in the days when it
was called a “nickelodeon.” She
had to watch the picture on the
screen, and improvise music to
fit the scene.

she was in London. In no time
after that, she awoke one morn
ing in Cape Town, South Africa.
There she was invited to a swell
party, met Lord Gladstone and
so fascinated him that he invited
her to one of his parties. She be
lieved she could give more inter
esting parties than the ones she
attended, so she waited her
chance. Back in Europe she met
Arthur Balfour, famous British
statesman, and sent him an in- [
vitation to a party of hers. She
hired the swanky Ritz, and spent [
all the money she had. It was a
sensation. It was noticed in the
London papers. She attracted
more attention in one night than
most women do in a lifetime.
A bit of luck came her way,;
and she received $5,000 as a pres
ent. She took the money and
gave another party—with Fritz
Kreisler, the noted violinist, to
play.
She came home to America and
in New York gave the most elab
orate parties given in that city
in 20 years. At one of them she
invited the guests to come dress
bed as the person they hated.

movie man from Hollywood. She
