Bankson, hereinafter called applicants,
bring this application for the granting of
a charter for a private corporation, and
show to the court the following facts:
FIRST
They desire for themselves, their asso
ciates and successors, to be incorporated
under the name of Trion Motor Co. The
principal office and place of business of
said corporation shall be located in Chat
tooga County, Georgia, with the privi
leges of establishing branch offices and
places of business in such other places
as may hereinafter be desired, and as
provided by law.
SECOND
Applicants are residents of, and their
Post Office addresses are as follows: L.
B. Harrell, Trion, Georgia; D. W. Harrell,
Trion, Georgia; and John Bankson, Sum
merville, Georgia.
THIRD
The purpose and object of said corpora
tion is pecuniary gain and profit to its
shareholders. The general nature of the
business to be transacted is and the cor
porate powers desire are;

of said corporation, to buy and sell, ac
quire, own. hold, rent, lease, transfer and
assign both real and personal prooerty of
every nature, kind and character, and
to deal with the same in any way and
manner that may seem expedient in the
furtherance of the object of said corpora
tion; to sell automobiles, trucks, busses,
both at retail and wholesale, as well as
all automobile equipment, supplies; and
accessories: to sell farm implements, ve
hicles, equipment and supplies to operate

ter, and also electrical appliances and

Beloved friends, this son was
honest. He confessed his sins.
Thank the Lord for men today,
that will confess their sins and
be honest with God. An honest
person is a man that will make
things right by confessing their
wrongs, but think of some to
day, that will deny their sins
and try to cover them up and
hide them. People like that, how
can they ever be saved?
Sinner, you must be willing
to confess your sins before the
Lord. The only way to hide your
sins surely, is to have Gods for
giveness, then after God for
gives you are clear from punish
ment. The longer you hide your
sins, the deeper you are con
demned, and the worse it may
grow.
Friends, like the prodigal son,
please confess your sins to God
before it is too late, and be in
the number of the Lord’s chil
dren.

tist Church this Saturday night.

at wholesftje or retail, and to operate
stores, warehouses and branch offices as
may hereafter be needed and desired by
applicants,
lb) Applicants desire the right to buy,
sell and deal in stocks, bonds and se
curities of every nature and character,
including the right to purchase the stock
of said corporation.
(c) To have all of the powers enjoyed,
and all of the privileges enacted in Code
Sect.on 22-1827 and 22-1870 of the Code
of 1933 of the state of Georgia, and all of
the other powers and privileges enacted
in Chapter 22-18 and 22-29 of said Code,
and all of the powers and privileges
enacted therein are made a part hereof
to the same extent as if same were
quoted herein.
(d) Applicants desire the right for said
corporation to have and use a common
seal, and to have all such powers and
authorities as are usually granted a cor
poration of like character.
FOURTH
The time for which said corporation is
to have existence is thirty-five years, with
the right of renewal at the expiration of
said time, as provided by law.
FIFTH
The amount of capital stock with which
the corporation will begin business shall
be twenty-five thousand dollars ($25,000),
either in cash or other assets, or a com
bination of the two, as provided by Code
Section 22-1801 (d).
SIXTH
The capital stock of said corporation
shall be divided into one thousand shares
of the par value of twenty-five dollars
($25.00) per share, with the right and
privilege of increasing said capital stock
to the sum of ONE HUNDRED THOU
SAND ($100,000) Dollars at such time as
may be determined by applicants. All
stock in said corporation to be common
stock. Any increase in the common stock
to be determined by a majority vote of
the common stock outstanding at the time
and place of a meeting legally called for
such purpose.
SEVENTH
Subject to the provisions of the Code
of Georgia of 1933, Section 22-1827 (f),
said company shall elect the number of
directors of the company as shall be de
termined by the stockholders thereof, as
provided by law, and as shall hereafter
be modified or changed by approval and
proper act of the Board of Directors of
said Company, and the rules and by-laws
thereof.
EIGHTH
Applicants further desire the right, in
the operation of said corporation and the
general powers conferred by law, to in
vest the Board of Directors with the ex
clusive power in the management of said
corporation.
NINTH
Applicants pray that the liabilities of
the stockholders in said corporation be
confined to the unpaid purchase price of
the stock subscribed by each.
TENTH
The time and place of meetings of the
Board of Directors, as well as the stock
holders of said corporation, shall be gov
erned by the by-laws of said corporation,
which may be changed or altered, as pro
vided by law.
Wherefore, applicants pray to be in
i corporated under the name and style
1 aforesaid, with all of the rights and
privileges permitted by law, and such ad
ditional powers and privileges as may be
I necessary, proper and incident in the
conduct of the business for which appli
’ cants are asking incorporation, as may
be allowed like corporations under the
laws of Georgia, as they now or may
hereafter exist.
