The petition of E. C. Pester field, W. B.
Farrar, and Annabelle Lilliard Pesterfield
shows:
1. The post office address of each of
the petitioners is Summerville. Georgia.
2. They desire to be incorporated as a
private corporation, the object of which
is pecuniary gain or profit, for the term
of 35 years, under the name of TRI
STATE ‘ BROADCASTING COMPANY.
I 3. The principal office oi said corpora
tion shall be in Chattooga County, with
the privilege of establishing branch offices
and places of business elsewhere.
i 4. The general nature of the business
to be transacted will be that of ow’ning
.•nd operating Radio Broadcasting Sta
tions, and the operation of any business
related or connected therewith, and also
conducting and operating such other busi
ness as the stockholders may determine
whether or not the same be considered
consistent or related to the general busi
ness specified herein.
5. Said corporation will begin business
with a capita! of EIGHTEEN THOUSAND
DOLLARS, divided into shares of common
;tock oi SIOO.OO per value per share, with
the right to increase said capital to
1000 shares, which increase mav be repre
senH'd by common or preferred shares,
either or both, said preferred shares to

, to be redeemable from such funds as the
stockholders may determine.

corporated under the name aforesaid with
all the rights and powers herein specified,
together with those afforded and avail
able to similar corporations under the

County. Georgia, a certain security deed
to the following described land:

proper advertisement, on the first Tues

gia. The proceeds from said sale will bo
used, first, to the payment of said note,
principal, interest and expenses and the
balance, if any, delivered to the said

COUNTY:
TOOGA THEATRE. INC. a corporation of
said State and County, shows to the Court
the following facts:
1 Petitioners charter was granted by
this Honorable Court on the 7th day of
April. 1947. and was on the 28th day of
May. 1947. duly amended, under the laws
of the State of Georgia, by this Honorable
Court, and said charter was accepted by
the organizers of said corporation and
since that time petitioner has functioned
as a corporation.
2. Petitioner shows that at a meeting
of the stockholders of such corporation,
duly called for that purpose, a resolution
was adopted by the affirmative vote of
the owners of all the capital, stock of
petitioner, resolving that the corporation
shall surrender its charter and franchise
to the State and be dissolved as a corpora
tion A copy of said resolution is hereto
attached marked Exhibit “A” and made
a part of this petition.
3 Petitioner shows that said dissolu
tion may be allowed without an injustice
to any stockholder or any person having
claims or demands of any character
against said corporation. Wherefore, peti
tioner prays that an order be granted
fixing a time for a hearing of this peti
tion. not less than four weeks from the
time of such order and that this peti
tion be ordered filed in the office of the
clerk of said Court, and a copy of the
petition and order be published once a
v. eek for four weeks in the official gazette
of said County and that petitioner be
dissolved.
