debts, issue notes, bonds, bills of
exchange, debentures, or any
other legal form of obligation,
or evidence of debt, whether se
cured by mortgage, pledge or
property purchased or acquired
for any lawful purpose.
(c) To buy, sell, manufacture,
import, export, repair, exchange,
and deal in and with, in any
manner whatsoever furniture,
household and kindred furnish
ings and to carry on the busi
ness of interior decorating and
furnishing of every nature and
description and to do any act
necessary in such business.

That said Corporation be
vested with all the rights and
powers now or hereafter given to
corporations under the laws of
the State of Georgia, to do any
and all things which may be
needful or proper in the opera
tion of the businesses hereinbe
fore described, or any of them,
and that said corporation have
all the powers enumerated in
Sections 22-1827 and 22-1828 of
Georgia Code Annotated, and
such other powers as may here
inafter be given by law.

The maximum number of
j shares of stock shall be 500
shares all of which shall be com
mon stock, and all of which shall
be without par value. The first
( 300 shares thereof shall have a
(stated or fixed value of SIOO.OO
■ per share, and may be issued to
| the subscribers therefor and the
purchasers thereof for consider
( ation in money, property or
services as the value thereof
j shall be determined by the stock
holders, at their first and or
ganizational meeting or by the
Board of Directors, if, as. and
only when such Board of Direc

i structed and authorized by said
stock holders so to do. The re
maining 200 shares of said au
(thorized issue of non-par stock
shall be issued for such consid
i eration or considerations, in
(money, property or services, as
(shall be fixed, from time to time,
| and at any time by the majority
i vote of the Board of Directors.
In every event, the Board of Di
; rectors may allocate any portion

such non-par value shares of
stock to capital and the re
mainder to surplus, in its discre
tion.

The time for which said Cor
poration is to have existence is
thirty-five years, with the priv
ilege of renewal of the charter
from time to time upon the ex
piration of said period of thirty
five years.

The County in which the prin
cipal office of the Corporation
|is to be located is Chattooga
County: the said principal office
of said Corporation to be located
in Summerville, Georgia: how
ever, the privilege is desired of
establishing branch offices and
other places of business in other
cities and counties both within
and without the State of Geor
gia.

The name and post office ad
dress of each of the applicants
for this charter is:

Petitioners further desire that
by-laws of the Corporation shall
be adopted by the common
stockholders, and such by-laws
shall provide for officers of the
Corporation, the manner of their
selection, and such other rules
appropriate to by-laws which
have as their purpose the control
and management of the Cor
poration. including provisions
whereby the by-laws may be
amended.

Your petitioners herewith ex
hibit the certificate of the Sec
retary of the State of Georgia, as
required by Section 22-1803.

WHEREFORE petitioners pray
to be incorporated under the
name and style aforesaid, with
all the rights, powers, privileges
and immunities hereinbefore set
forth, and such additional
rights, powers and privileges as
may be necessary, proper or in
cident to the conduct of the
businesses aforesaid, and as may
be inherent in, or allowed to like
corporations under the laws of
the State of Georgia, as they

under the name of CLEMONS
BROS. COMPANY of SUMMER
VILLE, INC., read and consid
ered.
It appearing that the petition
is within the purview and inten
tion of the laws applicable
thereto, and all of said laws have
been fully complied with, includ
ing the presentation of the cer
tificate from the Secretary of
State, as required by Section
22-1803, Georgia Code of 1933;
It is hereby ordered, adjudged
and decreed that all of the
prayers of said petition are
granted, and said applicants and
their associates, successors and
assigns, are hereby incorporated
and made a body politic under
the name and style of CLEMONS
BROS. COMPANY of SUMMER
VILLE, INC., for and during a
period of thirty-five years with
the privilege of renewal at the
expiration of that time, accord
ing to the laws of Georgia, and
that said Corporation is hereby
granted and vested with all the
rights and privileges mentioned
in said petition.
