the laws of Georgia, respectfully
shows that:

Petitioner was granted a bank
charter as a State banking institu
tion on February 5, 1926 by the
Secretary of State. This charter was
renewed for a period of thirty (30)
years from February 5, 1956 by
order dated March 6, 1956.

Said charter was amended on
April 17, 1946 by increasing its
capital stock from twenty-five
thousand dollars ($25,000) to fifty
thousand dollars ($50,000); said
charter was amended again on June
5. 1952 by further increasing its
capital stock from fifty thousand
dollars ($50,000) to one hundred
thousand dollars ($100,000); said
charter, as renewed, was amended
on March 6, 1956 by further in
creasing its capital stock from one
hundred thousand dollars
($100,000) to two hundred thou
sand dollars ($200,000); said char
ter, as renewed, was again amended
March 16. 1967 by further increas
ing its capital stock from two hun
dred thousand dollars ($200,000)
to three hundred thousand dollars
($300,000); said charter, as re
newed, was again amended March
11, 1970 by further increasing its
capital stock from three hundred
thousand dollars ($300,000) to
four hundred fifty thousand dollars
($450,000); and said charter as
renewed, was again amended June
21, 1971 by changing the par value
of its share of capital stock from
one hundred dollars ($100) to five
dollars ($5) per share and the num
ber of outstanding shares from
4,500 to 90,000 shares.

Petitioner desires to amend its
charter, as renewed, by increasing
its capital stock from four hundred
fifty thousand dollars ($450,000)
to nine hundred thousand dollars
($900,000), which increase will be
divided into ninety thousand
(90,000) additional shares of stock
at the par value of five dollars ($5)
per share.

Said increased capital stock of
ninety thousand (90,000) shares is
to be issued as a stock dividend of
one hundred per centum (100%) of
the ninety thousand (90,000)
shares of capital stock outstanding
as of July 20, 1972.

A special meeting of stockholders
was held on July 20, 1972 with
notice of said meeting and its pur
pose having been duly given to all
stockholders of record. Said pur
pose was specifically set forth in
said notice as being to act upon the
recommendation of the Board of
Directors for the aforesaid increase
in capital stock to be issued as a
stock dividend, pursuant to a reso
lution by the Board of Directors for
same to be presented to the stock
holders at a special meeting to be
called to act upon same, and that
notice of said recommendation be
contained In the notice given of
said special meeting. Each stock
holder was mailed a written notice
of said meeting more than ten (10)
days previous to the date thereof.
At said special meeting a unani
mous vote of stockholders repre
senting 82,020 shares of the 90,000
total shares of the capital stock of
said bank authorized this applica
tion for the amendment of the
charter, as renewed, herein applied
for.

A check in the amount of fifty
dollars ($50.00) payable to the
Secretary of State in accordance
with the provisions of Section
22-4701 of the Code of Georgia, as
amended, is enclosed, and attached
to this petition is a certified ab
stract from the minutes of a special
meeting of stockholders of peti
tioner held on July 20, 1972,
marked "Exhibit A”, and specifi
cally made a part of this petition.
WHEREFORE, Petitioner prays
that this application for amend
ment to its charter, as renewed, be
allowed, and has caused this peti
tion to be executed by its duly
authorized officer and its corporate
seal affixed hereto.

Allen Brown, who is to leave
Monday evening for Texas to
enter the Air Force.

stock of said Bank.
