To the Superior Court of said County.
The petition of o. Inman Davis, of
Richmond County, Georgia, and J. J.
Tyler, of Richmond County, Georgia!
respectfully shows:
1. Thai they desire for themselves,
their associates and successors, to be in
corporated and made a body politto*
under the name and style of Gavain
Manufacturing Company, for the period
of twenty years.
2. The principal office of said com
pany shall be in the City of Augusta,
State and County aforesaid, but petition
ers desire the right to establish branch
offices within this State, or elsewhere,
whenever the holders of a majority of
the stock may so determine.
3. The object of said corporation la
pecuniary gain to itself and its share
holders.
4. The business to be carried on by
said corporation is the manufacturing
of Hosiery and other cotton goods.
5. The capital stock of said corpora
tion shall be Ten Thousand Dollars, with
the privilege of increasing same to the
sum of Fifty Thousand Dollars, by the
majority vote of the stockholders, said
stock to be divided into shares of One
Hundred Dollars each. Ten per cent of
the amount of capital to be employed
by them has been actually paid In.
6. Petitioners desire the right to have
the subscriptions to said capital stock
paid in money or property to be taken
at a fair valuation.
7. Petitioners further desire the right
to sue and be sued, to plead and be im
pleaded, to have and use a common seal,
to make all necessary by-laws and reg
ulations, and to do all other things that
may be necessary for the successful
carrying on of. said business, including
the right to buy, hold and sell real es
tate and personal property suitable to
the purposes of the corporation, and to
execute notes and bonds as evidence of
indebtedness incurred, or which may be
incurred, in the conduct of the affairs
of the corporation and to secure the
same by mortgage, security-deed, or
other form of lien, under existing laws.
8. They desire for said incorporation
the power and authority to apply for and
accept amendments to its charter of
either form or substance by a vote of
a majority of its stock outstanding at
the time. They also ask authority for
said incorporation to wind up Us affairs,
liquidate and discontinue its business at
any tme it may detormina to do so by a
vote of two-thirds of its stock outstand
ing at the time.
9. They desire for the said incorpora
tion the right of renewal when and as
provided by the laws of Georgia, and
that it have all such other rights, pow
ers, privileges and Immunities as aro
Incident to like Incorporations or per
missible under the laws of Georgia.
Wherefore, petitioners pray to be in
corporated under the name and style
aforesaid with the powers, privileges
and rnmunities here** set forth, and aa
are now, or may hereafter be, allowed
a corporation of similar character tinder
the laws of Georgia.
