To the Superior court of said county: The petition of Alex. Legler, Alex. Hies and C .B. Conyers, all of Glynn county, Georgia, and John W. Schwarz kopf. of Saratow, Russia, respectfully shows unto the court: First. That petitioners for them selves and their successors, and such others as may be hereafter asoclated with them, desire to bo Incorporated under the corporate name and style of the Germau-Ameriean Land & Im provement, company, for the full term of twenty years with privilege of re newal at the end of that time, with their chief office at Brunswick, Glynn county, Georgia, with the privileges of removing same to any other point In the state-of Georgia that they may deem desirable: Second. That the capital stock of said corporation shall he the sum of twenty-five thousand dollars, divided into two hundred and fifty shares of one hundred dollars each, with the privilege of increasing the same at any time they may see fit to any sum not exceeding two hundred and fifty thousand dollars, none of which capi tal stock is now paid in, hut the pro visions of law with respect to sub scription and payment of said capital stock will be compiled with before the commencement of business by said corporation. 1 + Third. Fifth. That the time of the annual meetings of the stockholders of said corporation, and the number and kind of officers of said corporation with heir titles, powers, duties, salaries and emoluments shall be established and fixed from time to time by the board of directors of said corpora tion, who shall be selected from the stockholders themselves, and shall have general supervision and control of the affairs of said corporation, and said hoard of directors of said cor ■loration shall consist of not less than three nor more than seven persons, accordingly as the stockholders from time to time shall fix; and mat at all meetings of the stockholders of said corporation, whether regular annual meetings or called meei.ngs (which the president, of said corporation shall be authorized to convene for the con sideration of matters named in such call), each share of stock in said cor poration present or represented at such snail he entitled to one vote, and upon all questions a majority of the stock so voting shall control.
