: shows:
i First. That petitioners desire for
themselves, and such others persons
as may be hereafter associated with
them to be incorporated under tho
■corporate name and style of “The
"Loan and Land Company of Bruns
wick.”
Secoaid. That the object of such
corporation Is tfye pecuniary’ gain,
of its members, and they wish to own
hold, improve, and sell, or otherwise
dispose of real estate, to lend money
and take security therefor, and to
buy and sell stocks and bonds and
personal property of any kind.
Third. T hat the principal office of
said corporation shall be in the city
of Brunswick, In said county of
Glynn.
Fourth. That the capital stock
of said corporation shall be ten thous
and dollars, divided Into one hundred
shares of the*parvalue o* one hun
dred dollars each, with the right, by
a majority vote of the shareholders, to
increase) Ijhe capital stock from time
to time to any sum or sums not ex
ceeding fifty thousand dollars.
Filth. That tho officers of said
corporation shall be a president, vice
president, secretary and treasurer and
such other officers',or agents as the share
holders or board of directors may de
sire; that the board of directors shall
consist' ot not more than seven nor
not less than three, all of whom shall
be shareholders, who shall be elected
by the snareholders.
Sixth. That the shareholders shall
liavq tire right to fix and prescribe
by-laws, rules ami regulations for the
government of said corporation, or
to delegate this authority to the board
of directors.
Seventh. That, under such eorpor
ate name and style, jour petitioners
desire the right to contract' and be
contracted with; to sue and bo sued;
to borrow money and secure the same
as the board of directors may desire;
to have and use a common seal, and
to change the same at pleasure; and
generally to have all the rights, priv
ileges and powers Incident to and nec
essary and proper in the conduct, am
operation of the business of the cor
poration, and all the rights, privi
leges and' powers given and granted
such corporations under the laws of
Georgia.
Eighth. That there shall be no in
dividual liability upon the: part of
any shareholder of thecorporatlon ex
cept such amount as may be due by such
shareholder as unpaid subscription
for stock in said corporation.
Ninth, .hat they desire to be In
corporated under said name and
style of The Ixian and Land Company
of Brunswick, with all the rights,
prlviltges and powers prayed for
herein, for a period of twenty years,
with privilege of renewal at the ex
piration of that time.

PETITION FOR CHARTER.
State of Georgia,
County of Glynn.
To the Superior Court of saij county:
John J. Spears, Charles G. Moore
and John B. Davis, ail of said
county anu citizens of said state,
present this petition for incorpora
tion, and thereupon they allege and
pray:
First. Your petitioners desire that
themselves and such other persons
as may hereafter be associated with
them in that behalf and their succes
sors and assigns, he incorporated and
become a body politic under tne laws
of said state undor the corporate name
for the purposes, with the power and
to be governed as hereinafter men
tioned.
Second. The name of said corpor
ation, for the charter of which this
petition is presented, to be the At
lantic Baundry, IJye & Knitting Cos.
Third. The particular business
which said corporation shad transact
under said name, and the object of
such association is: (a) To operate,
carry on and conduct for hire and
compensation and profit a general
laundry, in the work of washing,
ironing and laundering clothing and
all other wash goods. (b)
To engage in the running and operat
ing for hire, compensation and profit,
of a knitting mill, in the manufacture
of cottora, woolen, silk and otner knit
goods, and selling the product and out
put thereof in the markets, and (c)
to carry on, also for compensation
hire and profit, the business 01 a dye
house, in the work of dying and clean
ing all kinds of clothing and dry goods
with the right to petitioners,, their
associates, successors and assigns, un
der such corporate name, however,
to operate during the term of their
incorporation any one, tr two, or ail
of said businesses at the same time
and either separately or together ac
cordiugiy as the best financial ends
of said corporation snail suggest, and
it shall seem most advantageous and
profitable to it, and with authority
further to operate any one or all of
sa._ businesses with steam, electric
or such other power aB shall be
deemed best.
Fourth. The capital stock of'said
corporation shall be five thousand dol
lars ($5,000) divided into shares of
ten dollars each, which is ready to
be paid in immediately upon the
grant and acceptance of the charter
hereby prayed for, and the opening
of subscription books, and the or
ganization of the company, with the
right, however, to the shareholders
at any time or times after <.s organi
zation, at any regular meeting on a
vote of three-fourths of the stock
holders, of Increasing su(ch capital
stock- from time to time to an amount
not exceeding, ..nally, fifty thousand
dollars ($50,000)
Fifth. The domicile of said corpor
ation shall be said county of Glynn
ami ils chief office aud place of bus
iness shall be Brunswick, therein, but
your petitioners also desire the right
and 'privilege from time to time, and
at any time, to establish branch busi
nesses under said charter, efse where
at other points in said state.
Sixth. Petitioners desire that said
corporation shall be governed, (except
as to the making of by-laws which
shall be made by the shaiedolders,)
uy a board of five directors, selected
by the shareholders at each annual
meeting, (except where the election
is to fill a vacancy) one of whom shall
by said shareholders, bo matte presi
dent, another secretary and a third
treasurer of said company, amt said
—ectors shall elect annually (except
when the election is to fill a vacancy
a general manager, to superintend aud
operate the business of said corpora
tion, and fix and prescribe his compen
sation,
Seventh. The meetings of the
shareholders, alter the nrst meeting
of the organization under this char
ter, shall be held on the second Mon
day in January of each year, except
call meetings,which the president may
at any time convene upon written no

their powers and duties, salaries and

Eighth. Petitioners ask that said
corporation have the power to re

ions real or personal property, useful
or necessary in the operation of all or
any of its said businesses.
Ninth. Tho said corporation have
all the powers, rights and privileges
generally called the common powers,
conferred by the law of this state up
on all corporations, as enumerated in
section 1852 of tue present code of
this state.
Tenth. Petitioners desire that said
corporation shall have the right to
borrow money for carrying on Its luts
ness, and securing loans to it by mort
gage or security deed.
Eleventh. Your petitioners desire

have succession as a body politic un
der said corporate name, with all the

The petition of C. P. Goodyear, Sr.
(I. Downing, W. E. Dempster, Walter
It. Isaac, and C. I’. Goodyear, Jr., all
of Glynn county, Georgia, respect
fully snows:
First.. That they desire to be incor
porate.,! under the name and style of
the “Brunswick Paint Oil & Varnish
Company" for a term of twenty
years, with tho principal place of bus
iness at. Brunswick Georgia and tho
privilege of establishing lagenceies
elsewhere and employing agents in
this state, the United States and for
eign countries.
Second. The object of said com
pany is to engage in manufacturing
and selling goods for profit, and the
principal busines which they desire
to engage in is the manufacture of
paint oil. varnish!: s. mixed paints,
and sale of the same.
Third. Tlie capital stock of said,
company to ho fifty thousand dol
lars ($50,000), in shares of one hun
dred dollars each, one-half com
mon stock and one half thereof to
be cumulative, participating prefer
red seven (7) per cent, divi
dend paying stock, that is to
say that before the common
stock shall receive dividends there
shall first be paid to the preferred
stock a seven per cent dividend,, and
if for any ye|a.r earnings are Insuffi
cient to pay all or any portion of such
seven per cent, dividend, that such un
paid dividend! or portion thereof
shall be paid to said preferred stock

by the name of the Cumberland Club;
2. That such corporation will have no
capital stock, except that derived from

corporated are not for pecuniary gain,

for the term of twenty (20) years with
the privilege of renewal after tho ex

after as may bo done under the laws of

on the purposes of said corporation and
the place of doing business shall he in
the City of Brunswick, Couhty of Glynn
and State of Georgia, lint with tho
right and privilege of establishing and
conducting a branch club rooms or
places of business aud doing the business
contemplated in and to he authorized
under tlris petitition in such other
counties and portions of said State asto
the said Cumberland Club or its officers
may seem desirable.
7. Petitioners pray for tho power to suo
and be sued, of having and using a
corporate seal, of succession and of
making such by-laws, rules and regulat
ions ami constitutions and of enforcing
the same as it may desire, not toconfliet
with tho laws of said State or tlie
United States, to bo binding and of
force upon its members and to alter,
