PETITION FOR CHARTER.
STATE OF GEORGIA,
COUNTY OF GLYNN.
To the Superior court of said county:
The petition of C. T. Calna-n, J, D.
White, J. A. vinjeite, S. B. Henderson,
James Savage and W. A. Potter, ail
of said state and county, respectfully
shows:
First. That petitioners desire for
themselves, and such others persons
as may be hereafter associated with
tnem, to be incorporated under the
•corporate name and style of “The
"Loan and Laud Company of Bruns
wick.”
Second. That the object of such
corporation is pecuniary gain,
of its members, and they wish to own
hold, improve, and sell, or otherwise
dispose of real eistjate, to lend money
and take security therefor, and to
buy and sell stocks and bonds and
personal property of any kind.
Third. T hat the principal office of
said corporation shall be in the city
of Brunswick, in said county of
Glynn.
Fourth. That the capital stock
of said corporation shall be ten thous
and dollars, divided into one hundred
shares of the" parvaluo of one hun
dred dollars each, with the right, by
a majority vote of the shareholders, to
iucreasq nhe capital stock from time
to time to any sum or sums not ex
ceeding lllly thousand dollars.
Film. That the officers of said
corporation shall lie a president, vice
president, secretary and treasurer and
such other officers 1 or agents as thearta.ro
holilers or board of directors may de
sire; that the board of directors shall
consist of not more than seven nor
not less than three, all of whom shall
be shareholders, who shall be elected
by the shareholders.
Sixth. That the shareholders shall
havq the right to lix and prescribe
by-laws, rules and regulations for the
government of said corporation, ot
to delegate this authority to the board
of directors.
Seventh. That, under such corpor
ate name and style, jour petitioners
desire the right to contract' and tie
contracted with; to sue and be sued;
to borrow money amd secure the same
as the board of directors may desire;
to have ami use a common seal, and
to change the same at pleasure; and
generally to have all the rights, priv
ileges and powers incident to and nec
essary and proper in the conduct an.
operation of the business of the cor
poration, and all the rights, privi
leges and powers given and granted
such corporations under the laws of
Georgia.
Eighth. That there shall be no in
dividual liability upon the pan of
any shareholder of thecorporatioii ex
cept such amount as may be (lueby such
shareholder as unpaid subscription
for stock in said corporation.
Ninth, .hat they desire to be in
corporated under said name and
style of The Ixian ami Land Company
of Brunswick, with all the rights,
privlliges and powers prayed for
herein, for a period of twenty years,
with privilege of renewal at the ex
piration of that time.

PETITION FOR CHARTER.

County of Glynn.
To the Superior Court of said ;ounty:
John J. Spears, Charles G. Moore
ami John 1!. Davis, all of said
county amt citizens of said state,
present tills petition for incorpora
tion, and thereupon they allege and
pray:
First. Your petitioners desire that
themselves and such other persons
as may hereafter be associated with
them in that behalf and their succes
sors and assigns, be incorporated and
become a body politic under the laws
of said state undor the corporate name
for the purposes, with the power and
to he governed as hereinafter men
tioned.
Second. The name of said corpor
ation, for the charter of which this
petition is presented, to be the At
lantic Laundry, Dye & Knitting Cos.
Third. The particular business
which said corporation shau transact
under said name, and tie object of
such association is: (a) To operate,
carry on and conduct for hire and
compensation and profit a general
laundry, in the work of washing,
ironing and laundering clothing and
all other wash goods. (l>)
To engage in the running and operat
ing for hire, compensation and profit,
of a knitting mill, in the manufacture
of cotton:, woolen, silk and other knit
goods, and selling the product and out
put thereof in the markets, and (c)
to carry on, also for compensation
hire and profit, the business 01 a dye
house, in the work of dying and clean
ing all kinds of clothing and dry goods
with the right to petitioners, their
associates, successors and assigns, un
der such corporate name, however,
to operate during the term of their
incorporation any one, tr two, or all
of said businesses at the same time
and either separately or together, ac
cordingly as the best financial ends
of said corporation s.iall suggest, and
it shall seem most advantageous and
profitable to it, and with authority
further to operate any one or all of
sa._ businesses with steam, electric
or such other power as shall be
deemed best.
Fourth. The capita] stock of said
corporation shall be five thousand dol
lars ($5,000) divided into shares of
ten dollars each, which is ready to
be paid in immediately upon the
grant and acceptance of the charter
hereby prayed for, and the opening
of subscription books, and the or
ganization of the company, with the
right, however, to the shareholders
at any time or times after i. s organi
zation, at any regular meeting, on a
vote of three-fourths of the gtock-
holdwrs, of increasing suf-h capital
stock from time to time to an amount
not exceeding, ..nally, fifty thousand
dollars ($50,000)
Fifth. The domicile of said corpor
ation shall be said county of Glynn
'and its chief office and place of bus
iness shall be Brunswick, therein, but
your petitioners also desire the right
and privilege from time to time, and
at any time, to establish branch busi
nesses under said charter, eteewhere
at other points in said state.
Sixth. Petitioners desire that said
corporation shall be governed, (except
as to the making of by-laws which
shall he made by the shatedolders,)
oy a hoard of five directors, selected
by the shareholders at each annual
meeting, (exciept where the election
is to fill a vacancy) one of whom shall
by said shareholders, be made presi
dent, another secretary and a third
treasurer of said company, and said
...eetors shall elect annually (except
when the election is to fill a vacancy
a general manager, to superintend and
operate the business of said corpora
tion, and fix and prescribe his compen
sation,
Seventh. The meetings of the
shareholders, alter the tlrst meeting
of the organization under this efiar

day in January of each year, except
call meetings,which (he president may
at. any time convene upon written no
tice to the shareholders, and the

Eighth. Petitioners ask that said

ions real or personal property, useful
or necessary in the operation of all or
any of its said businesses.
Ninth. The said corporation have
all the powers, rights and privileges
generally called the common powers,
conferred by the law of this state up
on all corporations, as enumerated in
section 11,52 of tne present code of
this state.
Tenth. Petitioners desire that said
corporation shall have the right to
borrow money for carrying on it3 bus
ness, and securing loans to it by mort
gage or security deed.
Eleventh. Your petitioners desire
that they, their ansqciates, succift
sors and assigns be incorporated and
have succession ns a body politic un
der said corporate name, with all the
said, powers, privi.'igcs and duties,
for the term of twenty years.

The petition of U. i'. Goodyear, Sr.
U. Downing, W. E. Dempster, Walter
li. Isaac, and C. I’. Goodyear, Jr., all
of Glynn county, Georgia, respect
fully snows:
First. That they desire (o tic incor
porated under the name anil style of
the “Brunswick Paint Oil & Varnish
Company” for a berm of twenty
years, with the principal place of bus
iness at Brunswick Georgia and the
paivi liege of establishing agenceies
elsewhere and employing agents In
tliis state, the United States and for
eign countries.
Second. The object of said com
pany is to engage in manufacturing
and selling goods lor profit, and the
principal busines which they desire
to engage in is tip' manufacture of
paint oil, vaniisliics, mixed paints,
and sale of the same.
Third. The capita! stock of saidj
company to be fifty thousand dol
lars ($50,000), in shares of one hun
dred dollars each, one-half com
mon stock and one half thereof to
be cumulative, participating prefer
red seven (7) per cent, divi
dend paying stock, that is to
say that before the common
stock Bhali receive dividends there
shall first be paid to the preferred
stock a seven per cent dividend,, and
if for any yejar earnings are insuffi
cient to pay all or any portion of such
seven per cent dividend, that such un
paid dividend', or portion thereof
shall be paid to said preferred stock

issued to constitute a quorum in such
meetings, and a majority of such quo

in but petitioners desire to engage m

bonds and secure same by mortgage
or deed of trust; to have and use a
common seal; to sue and be sued; to
plead and be impleaded; to make by
laws not in consistent with this
charter for its government, including
the number and character of its offi
cers and their compensation,, and
generally to do any other act or acts
thing or things usually done by cor
porations, not inconsistent with this
charter, or the laws of this state or
of the United States. And petition
