PETITION FOR CHARTER.
STATE OF GEORGIA,
COUNTY OF GLYNN.
To the Superior court of said county:
The petition of C. T. Calnan, J, IX
White, J. A. S. B. Henderson,
James Savage and \V. A. Potter, all
of said state and county, respectfully
shows:
First. That petitioners desire for
themselves, and such others persons
as may be hereafter associated with
mem, to be incorporated under the
corporate name and style of "The
"Loan anil Land Company of Bruns
wick.”
Second, That the object of such
corporation is tRe pecuniary* gain
of its members, and they wish to own
hold, improve, and sell, or otherwise
dispose of real estate, to lend money
and take security therefor, and to
buy and sell stocks and bonds and
personal property of any kind.
Third. T hat the principal office of
said corporation shall be in the city
of Brunswick, in said county of
Glynn.
Fourth. That the capital stock
of said corporation shall be ten thous
and dollars, divided into one hundred
shares of the ’ parvalue of one hun
dred dollars each, with the right, by
a majority vote of the shareholders, to
increase t(he capital stock from time
to time to any sum or sums not ex
ceeding fifty thousand dollars.
Fittn. That the officers of said
corporation shall be a president, vice
president, secretary and treasurer and
such other officers'or agents as the share
holders or board of directors may de
sire; that the board of directors shall
consist of not more than seven nor
not less than three, all of whom shall
be shareholders, who shall be elected
by the shareholders.
Sixth. That the shareholders shall
havq the right to fix and prescribe
oy-laws, rules and regulations for the
government of said corporation, or
to delegate this authority to the board
of directors.
Seventh. That, under such corpor
ate name and style, jour petitioners
desire the right to contract and he
contracted with; to sue and he sued;
to borrow money and secure the same
as the board of directors may desire;
to have ami use a common seal, and
to change the same at pleasure; and
generally to have all the rights, priv
ileges and powers incident to and nec
essary and proper in the conduct an..
operation of the business of the cor
poration, and all the rights, privi
leges and powers given and granted

Georgia.
Eighth. That there shall be no in
dividual liability upon the part of
any shareholder of tliecorporat ion ex
cept such amount as may be due by such
shareholder as unpaid subscription
for stock in said corporation,

style of The 1-oan and Land Company
of Brunswick, with all the rights,
priviliges and powers prayed for
herein, for a period of twenty years,
with privilege of renewal at the ex
piration of that time.

To the Superior Court of said ;ounty:

and John B. Davis, al! of said
county ana citizens of saiii state,
present this pdtifTon for incorpora
tion, and thereupon they allege and
pray:
First. Your petitioners desire that
themselves and such other persons
as may hereafter be associated with
them in that behalf and their succes
sors and assigns, be incorporated and
become a body politic under tne laws
of said state under the corporate name
for the purposes, with the power arid
to lie governed as hereinafter men
tioned.
Second. The name of said corpor
ation, for the charter of which this
petition is presented, to be the At
lantic Laundry, Dye & Knitting Cos.
Third. The particular business
which said corporation shan transact
under said name, and the Object of
such association is: (a) To operate,
carry on and conduct for hire and
compensation and profit a general
laundry, in the work of washing,
ironing and laundering clothing and
ail other wash goods. (b)
To engage in the running and operat
ing for hire, compensation and profit,
of a knitting mill, in the manufacture
of cotton, woolen, silk and otner knit
goods, and selling the product and out
put thereof in the markets, and (c)
to carry on, also for compensation
hire and profit, the business 01 a dye
house, in the work of dying and clean
ing all kinds of clothing and dry goods
with the right to petitioners, their
associates, successors and assigns,un
der such corporate name, however,
to operate during the term of their
incorporation any one, or two, or all
of said businesses at the same time
and either separately or together, ac
cordingiy as the best financial ends
of said corporation snail suggest, and
it shall seem most advantageous and
profitable to it, and with authority
further to operate any one or all of
sa._ businesses with steam, electric
or such other jiower as shall be
deemed best.
Fourth. The capital stock of said
corporation shall be five thousand dol
lars (|5,000) divided Into shares of
ten dollars each, which is ready to
be paid in immediately upon the
grant and acceptance of the charter
hereby prayed for, and the opening
of subscription books, and the or
ganization of the company, with the
right, however, to tne shareholders
at any time or times after i.s organi
zation, at any regular meeting, on a
vote of three-fourths of the atock
holdems, of increasing sufrh capital
stock from time to time to an amount
not exceeding, . nally, fifty thousand
dollars ($50,000)
Fifth. The domicile of said corpor
ation shall be said county of Glynn
and its chief office and place of bus
iness shall be Brunswick, therein, but
your petitioners also desire the-right
and privilege from time to time, ami
1 at any time, to establish branch busi
i nesses under said charter, elsewhere’
ai other points in said state.
Sixth. Petitioners desire that said'
corporation shall be governed, (except
as to ti;e making of by-laws which
shall lie made by the shaiedolders,)

by tho shareholders at each annual
meeting, (exde.pt where the election
is to fill a vacancy) one of whom shall
by said shareholders, be mace presi
dent, another secretary and a third
treasurer of said company, and said

Seventh. The meetings of the ’
shareholders, alter the first meeting

Eighth. Petitioners ask that said

Ninth. The said corporation have
all the powers, rights and privileges
generally called the common powers,
confemod by the law of this state up
on fill corporations, as ©numerated in
section 1852 of tne present code of
this state.
Tenth. Petitioners desire that said
corporation shall have the right to
borrow money for carrying on Its hue*
ness, and securing loans to it by mort
gage or security deed.
Eleventh. Your petitioner's desire
