of said siave and county, respectfully
shows:
i.rst: That petitioners desire for
themselves and such other persons
as may be hereauer associated vvitn
them, to be incorporated under the
corporate name and style of “Tho
Loan and Land Company of Bruns
wick.”
Second. That the object of such
coi(porauon is tho pecuniary gala
of its members, and they wish to own
hold, improve, and sell, or otherwise
dispose of real estate, to lend money
and take security therefor, and to
buy' an,, sell stocks and bonus and
personal property or any kind.
Third. That the principal office of
said corporation shall be in the city
of Brunswick, in said county of
Glynn.
Fourth. That the capital stock
of said corporation shall be .ten tbous
and dollars, divided into one hundred
snares of the par value of one hun
dred dollars each, with the right, by
a majority vote of the shareholders, to
increase the capital stock irom time
to time to any sum or sums not ex
ceeding fifty thousand dollars.
Fifth. That the officers, of said
corporation shall tie a president, vice
president, secretary and treasurer and

shareholders or board, of uirootors
may desire; that tho board of direct
ors shall consist of not more than
seven nor not less -nan turee, all of

by-laws, rules and regulations for the
government of said corporation, on

Seventh. That under such corpor
ate name and style, your petitioners
desire the right to contract and bo

to have and use a common seal, and
to change the same at pleasure; and
generally to have all the rights, priv
ileges and powers incident to and nec
essary and proper in -no Conduct, and
operation of the business of the cor

leges and powers given and granted

Eighth. That there shall be no indi
vidual liability upon the part of any
shareholders of the incorporation ex
cept such amount as may be due by
such shareholder as unpaid subscrip
tion for stock in sail corporation.
Ninth. That they desire to be in
corporated under said name and style
of the Loan and and Land Company
of Brunswick, with all the rights,
privileges and [towers prayer for
herein, for a period of twenty years,

STATE OF GEORGIA,
COUNTY OF GLYNN.
To the Superior Court of Said county:
The petition of E. C. Machcn, Ed
win Brobalton, Albert Fendig and E.
il. Mason, ail 01 said state and coun
ty and A- If, Coley, of the state of
New York, respectfully shows:
I. That petioners desire for
themselves and such other persons as
may hereinafter he associated with
them, to be incorporated under tne
corporate name and style of “The
Brunswick and Birmingham Develop
ment Company.”
11. Thai the object of said pro
posed corporation is pecuniary gain
to its members, and its special objects
are to buy, hold, own and .improve
lands and real estate generally, and
to sell exchange or otherwise dispose
of the same; to receive donations of
real estate and other property; to de
velop mineral lands; to develop town
sites and to encourage immigration
to the localities in which it may be
come interested; t/> receive donations
of and to buy, own, hold and sell
stocks and bonds and other securities
and personal property of any kind;
and generally to do such other acts
and things as may be deemed for the
best Interests of such corporation,
which shaii not conflict witn, the laws
of Georgia.
111. That the principal office of
the proposed corporation shall be in
.the city oi Brunswick, in said county
of Glynn, with the right to establish
branches or agencies at any other
point and in any other town or coun
ty in Georgia or Alabama, or else
where in the United- States.
fV. That the capital stock of
the proposed corporation shall be one
Hundred thousand dollars, divided in
to one thousand shares of the par
value of one hundred dollars each,
with the right, by a majority vote of
the capital stock, to increase such
capital stock from time to time to
any sum or sums not exceeding five
hundred thousand dollars; that tnoy
desire the right to receive in payment
for such stock real estate or personal
property; at a valuation to he fixed
by me board of directors.
V. That said corporation snail
not have the right to begin business
until at least ten per centum of the
capital stock subscribed is paid in,
either in cash or in property.
vi. That the officers of said
corporation shall be a president, vice
president, secretary and 'treasurer,
and such other officers or agents as
tne shareholders or hoard of direct
ors may desire or direct; that the
board of directors shall consist of not
more than nine nor less than three
members, all of whom shall be share
hoiuers, to be eieoted by the share-
holders.
VII. That the sli.lTPKtolders shall
have the right, to fix and prescribe
rules, by-laws and regulations for the
government of said corporation, or
to delegate this authority to tho board
of directors.
VIII. That, under such Corporate
name and style, your petitionrs desire
