Under the decree of sale the receiv¬

der stated in this advertisement and
each parcel will be offered separate¬

quired to deposit with thc receivers
immediately after the sale ten per
cent of the amount of their bids is an
evidence of good faith, the balance to
be paid upon confirmation of the sale
by the court.

PETITION FOR DISSOLUTION

To the Superior Court ot said County:
The petition of Yaryan Rosin &
Turpentine Company respectfully
shows:
1. —Petitioner was incorporated un¬
der the charter granted by this Hon¬
orable Court on September 13, 1915.
2. —Petitioner has ceased to do bus¬
iness, has disposed of all of its as¬
sets and has paid all of its debts ex¬
cept as hereinafter set out.
3. —The capital stock of petitioner
issued and outstanding is ten thou¬
sand shares of the par value of $100
each. All of the stock is owned by
Hercules Powder Company, a corpor¬
ation under the laws of the State of
Delaware with its principal office at
Wilmington in said State. At the re¬
quest of saiil Hercules Powder Com¬
pany, petitioner bus transferred and
conveyed unto that Company all and
singular its properties and assets of
every kind and character except its
corporate franchise, and said Com¬
pany has assumed all valid and exist¬
ing claims outstanding against peti¬
tioner, and stands ready to surrender
up for cancellation all of thc capital
stock of petitioner.

5.—At a meeting of the stockhold¬
ers of petitioner duly called for the
purpose held at the same time and
place the following resolution was
unanimously adopted:
“Resolved, that the resolutions of
the Board of Directors, adopted at the
meeting of the Board, held the 19th
day of May, 1923, in favor of the im¬
mediate dissolution of this company,
and the transfer to Hercules Powder
Company, a corporation of Delaware,
of all of the property, business and
assets of this corporation, excepting
ils corporate franchise, under and
pursuant to the terms and conditions
in said resolutions stated, be, and
they are hereby approved, and that
the stockholders voting in favor
of this resolution hereby author¬
ize and direct the officers cf
this company to execute and de¬
liver to said Hercules Powder
Company such deeds, assignments,
bills of sale and other documents as
may be necessary to transfer and con
vey to said Hercules Powder
