laws, rules and regulations for the gov¬
ernment of the corporation in the con¬

assessments and voting rights of its

(5) That said corporation shall be
composed of persons, firms or corpora¬
tions elected and qualified as members
in accordance with its by-laws,
( 0 ) That said corporation shall have
the power to establish associate mem¬
berships; but the holders of such asso¬
ciate membership certificates shall not
have any voting power in the manage¬
ment cf the same.
(7) That said corporation shall have
power to create a cias • of honorary
memberships; such honorary member¬
ships to be without voting power, and
without dues or asses orients.

of the failure of any member to com¬
ply with its rules and regulations or to
pay said dues or assessments when due,
shall have the power to annul and can¬
cel said membership.
(9) That said corporation shall have
the right and power to own, buy and sell
both real and personal property for the
carrying out of the objects of said cor¬
poration.
(10) That said corporation shall have
the right to borrow money and secure
the payment pf the same.
(11) That the management of said
corporation shall be vested in a board
of directors, who shall be elected by
the member; each certificate of meniber
bership having one vote.,
(12) That the principal office of said
corporation shall be in said state and
county, with the right to establish such
other offices and Without places of business in
said state, or said state.
(18.) That the officers of the corpora¬
tion shall be president, three vice-presi¬
dents, secretary, and treasurer, and
such other officers as may be created
from time to time; that one person shall
have the right to hold the offices such! of
treasurer and secretary; and that
corporation shall have the right to make
and adopt sucfii rules, and by-laws for
its operation and management as may
be proper.
(14) That said corporation shall he
vested with all of the rights, powers and
privileges incident to corporations including un¬ j
der the laws of Georgia, the
right to contract and be contracted with,
to sue and to be sued, and to plead and
bo impleaded to, and to have and use a
common seal.
Wherefore petitioners pray the grant and
of incorporation as herein set out,
with the powers and rights herein pray¬
ed for.
