LANTA HOUSING CODE, the prop

HOUSING AUTHORITY OF THE

and MILLS CREEK CROSSING L.P.,

of DeKalb County, the same being a
proceeding to confirm and validate an
issue of Housing Authority of the
County of DeKalb, Georgia Multifam
ily Housing Revenue Bonds (Mills
Creek Crossing Project), Series 2014
(the “Bonds”), in the aggregate prin
cipal amount not to exceed
$15,000,000. The Bonds are to be is
sued by the Housing Authority of the
County of DeKalb, Georgia (the “Is
suer”) for the purpose of financing the
costs of acquisition, construction and
equipping of 200 multifamily rental
housing units located at 3218 Tobie
Circle, Scottdale, DeKalb County,
Georgia, known as “Mills Creek
Crossing” (the “Project”) in further
ance of the purposes of the Housing
Authorities Law of the State of Geor
gia (Official Code of Georgia Annot
ated Section 8-3-1, et seq.), as
amended (the “Act”), and to promote
the general welfare of the State of
Georgia. In order to finance the
Project, the Issuer will loan the pro
ceeds of the Bonds to Mills Creek
Crossing, L.P., a Georgia limited part
nership (the “Borrower”), pursuant to
a Loan Agreement, to be dated as of
July 1, 2014. In said proceeding the
Court will also pass upon the validity
of said Loan Agreement; a Promis
sory Note; a Trust Indenture; a
Leasehold Deed to Secure Debt, As
signment, Security Agreement and
Fixture Filing; Assignment of Deed to
Secure Debt and Related Docu
ments; a Borrower Guaranty Agree
ment; an Issuer Guaranty Agree
ment; a Construction Disbursement
Agreement; an Intercreditor Agree
ment and a Bond Purchase Agree
ment in connection therewith.
The Bonds will not constitute a debt
or a general obligation within the
meaning of any constitutional or stat
utory debt limitation or restriction or a
pledge of the faith and credit of the
State of Georgia or any political sub
division thereof, including DeKalb
County, Georgia or the City of
Scottdale, Georgia, but will consti
tute limited obligations of the Issuer
and will be payable solely from
amounts owing from the Borrower
pursuant to the Loan Agreement and
the other Loan Documents and spe
cific revenues and property assigned
and pledged to the payment thereof.
Neither the State of Georgia, nor any
political subdivision thereof, includ
ing DeKalb County, Georgia, nor the
City of Scottdale, Georgia shall be
subject to any pecuniary liability
thereon, nor shall the Bonds consti
tute a charge, lien or encumbrance
upon any property of the Issuer, said
State, said political subdivisions, said
County or said City, other than
amounts owing from the Borrower
pursuant to the Loan Agreement as
signed and pledged to the payment
thereof. No owner of the Bonds shall
ever have the right to compel the ex
ercise of the taxing power of said
State, said political subdivision, said
County or said City to pay the same
or the interest thereon.
THE ISSUER WILL NOT CONDUCT
ANY “PERFORMANCE AUDIT” OR
“PERFORMANCE REVIEW” WITH
RESPECT TO THE BONDS AS
SUCH TERMS ARE DESCRIBED IN
OFFICIAL CODE OF GEORGIA AN
