The petition of SAMUEL L. EPLAN,
PHILIP L. YOUNG and MARY ELLEN
BROOM, all of 1017 Wtlllam-Ollver
Building, Atlanta, Georgia, respectfully
shows.
1.
That petitioners desire to obtain a
Charter for a private corporation
under the name of
GEM JEWELRY OF SHERWOOD,
INC.
for a period of thirty-five (35) years,
with the privilege of renewing at the
expiration of that time.
2.
The general nature of the business
to be conducted is that of engaging in
the retail and wholesale business in
Jewelry, watches, glassware, silver
ware, leather goods and other kin
dred items of merchandise, to buy and
sell real and personal property which
may be needed In the operation of the
business; to mortgage, lease and deal
In real and personal properties of all
kinds, to buy, sell and own shares
of stock or bonds of other corpora
tions; to issue debenture bonds imder
such terms and conditions as its
Board of Directors may determine; to
borrow and loan monies for such pur
poses as may be necessary in the op
eration of said business; to act as
Trustee or Escrow Agent under such
terms and conditions as may be de
termined by its Board of Directors
and to have such other and further
rights and powers and to enjoy all of
the privileges enumerated in Para
graphs 22-1827, and Paragraph 22-1870,
of the Code of the State of Georgia,
and all other powers and privileges
enumerated in Chapter 22 18 of the
Code of Georgia, and all of said pow
ers and privileges enumerated therein
and any amendment to said Chapter
which may have been made or which
may be made in the future are hereby
made a part hereto in the same ex
tenet as if same were incorporated
herein.

The amount of capital which the
corporation shall begin business with
shall be a minimum of One Thousand
($1000.00) Dollars, in cash or other
assets, with each share to have a par
value of One Hundred ($100.00) Dol
lars, with the privilege of increasing
Its capital stock to the sum of One
Hundred Thousand ($100,000.00) Dol
lars. 1

Petitioners desire the right to in
crease or decrease stock within the
authorized limits by vote of the ma
jority of the outstanding common
atock and to have the further right
to issue fractional shares of stock.
5.
The principal office of the corpora
tion is to be located in the County
Of Fulton, State of Georgia, but pe
titioners desire the privilege of es
tablishing branch offices and places
Of business elsewhere.
WHEREFORE, petitioners pray an
Order be granted incorporating them,
their associates, successors and assigns,
under the name aforesaid with the
Dowers and privileges herein prayed
for, together with such other power*
and privileges as may be necessary,
proper or incident to the conduct of
the business for which petitioners are

allowed to private corporations under
the terms of the Act of January 28th,

deal and trade In and with, both within
and without the State of Georgia, and
in any part of the world car or ve
hicle washing systems, and all related
items goods, wares, merchandise and
property of every kind, nature and
description and to perform any and
all kinds of services and acts neces
sary or incident to that of a car or
vehicle wash system.
5.
The Capital Stock of said corpora
tion shall be Twenty-Five Thousand
($25,000. (Mb Dollars, divided into two
hundred fifty (250) shares of the par
value of One Hundred ($100.00) Dol
lars each, all ol which shall be com
mon stock.
6.
The amount of capital with which
this corporation shall begin business is
not less than Two Hundred ($200 00)
Dollars, and all capital shall be paid
Into the corporation in money, prop
erty or a combination of the two.
7.
To acquire and pay for in cash,
stocks or bonds of this corporation or
otherwise real and property, the good
will rights, assets and profits, and to
undertake or assume, in whole or any
part thereof, the obligation or liabil
ities of any person, firm association
or corporation.

To issue bonds, mortgages, deeds to
secure debt, other indentures for the
purpose of securing any obligation of
said corporation.
9.
Said corporation shall be authorized
to Issue stock for anv consideration,
either money, property or services,
which is at least equivalent to the
full par vane of the stock so to be
Issued. The valuation of any prop
erty or services for such purposes will
be fixed by the Directors of the corp
oration and such method of valua
tion will be conclusive.
10.
The corporation shall have the pow
er to amend, alter, change or repeal
any provision of its Charter in form
or substance upon the vote of two-
thirds of its outstanding common
stock, and al rights conferred upon
stockholders, directors and officers
herein and granted subject to this res
ervation.
Applicants desire that the said cor-
oration Act of 1938 of the Code of
privileges, rights and powers enum
erated in Chapter 22-18 of the Corp
oration Act of 1938 of the Code of
Georgia and as the same may be here
after amended, and all of the powers
and privileges enumerated therein all
made a part hereof to the same ex-
ten as if the same were enumerated
herein.
WHEREFORE, petitioners pray an
order to be granted Incorporating
them, their associates, successors and
assigns, under the name aforesaid,
with the powers and privileges as may
be necessary, proper or incident to
the conduct of the business for which
petitioners are seeking incorporation,
and as may be allowed for private
corporations under the terms of the
Act of January 28, 1938, authorizing
the chartering of corporations.

This fall Aviva has new arid
exciting projects and plans. On
Oct. 24, Aviva was invited to
sing at the Susan Wilen rally
We found this a marvelous ex
perience and have many more en
gagements of this sort planned.
The Jewish Heritage Commit
tee has been busy planning its
programs. To start the year off
the committee has arranged for
the club to attend Friday night
services at a different synagogue
each month. Last week Aviva
visited the Temple. We all met
the rabbi and discussed his ser
mon that night.
Harvest time has come and so
with it a party. Aviva gave a
party Oct. 3 with a harvest theme
Everyone had fun and we are
looking forward to another party
before the year is out.
