An Act,
To incorporate thefGeorgia Mutual Xu-'
. suraoce Company, and to repeal the
Act heretofore passed lor that purpose.
1. Be it enacted bp the General Assrm
hip of the State of Georgia, That Thomas
Gumming, John Campbell, llu<fh Nesbit,
Anderson Watkins, William Alicou and
Samuel Hale, or any three or tnare of
them he, and they nro hereby constitu
ted a Board of Commissioners whose du
ty it shall be to open a book of subscrip
tion for shares in said Company, which
book shall he opened on'the first Monday
in February next, and shall continue
open for twenty days, at such place and
for so many hoars earh day, as the said
Board of Commissioners may determine
on, during which time it shall he lawful
for any person or persons, citizens ot this .
State, to subscribe for any number of I
shares not exceeding one hundred, and if i
the whole amount of capital herein after I
mentioned he not suhsc ibed for at the i
expiration of said twenty days, it shall i
(lien he lawful for any citizen or citizens i
aforesaid, or for any coi |>oration or body 1
politic within this State, to subscribe for
any number of shares, so remaining un
subscribed for.
2. And be it further enacted, That said
Board of Commissioners shall give notice
in the public Gazettes of Augusta at least
one week before the opening of said
Book of Subscription; of the time and
place of subscribing ; and the sai« Com
missioners may require from each sub
scriber a sura not exceedingmie percent
on the amount subscribed by him, her or
them, lo he paid info the hands of said
Commissioners at the time ofsubscribing.
3. And be it further enacted, That the
Stockholders in said institution shall, and
they arc hereby declared to he a body
corporate and politic, under the name
and style of “ The Georgia Mutual In
surance Company,” and by that name
and style may sue and be sued, plead and
bo impleaded, answer and be answered
into any court of law or equity in this ,
State or elsewhere, having competent
jurisdiction; arid shall enjoy perpetual
succession of officers and members; may |
have and use a common seal, may make,
ordain and establish such by-laws, rules .
and regulations as they may deem expe- ,
■lienl and necessary, \o carry into offer t ,
the objects of this institution : Provided,
such by-law*, rule*, ordinances and re
gulations, be not repugnant to the laws
or Constitution of Ibis State or the Unit
ed States.
4. And be it further enacted, That the
Capital Slock of soid Company, shall not
exceed five hundred thousand dollars, j
which shall be divided into shares of one ,
hundred dollars; hut the Company may ,
commmice business soeomi as one hun
dred thousand dollars shall have been
paid, according to such plan as they may
adopt. And that upon the expiration of
the said twenty days, herein before allow- ,
ed for subscribing, it shall be the duly of ,
said Commissioners to convene the Stock
holders or subscribers, by giving ten j
days’ notice in tbe public Gazettes of Au
gusta, of the time and place of meeting,
who may then, oral any time thereafter (
proceed to the election of a Board of Di
rectors, under such rules and regulations
ns they may adopt for that purpose.
5. And he it farther enacted. That the
Directors so appointed, shall at their first
meeting thereafter proceed to the ap
pointment of a President from among
their own body. And the said President
and Directors may appoint such officers
under them as they may deem necessary
and expedient for carrying the said iosti
lulion into effect.
6. Audbe it further enacted, That tbe said
Company when organized a* aforesaid,
shall have full power and authority to in
sure property and effect* of every nature
, and description against losses by fire or
water, and all other accidents, dangers
and casualties, for which Insurance Com
! panics are usually established, and also
on lives.
7. And be it further enacted, That said
Company shall' be bound to pay all losses
on properly or other assurances made by
them, within six months after the hap
pening thereof. And in all cases where
Die claimant shall be compelled to insti
tute a suit for the recovery of such losses,
the same shall stand in order for trial at
the first term, and the amount recovered
shall bear interest from and after the
said six months; and if the said Company
shall neglect or refuse to pay such losses
within the said six months where there
is no dispute as to the amount claimed,
or within ten days after final recovery,
against them in cases disputed, then and
in such event this charter may be declar
ed null and void.
B. And be it further enacted. That the
! said Company shall have power to re
’. ceive, hold, purchase and possess any
’ J property real or personal for the use,
'»benefit or advantage of the said Corpora
-1 lion, and to sell and dispose of the same,
3 and they are hereby declared to be vest
ed with all the powers, advantages, pri
vileges and emoluments of an association
