I herewith transmit for publication in your
l>aper, the able, and in my opinion, unnn-
sweiable decision of Judge Lamar, in the
ease staled hy him, and heretofore litigated
in this Circuit, affirmative of the decision of
the presiding Judge, and majority rf tiie
Judges iii Convention. It was written in
great haste, Put most clearly elucidates and
settles the laxv involved in tin* case consider
ed and determined. As the Legislature will
not give us a Court for the correction of er
rors, this seems the only way hv winch the
Judges enn,to the whole people of Georgia,
give an account of their stewardship.

The facts in this case are as follows :
By tin third section of the net of IH'-U,
(page 00) on the subject of the Mac--n Bridge,

security for the faithful payment to the state
•f the sum for w hich the bridge should rent.
The bridge, (which was the property of the
state,) was rented accordingly. In the year
Hurxev Kendrick liecnme the higli-
underthe authority i.fsnid act the ante above
mentioned was transferred to said Bank. An
ought not to he sustained. ’The taking of
promissory note, although not in conformity
with the men tiller, was certainly not viola
tive of the s/iiril and object of the law. Il is
hardly necessary to remark, that the bond in
tended by tbc statute, was of course to be n
mere money bond, viz—a written engage
ment under the bands and seals of the oblig
or and Ins securities, binding themselves to
pay a certain sum of money, at it certain
time. Now, ns to the end io view, and the
obligations incurred, there is no difference
the statute, tin- liability of the putative father,
xvas limited to the mere indemnity of the par
ish ; but by taking >1 note for no absolute
sum, the statutory monsm-e of his liability tvns
wholly disregarded, anil an arbitrary one sub

which designn.es a bond as the security to he
taken, I r- gard as directory to the commis
sioners, but not as absolutely prohibitory of
every other form of si- urity. On the part of
the d f'-ndnnts, an attempt has been made to
iiuulogise the present ease, to eases xvlnoli
have arisen under the statute ‘23d II. fi, e. !>,
iu relation to Imil bonds. As to bail bonds,
ii is true the courts have frequently adjudica
ted that any variance from tlu-form and con
dition required by -lie statute, is fatal; and
lor the obvious reason tlmt the statute is not

sive exactions to which defendants were of
ten subjected by Sheriffs, Colore Officii pre

between the statute 23 II. 0, nud the act of
1824. in der which the commissioner* acted.

and terms. One was enacted to correct abus
es, ami prescribes the form and requisites of
a bail security, at th-- same time declaring
every obligation different therefrom, to lie

certain commissioners w ith authority to rent
a certain portion of the public properly It
directs them to take bond nud security from
the lessee for tho payment of the rent, hilt
does not inhibit them from taking any other
equivalent security, nor does it declare tlmt

These nre essential points of difference lie-
fxveon the two statutes. The statute of New

less than the netiml charge, then the parish
was not indemnified, and the object of the

ry to public policy. Grose, J. said, ‘‘that the
parish officers could not convert a power giv
ea to them for the mere t urpnse of indenmi
ty, into rt matter of bargain nnd speculation,
upon the life and dentil of tile child, thereby
making it the interest of the parish to get rnl
of the gjiild ns soon as possible.” To shew
the want of analogy between this case iu
East, and the present, it is only necessary In
observe that the commissioners of the Macon

least degree the legal measure of the defend
ants liability, nnd tlmt the transaction xvas in

Authorities relating to mercantile nud com
mercial agencies Imve been adduced to shew
that an agent acting under it particular, nnd
tint a general authority, entrant Innd his prill-
pal beyond the extent of the authority grun
ted—(Pidcy on Agency—2 John. 4*, li T.
It. 757 ) This doctrine is admitted, but the
present case decs not fall within its limits.
If the defendants were principals, seeking to
avoid some act of their agent upon the ground
that he Imd transcended his power, then the
authorities cited would not he inapplicable.
Tho commissioners, however,by taking a pro
missory note did not subject the state, whose
agents they were, to any unauthorised liabili
ty. If this xvfre n case of private commer
cial agency, another principle no less true
tlmn that which has been already stated would
apply. It is this-—Although nu agent can
not bind bis principal by nil act, exceeding
the agent’s authority, yet the want of an ori
ginal authority, may he supplied by a subse
quent express, or implied ratification of the
net hy the principal, "omnis ratihalntio re-
trotrahitnr et mandates equiparatur.”—1 Hus.
et Pul. 31(5. 13 John. 367, 2 John. Ca. 424,

the note taken by the commissioner xvus ac
cepted bv the state through its proper public
functionary ; and under the authority of an
net of the Legislature, it ims been transfer

of adoption in the case of n private mercan
tile agency would cure any defect of mitl.on
to pay a certain sum of money at n spe> ified

Thus it lias been repeatedly determined,
that n collector of taxes or other officer em
powered in particular cases to sell laud for
tuxes, must strictly pursue the statutory di
rections in every matter xvliicli the laxv requir
ed to precede the exercise of the power dele

by o snlexvhen any pre-requisite net Ims been

It is mi obvious dictate of justice, that no
mno sltuil be deprived of his property against,
his will, except under circumstances defined,
nud in the manner prescribed by luxv. But
these decisions do not reueli the cast! under
consideration. 'The authority of the com
missioners of the Mnenn bridge, ivns not n
power affecting compulsorily, the private in
terests of individuals. The defendants were
voluntary parties to thcinstrument noxv sought
to be invalidated.
'The doctrine of poxvers xvlicreby estates
nre limited and settled, lias liven referred to
hv counsel—I 7’. H. 707, II dies 109;
Tlmt doctrine, however, 1ms but little appli
cation to n case like the present. In the case
of Taylor vs. Horde et al. (1 Purr, 120,)
I,nrd Mansfield doubtless laid dntVu the cor
rect rule m relation to the construction of
such poxvers. “The intent of the parties who
gave the power ought to govern every con
struction. tin to whom it is given, Ims a
right to enjoy the full exercise of it—they,
over whose estate it is given, have a right to
say “it shall not lie exceeded.” Tbc condi
tions shall not be evaded; it Slinll be strictly
pursued, iu form mid substance.” The rea
son tlmt such poxvers are lo he strictly pursu
ed, is tlmt the rights of rciiiniiidei-men, or
parties having reversionary interests iu tho
estate, nre connected with, and affected by
the execution of such powers—a reason whol
ly foreign to tin- ense before the cnuit.
Finally, the note was given for a vnlunhlo
consideration, it w as voluntarily executed by
die defi-mlnnls—it crentes no right iu tho
state, and impose no obligation upon the de
fendants beyond the purview of the statute;
but tin- right on tlu: one band, and the corre
lative obligation on thu other, ore the same
is would have arisen under the security men
tioned in the statute. I hold, therefore, tlmt
tliecoinmissioners substantially executed their
power, and that the - ote is not void.
