respectfully shows:
1. —That petitioners, together with
such other persons that may be associ
ated with them, their successors and
assigns desire to become incorporated
or the term of twenty years, with the
frivilegeof renewal at the expiration
pf that time, under the name and style
of
"W, R. SMITH COMPANY.”
2. —The principal office and place of
business of said Company (shall be in
said State anti County, but petitioners
desire the right to establish such other
offices ant! places of business, either
within or without said State, as may
be deemed proper in said business.
8.—The capital stock of said Company
shall be Ten Thousand Dollars, divided
into shares of One Hundred Dollars
each, which said capital stock shall ho
payable either in money or in property
at a fair valuation, and petitioners
show that ten per cent of said capital
stock is actually paid in. Petitioners,
however, desire the privilege of increas
ing said capital stock at any time to an
emount not exceeding Fifty Thousand
Dollars by a vote of a majority of its
shareholders.
4. —As to any increase in its capital
stock petitioners desire the right to is
sue common or preferred stock, or
both, as may be desired.
5. —The objects of said proposed cor
poration is pecuniary profit and gain to
its shareholders.
6—The principal business which pe
titioners desire to engage in is general
mercantile business ; dealing in goods,
wares and merchandise of every kind
and description ideal in realty and per
sonalty ; deal in cotton, cotton seed
and all by-products; deal in horses,
mules and enttle ; deal in stocks, bonds
and all otheGsecurities ; to act as agent
for persons, firms and corporations: to
acquire stock in other corporations ; to
borrow money and secure the same by
mortgages or other security,
7 —Petitioners desire the right, upon
a vote of the majority of its sharehold
ers, to liquidate the affairs of the Com
pany at any time before the expiration
of the twenty years.
8 —Petitioners desire the right to
sue and he sued; to contract and be
contracted with; to have and use a
common seal ; to make and enforce
such by-laws as may be deemed proper
in the conduct of its business; and to
do all and any acts that may be deemed
proper for the conduct of sajd business
as herein set forth.
Wherefore; Petitioners pray an or
der of this Court incorporating them,
their successors and assigns under the
name and style before mentioned, witli
all the powers and privileges herein
asked, together with such other powers
and privileges as may be necessary
for the proper conduct of its busi
ness and with all the rights, privi
leges and mmunitles and subject to
all the liabilities fixed by law.
