a reply in the form of a circular, also
addressed to the stockholders, and
signed by thirteen stockholders resi
dent in Raleigh. This reply set forth
the assets of the road, showing that it
oould not be Imilt und placed in its
present condit ion for less than $2,500,-
O0O; that its franchise has been valued
and assessed at 1800,000 [additional;
that the prospects of a rapidly in
creasing business are of an assured
character; while the price now of
fend, $437,000, for the control of this
entire property and its future admin
istration is inadequate and below the
present cash value on any fair esti
mate of the shares. The stockhold
ers issuing this circular understand
that the present offer is mode in the
interest of the Pennsylvania Central
Railroad, or of the parties controlling
it, and they suggest that if the pro
posed purchase lie consummated, the
North Carolina Railroad (which the
Pennsylvanians failed to get control
of from the lost Legislature) will then
be at their mercy. Finally, they urge
that if stockholders are desirous of
realising iijiou their stock, they may
expect to receive a much better hid
than the present, uiul ought therefore
to reject it.

front rooms on the ground floor of
the Mansion House, where it still re
