Petitioners desire for themsel
ves, their associates and success
ors, to be incorporated under the
name of DUKE OF GEORGIA
FARM, INC. and the object of
said corporation is oeeuniary gain
.'and profit.
2 .
The general nature of the bus
iness to be carried on by the cor
poration is to raise, grow, produce,
manufacture, buy, sell and other
wise deal in any and all kinds of
farm and dairy products, timber
and fruit, for itself and for others,
including all tools, machinery, e
quipment and supplies used in any
direct or incidental connection
therewith; to buy, hold, sell, lease,
rent, manage, improve and other
wise deal in for itself or for oth
ers real or personal property of
every nature and description; to
guarantee, become surety upon or
endorse the contracts or obligat
ions of another corporation, firm,
association or individual, whether
this corporation has any direct
interest in the subject matter of
the contract or not; to make any
purely accomodation endorsement
or guarantee; to enter into con
tracts of partnership with individ
uals and corporations or other
partnerships, and to do any and
all other actions incidental or nec
essary to the performance of the
foregoing businesses or activities.

The petitioners further desire
that said corporation shall have
all of the powers and authority
enumerated and set out in Sections
22-1827 and 22-1828 of the Sup
plement to the Georgia Code An
notated and such powers as may
hereafter be given by law.

The maximum number of shares
of stock shall be 5,000 and the par
value shall be $10.00 per share,
all of said stock to be common
stock.
However, the amount of capi
tal with which the corporation
shall begin business shall not be
less than $200.00. The corporation
shall be authorized to issue addit
ional shares up to the maximum
sum above stated and thereafter
from time to time to reduce the
amount of capital outstanding, but
not below the minimum above and
of this upon a majority vote
the Board of Directors.
5.
The corporation shall have exis
tence for a period of 35 years
with privilege of renewal of this
charter from time to time at the
expiration of said 35 years.

The principal office of the cor
poration shall be located in Peach
County, Georgia, with the privi
lege of establishing branch offices
and places of business both within
and without the State of Georgia.
7.
Petitioners desire that by-laws
of the corporation shall be adopted
| by the stockholders and that such
by-laws shall provide for the elec
tion of officers of the corporation
and such other rules appropriate
to by-laws and shall have as their
purpose the control and manage
ment of the corporation, including
provisions whereby the by-laws
may be amended. Said by-laws
may also provide that the stock
holders may enter into any agree
ment restricting the sale or trans
fer of the stock of the corporat
ion and the corporation may re
serve in any such agreement with
the stockholders the right to pur
chase and hold as treasury stock
the shares issued to any stock
holder upon such terms and con
ditions as the stockholders of the
corporation may agree, provided
notice of such agreement shall be
plainly marked upon the face of
all certificates in such manner as
to lawfully restrict and limit the
transfer of the shares of stock of
this corporation.

Petitioners desire that the con
trol and management of the bus
iness be vested in a Board of Di
rectors composed of at least three
members, the number, qualificat
ions, term of office and manner
of election to be provided by ap
propriate by-law provisions.
9.
Attached hereto is a certificate
of the Secretary of State as re
quired by Section 22-1803 of the
Georgia Code Annotated.
WHEREFORE, petitioners pray
that they may be incorporated un
der the name and style and with
the powers, privileges and immun
ities herein set forth.

He is a graduate of the University of Georgia Law School. He is a graduate of the Unit
ed States Military Academy at West Point and served for eight years in the Regular Army.
He grew up in a Christian home with a rare heritage of service to this state and nation
from a distinguished father, the Honorable Stephen Pace, Sr.
He had experience on the national level as an aide to the late Sen. Walter F. George.
He is young enough to be vigorous, old enough to have mature judgement. He is energetic,
not only in his professional career, but in civic and church work.

Rain, rain go away — but
even if it does, the homemaker
is faced with these rainy day
reminders:
M U d — one way to stop mud
before it tracks is to place clear
plastic matting at front door
and back. These mats serve as
storage areas for muddy over
shoes before anyone enters the
house. Clean-up’s easy - just tote
mats to the sink, shake off
dried-up mud and wash the plas
tic with a pine oil cleaner. Dry
raingear can go back into the
closet - and so can the plastic
mats for storing til the next
rains come.
Tar — There’s nothing worse
than tar unless it’s wet tar. Re
cipe for. instant tar removal:
Scrub tar off shoes by using a
household cleaning pad and a
strong pine cleaner solution.
This same recipe works for
tracks made by wet sneakers.
Musty smells — Keep musty
smells away by frequent pine
cleaner treatments. For. exam
ple, keep closets fresh by giv
ing them a sponge-off from top
to bottom with a pine cleaner
solution. Use a cedar pine de
odorizer on hangers in your
closets. Basement and attic mus
tiness can be held down by floor
swabbing with pine cleaners.
And a pine deodorant spray
adds a good finishing touch any
where.
Water, water everywhere —
jf you have an umbrella stand,
tuck a miniature long-handled
cellulose sponge mop among th*
umbrellas for instant mop-ups.
Then if the rain cOmes again
mother day, you! bet prepared
for keeping it outdoors.
