The State Road.
Tile following is the Bill introduced in
to the Legislature, for the lease of the State
road
A BILL.
To be Entitled, An Act to incorporate a
company to be culled “the Western and
Atlantic Railroad Company,” and to lease | engines, cats, shops, stations
and let to the said company, the.Western
shall there, in person or by proxy vole for,
and elect npresident and live directors' of
said company, to serve for one year. 'Each
stockholder’.shall be entitled to a number of
voUs equal to the number of shares held,by
.-.aid stockholder. No person shall be eli
gible to the office bl President or Director,
mHoss he be a citiz-a of this State* and
stockholder of the company. After such
election, the President and Directors, shall
lie chosen as the by-laws of said company
may prescribe; provided that in any add ev
ery election, aud at all meetings of stock
holders, every share shall entitle the hold
er to one vote. All pjoxies shall be made
by writing under the hand of the stockhold
er. Instalments on the stock may be call
ed in at the discretion of the President and
Directors, they giving thirty days notice
of such calls in the Gazettes aforesaid, and
failure to pay any instalments so ealled with
in thirty days after tile time of payment
'Specified in the call shall cause an absolute
forfeiture of tbe stock in default without
further notice to the stockholders.
Sec. 4th. And be it further enacted, that
so as the company shall be organized as
aforesaid, the principal office and place, of
business of said company shall be at Atlan
ta, and the said company by its President
aud Directors shall have power to appoint
all such officers, and do all such business as
may be necessary to carry out the objects
of its incopoiation, and it shall be lawful
forsaid President and Directors to require
bond and security of any officer to be by
them appointed; Provided, that no person
shail be appointed by said President aud
Directors, who holds any appointment from
or who is in the service or employment of
any other railroad company.
Sec, 5th And be it further enacted, That
when there shall have been actually pah]
by the subscribers for stock in said compa
ny, the sum of twenty live dollars per share
of stock, making the sum of one hundred
and 25 thousand dollars aud his Excellency
the Gov of the State sliallbe satisfied thereof
his Excellency the Governor, is hereby au
thorised aud directed to make and execute
to and with the said company, lease to said
company of the Western & Atlantic Rail
road; and its rights of every equipment,
houses, ma
terials, and appurtenances of every kind

aud property whatsoever of said company,
its security for the payment of such senii-au-
nual rent, and further if at any time the
said company shall be in arrears in the' pay
ment of said rent, for the space of thirty
days, it shall be optional with, tbe Govern
or of the State for the time being, and law
ful for him or his special agent to take pos
session of the Road and all its equipments,
and terminate the lease absolutely and en
tirely and be authorized to Appoint a Su
perintendent and Other officers to work said
Road on account of the State. Provided,
That the Governor may use his discretion

prompt payment-of any instalment' of the
rent aforesaid is caused by extraordinary ex-

crops, or other causes reducing the net in

ample security extend the time of payment

extension reach the time when a succeeding
instalment shall become due, so that in no
event shall’ there be two instalments due at

eight hundred and fifty five, this Act shall
be null and void.
Sec. 11-th. be it further enacted, that
all laws and parts of laws militating against
this Act be and the sanie are hereby re
pealed. - - •
A Situation.-—In her work off “Behav
iour.” just published, Miss Leslie relates the
following amusing anecdote.—We doubt
not our readers will enjoy as hearty a laugh
as we do in reading it:
‘Two young officers were traveling in the
far west when they stopped to take supper
at a small road side inn kept by a verv
rough Yankee woman. The landlady in a
calico siiii sun-bonnet and bare feet stood
at the head of the table to pour out- She
enquired of her guests if they chose long or
short sweetning in their coffee. The "first
supposing that ‘that long sweetning a largo
portion nfthat article chose it accordingly.
What was his dismay when he saw their
hostess dip her finger deep down into an
earthen jar of honey that stood near Ler and
then- stir it (the finger) round in the coffee.
His companion seeing this prefered‘short
sweetening,’ upon which the woman picked
up .a large lump of maple sugar that lay in
a brown paper besid her and biting off a
piece put into his cap. But the gentlemen
dispensed-with coffee that evening. This
anecdote we heard from the sister of one of
those officers.”

said when completed, which shall be as soon
as may be after the date of thj lease afore
said, shall be signed and attested by tbe
three persons appointed as aforesaid, and
to be returned to iheGovernor in duplicate,
one copy to be furnished to said company,

it shall be stipulated in said lease at the ex
pi ration of the aforesaid .term of twenty
years, the company shall deliver to the
State, the same equipments, fixtures, ap
purtenances andi materials of all.classes and j
kind and character . of such property aud
the amount and quality of the same. And
his Excellency the -Governor for the tithe
being shall in like .manner at the expiration
of the lease aforesaid; appoint three compe
tent persons to decide on the condition,
quality and quantity of property so to de
livered to the State. The said three per
sons oppointed at the expiration ofllie said
lease shall iff like manner take' and sub
scribe au oath ds in the former case.
It shall also be their duty to make an in
ventory of all additional equipments, fix
tures, materials, buildings and other proper
ty which the said railroad'may be provided
with at the expiration of the lease, over’ and
above what was received by the company
from the State at the commencement of the
lease, and to value the saine, and the com
pany shall be paid according to such valua
tion Jfor all such additional property by them-
furnished for said railroad, and deliver d to
the State at the expiration of the Lease.
4th. That the quality of Iron off the
State on any bond or obligation, pledging
the revenues of said Railroad, theff such
payment shall be deducted from the rent,
and the company shall be allowed interest
at the-ratgvof six per centum for any-such
advance. ; .
10th: That the said company shall cove
nant to give to the Railroad Companies,
whose roads .join the said. Western - tfc
Atlantic Railroad at Atlanta, equal facilities
aecoinmodations and terms in every respect
and if said compauy shall at an v time give
to one of said coinjmnies any rights or priv
ileges, which it .fails or refuses t5 give to
the..other, the charter bv this act granted
shall-be forfeited, ami also all the property
of the company be forfeited, to the iState.
And the President and Superintendent of
said company shall, on entering on the du
ties of their offices, take and subscribe on
oath, faithfully ta observe this article.
11-th. That if .the company shall make
any new embankmeiit for . additional tur-
ra^ffts or double tracts, the value therefore
shall be ascertained as provided for iii Ar
ticle third, and shall be paid by the State

Sec. 6th.- And be itfurther enacted, That
the said company shall'issue certificates of
stock under the hand of its Secretary, and
stock in said company shall only be trans
ferable on tbe books of the company by the
Stockholders in person, or his or her Attor
ney- for that purpose made, or his or her
legal representative. '
Sec. 7 tU. And be it further enacted, That
the said company shall once in every- year
publish a statement of the revenues of the
said road, and of all .expenditures made-on
account of the same, together with a list of
the Stockholders, and the said company
shall, pay into the Treasury of the State an
annuaLtax not exceeding ooe fourth of one
per centum on the net income of -the com
pany after deducting (and beyond) the an
nuai rent reserved to the State; arid during
the continuance of the lease herein before
provided for, there shall be n 0 other tax
imposed or levied ou said company by the
State, or by^ any municipal authority or
corporation in the State in any shape or
form whatsoever.

Hotel Incidents.—It was at a hotel l
Wilkes-Barre that a man ate so many buck
wheat cakes as to attract the attention of the
regular boarders at the table, After he had
eaten thirty four accordirig to count the
landlord said to him : ‘My-dear Sir, I.- like
to see a man give evidence of a good ap
petite but really the buckwheat crop being
rather a cbort one I must beg of you to be
saving. Do for heaven’s sake leave a few

At one of the Eastern hotels in the egg
eating season a little Irishman cracked an
au egg into his cup and duly seasoned it
it wite pepper and salt. It wss evidently
not what the boys would call a good egg as
some of‘Pat’s neighbors testified by screw
ing of their nasal organs; but Pat himself
discovered nothing wrong til he had - eaten
three fourths of it when- he set it aside
