Our brother, Henry Falls, died on the morning
of the 4th inst. Asa man. be was honest and up
right—as a citizen, courteous and hospitable—as a
Christian exemplary and faithful, and as a Mason
lie always acted on the plumb, atpiare and level.—
He posars.-d in an eminent degree very many ol
the traits that make the perfect gentleman ; bnt all
these no longer visible, will be cherished in the
memorie* of the living. Perfection has never been
attained by man, and whatever may hare 6een his
foibles let them perish with him.

ceased brother our sincere condolence in her sad

At a regular meeting of the “ Macon Building
and Loau Association,’’ January 2d, 1800. the fol
low ing amendments and alterations in the Consti
tution and By-Laws were proposed by Thomas A.
Brewer, and seconded by :
lU**>lltd. That the 4th section of the 2d article
of the Constitution and By-lotwa be repealed and
stricken out, which irf iu these words, to-wit:
“ Hnould any Stockholder tail to meet his or her
dues, as often as the same shall beeotne payable,
os aforesaid, he or she shaH forfeit and pay the
additional sum of teu cents for every such failure
and for each dollar thus unpaid—the same to be
charged with the monthly dues.”
Rt That the following words be stricken
from the dth article of the Constitution and By-
Laws, vix: “and notify the Directors and Stock
holders of their monthly and annual meetings, by
advertisement in oae or more newspapers, at the
expense of the Association.”
Resolved, That the word “par,” in the fourth
line of the 2d section and Bth article of the Con
stitution and By-Law9 be stricken out, and the
words “twenty per ceuL” be added iu place of the
word “ par.”

By suikiug out the word “ personally,” in the
third line, and inserting after the word “present”
the words, “or represented by proxy”—when
amended, to read thus: “ Each Stockholder, for
each and every share of stock by him or her held,
either in their own right or aa trustee, shall be en
titled, when present or represented by proxy, at
an annual elecliou or special meeting, to one vote,
for tiie election of ollicera and other purposes.’’

By striking out all from the word “and,” in the
third line, and insert, “any proposed alteration or
amendment must lie offered and read, and entered
on the minutes, at a regular monthly meeting pre
