them and their successors us a nody politic aud
corporate, under the name and style of the
Cuthbert Building and Loan
Association,
With power to sue and be sued, to aud
use a common Seal, should they so desire. to
hold such real estate or other property as may
he conveyed or mortgaged or pledged to said
Association; and to adopt such a Constitu
tion and By-Laws, and amendments thereof,
us they may deem advisable and proper to
carry out the objects of their Association—
the nature and objects of which Association,
and the particular busimss they propose to
carry on being as follows :
1 The object is the accumulation of a
fund,, by monthly subscriptions or savings
of the members thereof, to aid them in their
business, or procuring such real estate as they
may deem proper.
2. They desire to regulate and prescribe
by their By-Laws who may be members of
said Association.
3. Each stockholder is to pay, in par
funds, oue dollar each month on each share of
stock he or she holds, into the treasury ot said
Association, so long as said Association con
tinues at such time and place as the By Laws
may designate.
4. When eacli stockholder shall have re
ceived the sum of Two Hundred Dollara„of
property of that value, or an advance or loan
of Two Hundred Dollars for each share lie or
she holds, then the Association is to determine
and close- The may require each
stockholder to take an advauce or loan tor
the full amount of his or Her stock, and to pre
scribe the rules in respect thereto,
5..A stockholder failing to pay, promptly,
his or her dues, or premiums* of insurance, is
to forfeit and pay the additional sum of ten
cents for every such failure, Aud for every dol
lar thus unpaid, the same to he charged with
the monthly dues.
()• If any stockholder, uot having received
an advance, neglect to pay Lis or her monthly
dues, or tines, tor more than three mouths, lie
or she ahull receive from the Treasurer the
amount ol his dues actually paid, without in
terest thereon, all lilies and arrearages, with
his or her proportionate part of any losses or
expenses sustained, being first deducted, and
theu eease to be a member of said Associa
tion ; or. the Directors may sell the stork of
such delinquent stockholder at the succee ing
monthly meeting of the Association to the
highest bidder, alter deducting from the pro
cerda of such sale all tines and arrearages,
with such delinquent stockholders proportion
ate part of ail losses and expenses, as afore
said, shall pay over the balance, if any, to
such delinquent stockholder, who shall hence
forth cease to be a member of said Associa
tion; aud if a sale cannot he effected in the
manner specified, then such stock shall be tor
feited.
7. A stockholder, uot having received an ad
vance, wishing to withdraw from thf Associa
tion, shall be entitled to receive the amount
of dues he or she has actually paid, without
interest, thereon, first making the deductions
provided for in the sixth specification above;
provided such stockholder give at least one
month’s uotice to the Directors of his desire
to withdraw, aud has promptly paid all dues
required of him up to the time of such notice.
Transfers of stock, attested by the Treasurer,
may at any time be made, provided all arrear
ages, dues and fines, have beeu paid thereon—
, but such Brausfer to be made at least thirty
days before an election to entitle the holder
thereof to vote.
8. The legal representative of a deceased
member, who lias received no advance, may
continue his or her telation to the Association,
or may ha settled with on the same terms as
are prescribed for a withdrawing memb t.
9. No stockholder is to hold in his, or her
own right, more than forty shares of stock.
Each stockholder is to he entitled to one vote
for each share held, either in his or her ow n
right, or as trustees, in all elections by the
Association, or meeting thereof, held for other
purposes, when personally present at such
election or meeting. Each stockholder is to
receive a certificate for the number of shares
held by him or her, signed by the President
and Treasurer ou paying the first months dues.
10. The officers Os tile Association are to be
a President, Secretary, Treasurer and six Di
rectors—all to be stockholders—to be elected
by the members of the Association at such
times, and iu such manner as the By-Laws
may prescribe—vacancies to be fitted as thus
prescribed also. The duties of all the said of
ficers are to be defined aud set forth in the By-
Laws, of the said Association. The Board of
Directors, ot which the President is to be ex
oificio, a member, is to appoint a Solicitor
whose duties are to be also pi escribed in the
By-Laws.
11. Each stockholder, for each share of
stock, shall he entitled to purchase au advance
of two hundred dollars and no more, under
such regulations as these By-Laws may pre
scribe. The available funds of the Assoeia
tlon shall be put up at each regular monthly
meeting Os the stockholders, aud to be sold
to the highest bidder or bidders among them ;
pro video the same be not sold below the rate of
premium to be fixed by the By-Laws as the
premium rate at which the funds may be sold;
the By Laws to prescribe a minimum rate of
to be applicable to such period of
six months during the existence of the Associ
ation, should there at any time be no bid for
the money as high as the minimum gate pre
scribed. the names of the stockholders entitled
to an advauce to be placed in a receptacle to
be provided for that purpose from which
the President shall draw a mime, and the stock
holders thus designated shall be compelled to
take an advance on five shares of stock at the
then fixed maximum rate, aud shall have the
privilege of his stock warranted of taking ail
the funds, at the same rate offered at that
meeting; but he shall be permitted to procure
another stockholder to take the amount so as
signed to him. It the available funds be uot
taken by the stockholders whose name is thus
drawu, then another name shall be drawn,
and the same process repeated until all the
funds are disposed of.
12. From all advances taken by any stock
holder, is to be deducted the premium ottered
by hint or her, or fixed by the Association for
the same—such stockholder to secure the As
sociation lor such advance by a bond or mort
gage, or other satisfactory security, to be
judged of by the Board ot Directors', aud pol
icy of insurance ou property mortgaged re
newed annually at his or tier expense—he or
she to pay also all recording fees aud other ex
j lenses connected with such security. ,
13. For each advauce of two hundred dol
lars made to a stockholder, one share of stock
to be assigned by him or her as collateral se
curity, iu case of failure to offer sufficient se
, curit v for an advance within one month, the
montn’s interest to be charged to such stock
holder, aud his or her right to said advance to
cease—a stockholder taking an advance to pay
the Treasurer in addition to his or her monthly
dues tor shares, one dollar per mouth for each
share on which such advauce is made.
14- No stockholder to be entitled to an ad
vance who is in arrears to the Association,
and no property taken as security tor an ad
vancement out of the county of Randolpt.
Should a stockholder, having received an ad
vance; neglect to pay any of hia or her dues
to the Association tor three successive mouths,
then the Directors to compel payment of prin
cipal and interest by instituting proceedings
according to law. When any sale shall take
place Os any property, mortgaged or pledged
to the Association, the Directors to retain so
much of the purchase money as would, at the
rate of premium, (and the luuds are selling,}
produce the Same monthly payment cf inter
est as that which said stockhiTlder had been
previously paying on kiß or her advance, (in
no case to he less than the nei amount actually
received by him op her,) together with alt
other payments, moneys and expenses due to
the Association by such etockkoldeis.
15. The Board of Directors to be allowed
to give the consent of the Association to the
sale ol property mortgaged or pledged to it,
and to the substitution of ether property in
lien of that, mortgaged or pledged, on terms
to be fixed by the By-Laws.
Your petitioners state that eight hundred
dollars of the capital to be employed it; con
ducting; the operations of said Association
have been paid in ; that said Association de
sires to transact busiuess in the city of Cutli
belt in raid county. They desire to be incor
porated tor the term of fitteen years.
Wherefore, petioners pray that'au order be
granted by the Courts incorporating them as

Lamon’M Horse Power, and are so well pleased, that we feel no
hesitation in asserting that its Mechanical Arrangement is such as to ob
viate most of the defects so very common to other Powers, and we feel

Having now.completed all my improvements to the IMPROVED SAWYER GIN, with
curved ribs, and a perfectly adjustable Roll Box, both at the top and bottom, giving the’pian
ter perfect control of the depth of saw, and the entire operation of the Gin, adapting it to the
condition of his cotton, and the degree of perfection which he desires to maintain ni the sta
file. I now CEIALLENGE THE WORLD to produce a Gin more perfect in its operation, or
be'ter adapted to meet all the wants of the Planter. I claim that my Gin, properly managed,
will maintain the lull natural length of the staple, and may also be made to do as rapid work
as any machine in use. This Giu has been witnessed in operation by several parties, some of

safely pronounce it excellent, and fully adapted to the wants of our Farmers. The improve
ments you have given it over other Gius, gives yon superior claims to its consideration. Its
stringing front with adjustable box, both top and bottom, adds greatly to its praise and
worth, as with tnat it is utterly impossible to break the roll; and that the shape of the ribs
being in perfect shape with the roll, necessarily gives increased length to the staple, and in
deed that which I witnessed was fully equal to its natural length, and which alone makes, it
pre eminently worthy of the consideration of all practical Farmers. Wishing you success m

SAWYER’S IMPROVED COTTON GINS.-Mr. P. C. Sawyer presents his Improved
Cotton Gin to the public this summer under a firm persuasion that he has at last attained the
ue plus ultra, and that this Gin accomplishes every thing practicable to a Saw Gm, with the
greatest possible ease, economy and rapidity. His'improved ribs and roll box maintain a per
fect circle for the roll, so that it is impossible to break it, crowd the boxes as you will in an
attempt to do so. The roll box, adjustable both at top and bottom, enables the operator to
briug the ribs to any angle with, or position in relation to the saws be desires, so as to in
crease or diminish at pleasure the depth of the operating surface of the saws in the roll, and
thub make the machine gin faster or slower, with cleaner or fouler seed, and with more or
less regard to the length ot staple. The writer saw anew Gin in operation, which had not
even been painted, and an expert present showed by comparing the staple pulled from the
seed b)r the lingers with that produced by the Gin, that the natural length of the fibre had not
oeen diminished at all in the process of ginning. This is, of course, the best performance of
which any Gin is capable. The cotton in this case was very dry, and it is doubtful whether
so perfect a result could be attained with green cotton. But Sawyer staked his reputatiou
upon producing the same result with green cotton. The Gin has also some other improve
ments in the running- gear, which we have not space to mention.—Macon Telegraph and
