Petition for Charter.
GEOHGIA-Dkcatur County.
To the Supenor Court of slid County:
The petition of J. K. Joice, of the
county of Cook and state of Illinois, and
H. M. Graham, and M. E. O’Neal, of the
county of Decatm. and state of Georgia,
respectfully showeth.
] at. That they, with such other par
ties as may be hereafter associated with
them, desire to be incorporated and
made a body corporate and politic, lor
the full end and term of twenty (20)
years, with the privilege of renewal at
the expiration of that, time, under the
style and name of Hi-RING’CREEK Naval
Store Company.
2nd. The object of said company is
the mutual gain and profit to its stock
holders, aud to obtain this end they de
sire;
(a) To engage in and carry oh the
business of producers and manufactur
ers of naval stores; to engage in and
pursue the handling of turpentine, resin,
rosin, and all kinds of naval stores, that
is buying and selling outright, to buy
and sell on commission or consignment,
or to handle in any manner which they
may deem necessary and proper.
(hi To acquire any crude, residuent
or bv-.roduct materials containing resin,
rosin, turpentine, pitch, tar, or other
like materials or substances by any pro
cess of manufacture or com bination they
may devise, into commercial products,
and dispose of the same for ahy use for
which it may he manufactured; to man
ufacture turpentine, charcoal, cr-osote,
and each ami every pioduct that may be
manufactured or extracted by any pro
cess whatever from pine wood, pine
stumps, pine knots, pine roots or pine
trees, and to sell tbe same.
(o) To build, equip, and operate, kilns,
stills, retorts, tram roads, railroads and
t^ich other properties as may be neces
sary or desirable in the manufacturing
and marketing turpentine, resin, rosin
tar, charcoal, creosote, bi-products and
naval stores of all kinds; to construct,
build, own, and operate barges, flat
boats, tug boats, and steam hosts, rolling
stock for the transportation and tank
cars;
(d) To deal in real estate, to buy,
own, rent, lease, farm, lease and farm-
let, sell, aud otherwise handle or dis
pose of real estate of every dhcription;
and to do and perform all other acts
which individuals might or could do in
the buying, owning, selling, or handling
personal property of all kinds; and to do
all other things or acts in connection
with realty or personalty.
(e) To conduct, and operate for profit,
stores, commissaries, and other places
for the sale of merchandise of every die
criptiou; buying and selliug for casli or
t, all <
on credit, all of such articles as may be
profitably handled and sold in connection
with snid business, dealing in fertilizers,
buggies, wagi us, horses, mules, cattle,
hogs, and snub other things of like char
acter.
(f) To act as agent, or special agent,
for all persons or companies, iu buying
or selling any articles connected with the
morcantilejor turpentine and naval stores
business; to make contracts to act as
such agents, and to exercise the usual
powers, aud to do all usual, necessary,
and proper acts, which pertain to or may
be conuected with the mercantile or tur-
pentiue and naval stores business.
(g) To borrow, and loan, money; to
lease, sell, and mortgage, or encumber
in Buy way or manner, real estate and
persoual pioperty; and to do all other
acts and thiugs necessary for the fur
therance of their business.
3rd. They show that the principal of-
floe of said company shall be located at
Uriusou, Decatur county, Georgia, but
they desire the right to establish and
maintain,or discontinue offices, brunches,
Agencies, and yards, at such other places
as the business of said company may de
mand,
4th. The capital stuck of said com
pany shall be seventy-live thousand dol
lars ($75,000 00) authorized, divided into
seventy-live (75) shares of one thousand
dollars ($1,000.00) each, sixty thousand
dollars ($00,000.00) of which has been
fully paid in. They desire the right to
increase the capital stock by a vote of
two-thirda (}) of the stock issued to nil
amount not exceeding one hundred
and twenty thousand dollars ($120,000.00)
when it may be deemed necessary, dur
ing the term ol this incorporation.
6th.
No stockholder in said corpora
tion shall be hound iu his individual ca
pacity for the debts or contracts of said
corporation beyond tbe amount of his
unpaid subscription to its capital stock.

and be impleaded, in any court ot law
and equity, aud to do all other acts which
individuals
shall be necessary to constitute a quo
rum. All officers shall hold over until
tbeir successors are elected and quali
fied.
10th. On failure to hold an annual
meeting any two stockholders my call a
meeting by giving thirty days notice by
advertisement in the newspaper known
as the official ergan of Decatur county,
Georgia.
Wherefore. Petitioners pray to be in
corporated and umde a body corporate,
under the style snd name of Spring
Greek Naval Store Company, with
such powers and jmvileges as are inci
dent to corporations of the same char
acter and are as allowed by the laws of
said state and as may lie hereafter al
lowed by the same.

First. That they desire for themselves,
their associates, successors ami assigns to be
incorporated under the name and style of
the “Hainbridge Turpentine and Pine Prod
uct Company” for tlie term of twenty years,

secretary and treasurer. The office of

son. There shall also be a board of di
rectors, the number of which shall be
prescribed by the by-laws, elected au-
uually by a majority vote of the stock
represented at such meeting, ail stock
certificates shall be signed bv the presi
dent (or vice president) aud secretary.
9th. There shall beauauinud meeting
held at such time as the by-laws shall
prescribe, at which the directors shall be
elected, and a majority of the directors
shall elect the officers of said corpora
tion. A majority of the stock issued

Fifth. Petitioners pray that they be

they be grunted the right and power to have
a common seal aud use the same.
Seventh. Wherefore your petitioner pray
that they be incorporated under the name
and style and for the purposes aforesaid,
and shat they be granted each and ull of
they be untitled to all tbe rights, privileges
aud immunities allowed by law; and your
petitioners will ever pray.
