Crawford, Kitchen Sc Co., composed of
W. L. Crawford, O. D. Hitching and F.
S. Shingler, has this day mutually dis
solved. O. D. Hitching and S. F. Shing
ler haying bought the entire interest of
W. L. Crawford in the said firm, Hitch
ing and Shingler assuming all liabilities
and will receive all amounts due said
firm. Shall be conducted m the future
under the style and firm name ot Hitch
ing Sc Shingler, of Donaldsonville, Ga.,

Petition for Charter.
GEORGIA—Decatur County:
lo the Superior Court of said county:
The petition of G. J. Pope, and J. K.
Joice. of the county of Cook and State
of Illinois, and J. A. McIntosh and H. M.
Graham, of the county of Decatur and
State of Georgia, respectfully showeth,
First. That they, with such other
parties as may be hereafter associated
with them, desire to be incorporated
and made a body corporate and politic,
for the full end ana term of twenty
(30) years, with the privilege of renewal
at the expiration of that time, under the
style and nameof WAINHURST RAIL
WAY.
Second. The object of said company
is the mutual gain and profit to its
stockholders, and to obtain this end they
desire.
a. To construct, build, own and op
erate a standard guage railroad from
Brinson, in Decatur county, State of
Georgia, in a southwesterly direction for
a distance of twenty miles, for the pur
pose of hauling logs, lumber, uaval
stores, farm products, merchandise,
wood, etc.; to buy, own, lease, sell, use
and operate locomotives, tram and rail
road engines, rolling stock and tank oars
on the same; to build, construct, and
project tram roads and railroads contig
uous to, and in connection therewith,
and for the purpose of furthering, facili
tating, and more readily and easily car
rying on the aforesaid ousiness of haul
ing logs, lumber, naval stores, farm pro
ducts, merchandise, wood, etc., as pro
posed; and to charge therefor and to
make special contrrots for such charges,
in each instance, and for no other pur
pose.
b. To borrow, and loan money; to
buy, own, rent, lease, farm-let, sell and
otherwise handle or dispose of realty and
personalty of every description; to mort
gage of encumber in any manner, real
and pergonal property; and to do all
other acts and things necessary for 1 he
furtherance of their business.
Third. They show that the principal
office ot said company shall be located
at Brinson, Decatur county, Georgia, but
they desire the right to establish and
maintain offices at such other places as
the business of said company shall de
mand.
Fourth. The capital stock of said
company shall be fifty thousand dollars
(150,000.00), divided into five hundred
(500) share of one hundred ($100.00) dol
lars each, fifty thousand dollars ($50,000)
of which has been fully paid in. They
desire they right to increase the capital
stock by a vote of two-thirds (3-3) of the
stock issued to an amount not exceeding
ons hundred thousand dollars, when it
may be deemed necessary, during the
term of this incorporation.
Fifth. No stockholder in said corpo
ration shall be bound in his individual
capacity for the debts or contracts of
raid corporation, beyond the amouut of
his unpaid subscription to its capital
stock.
Sixth. They desire to have and use a
common seal, and in the name of the
corporation, to sue and be sued, plead
and be impleaded, in any court of law
or equity, they desire the right to make
contracts, borrow and lend money, and
create such evidences of lebt as the cor
poration may desire, and to secure the
same by mortgage-deed, trust-deed, deed
to secure debt, or other instruments, in
writing, upon its property.
Seyenth. They desire the right to
make all proper rules and by -laws, and
to alter the same at pleasure, and to
create and elect such officers and direc
tors as they see fit and proper.
Eighth. The officers of said corpora
tion shall be a president, a yice.presi
dent, a secretary and a treasurer. The
office of secretary and treasurer may be
consolidated and held by one and the
same person. There shall also be a
board of directors, the number of which
shall be prescribed by the by-laws, and
elected annually by a majority vote of
the stock represented at such meeting.
All stock certificates snail be signed by
the president, or vice-president and sec
retary.
Ninth. There shall be an annual
meeting held at such tiiue as the by-laws
shall prescribe, at which 'he .directors
shall be elected, and a majority of the
directors shall elect the oiheers of said
corporation. A majority of the . stock
issued snail be necessary to constitute a
quorum. All officers shall hold oyer un
til their successors are elected and qual
ified. j .
Tenth. On failure to hold an annual
meeting any two stockholders may call
a meeting by giving thirty days notice
oy adyertisament in the newspaper
known as the official organ of Decatur
county. , ...
Wherefore, petitioners pray to be m-
coiporated and made a body corporate,
under the style and name ot WAIN
HURST RAILWAY, with such powers
and privileges are incident to corpora
tions of the same character, and as are
allowed by the laws of said State, and
conferred bv the Superior Courts there
of and as may bo hereafter allowed by
