Petition for Charter.
GEORGIA—Decatur County.
To the Superior Court of Mid County:
The petition of J. K. Joice, of the
county of Cook and state of Illinois, and
fl. M.Grahara. and M. E. O’Neal, of the
county of Decattu, and state of Georgia,
respectfully showeth.
1st. That they, with such .other par
ties as may be hereafter associated wit h
them, desire to be incorporated and
made a body corporate and politic, !or
the full end and term of twenty (20)
years, with the privilege of renewal at
the expiration of that time, under the
style and name of Sprinq’Creek Naval
Stoke Company.
2nd. The object of said company is
the mutual gain and profit to its stock
holders, and to obtain this end they de
sire ; *
(a) To engage in and carry on the
business of producers and manufactur
ers of naval stores; to engage in and
pursue the handling of turpentine, resin,
rosin, ami all kinds of naval stores, that
is buying and selling outright, to buy |
and sell on commission or consignment,
or to handle in any manner which they
may deem necessary and proper.
(b) To acquire any crude, residueut
or bv-product materials containing resin,
rosin, turpentine, pitch, tar, or other
like materials or substances by any pro
cess of manufacture or combination they
may devise, into commercial products,
and dispose of the same for any use for
which it may he manufactured; to man
ufacture t'upentiue, charcoal, creosote,
and each anti every ptoduct that may be
manufactured or extracted by any pro
cess whatever from pine wood, pine
stumps, pine knots, pine roots or pine
trees, and to sell the same,
(o) To build, equip, and operate, kilns,
stills, retorts, tram roads, railroads and
such other properties as may he neces
sary or desirable in the manufacturing
and marketing turpentine, resin, rosin,
tar. charcoal, creosote, bi-products and
uaval stores of all kinds; to construct,
build, own, and operate barges, Hat
boats, tug boats, and steam boats, rolling
stock for the transportation and tank
cars;
(dj To deal in real estate, to buy,
own, rent, lease, farm, lease and farm-
let, sell, and otherwise handle or dis
pose of real estate of every ditcription;
and to do and perform ail other acts
which individuals might or could do in
the buying, owniug, selling, or handling
personal property of all kinds; and to do
all other things or acta ta connection
with realty or personalty.
(e) To conduct, and operate for protit,
stores, commissaries, and other places
for the sale of merchandise of every dis-
uription; buying and selling for cash or
on credit, all of such articles as may be
profitably handled and sold in connection
with said business, dealing in fertilizers,
buggies, wagi ns, horses, mules, cattle,
hogs, and such other things of like char
acter.
(f) To act as agent, or special agent,
for all persons or companies, in buying
or selling any ai tides connected with the
mercanlile|or turpentine and naval stores
business; to make contracts to act as
such ageuts, and to exercise the usual
powers, and to do .all usual, uecessarv,
aud proper acts, which pertaiu to otmay
be connected with the mercantile or tur
pentine and naval stores business.
(gj To borrow, and loan, money; to
lease, sell, and mortgage, or encumber
in any way or manner, real estate and
personal property; and to do all other
acts and things necessary for the fur
therance of their business.
3rd. l hey show that the principal of-
lice of said compuuy shall be located at
Brinson, Decatur county, Georgia, but
they desire the right to establish and
maintain,or discontinue offices, branches,
agencies and yards, at such other places
as the business of said company may de
mand.
4th. The capital slock of said com
pany shall he seventy-five thousand dol
lars ($75,000 00) authorized, divided into
seventy-five (15) shires of one thousand
dollars ($1,000.00) each, sixty thousand
dollars (#00,000.00) of which has been
fully paid in. They desire the l ight to
lucrense the capital stock by a vote of
two-thirds (|) of the stock issued to an
amount not exceeding one hundred
aud twenty thousand dollars (*120,C00.00)
when it may he deetued necessary, dur
ing the term ot this incoiporation.
5th. No stock holder in said corpora
tion shall be bound m his individual ca
pacity for the debts or contracts of said
ct rpuration beyond the amount of his
unpaid subscription to its capital stock.
0th. They desire to have and use a
cowmen seal, and.in tne name of the
corporation, to sue and be sued, plead
and be impleaded, in any cou-t ot law
and equity, and to do all other acts which
individuals might legally no. They de
sire the right to make contracts, borrow
money, lend money, and create such
evidences of debt as the corporation
may desire, and to secure the same by
mortgage deed, trust deed, deed to se-
oure debt, or other instruments, in writ
ing, upon its property and branches.
7th. They oesire the right to make all
proper rules, and by-law-, and alter the
same at pleasure, and to create and elect
such officers, directors, and ageiicies as
they see fit.
titb. The officers of said corporation
shall be a president a vice-president, a
secretary and treasurer. The '-flice of
secretary aud treasurer may be consoli
dated aud held by one aud the same per
son. There shall also be a board of di
rectors, the number of which shall he
prescribed by the by-laws, elected an
nually by a majority vote of the stock
represented at such meeting. All stock
certificates shall be signed bv the presi
dent (or vice president) aud secretary.
9tb. There shall be an annual meeting
held at such time as the by-laws shaU
prescribe, at wbich the directors shall be
elected, and a majority of the directors
shall elect the officers of said corpora
tion. A majority of the stock issued
•ball be neoessarv to constitute a quo
rum. AU officers shall bold over until
their successors are elected and quali
fied.
10th. On failure to hold an annual
meeting anv two stockholders my call a
meeting by giving thirty days notice by
advertisement in the newspaper known
as the official organ of' Decatur county,
Georgia. .
Wherefore. Petitioners pray to be in
corporated and made a body corporate,
under the style and name of SPRING
Creek Naval Store Company, with
such powers and privileges as are inci
dent to corporations of the same char
acter and are as allowed by the laws ef
said state and as may be hereafter al
lowed by the same.
