Petition for Charter.
GEORGIA—Decatur County:
To the Superior Court of said county:
The petition of G. J. Pope, and J. K.
Joioe. of the county of Cook and State
of Illinois, and J. A. McIntosh and H. M.
Graham, of the oounty of Decatur and
Stats of Georgia, respectfully showeth.
First That they, with such other
parties as may be hereafter associated
with them, desire to be incorporated
aud made a body corporate and politic,
for the full eud aud term of twenty
(30) years, with the privilege of renewal
at the expiration of that time, under the
style and narocof W AjNtUJKST RAIL*
WAY.
Second. The object of said company
is the mutual gain and profit to its
stockholders, and to obtain this end they
desire.
To construct, build, own and op
erate a standard guage railroad from
Brinson, in Decatur county, State of
Georgia, in a southwesterly direction for
a distance of twenty mites, for the pur
pose of hauling logs, lumber, uaval
stores, farm products, merchandise,
wood, etc.; to buy, own, lease, sell, use
and operate looomotives, tram and rail
road engines, rolling stook and tank oars
on the same; to build, construct, and
project tram roads and railroads contig
uous to, and in connection therewith,
and for the purpose of furthering, facili
tating, end more readily and easily car
rying on the aforesaid Dusiness of haul
ing logs, lumber, naval stores, farm pro
ducts, merchandise, wood, eto., as pro
posed; and to charge therefor ana to
make special contrrcts for such oharges,
iu each instance, and for no other pur
pose.
b. To borrow, and loan money; to
buy, own, rent, lease, farm-let, sell and
otherwise handle or dispose of realty and
personalty of every description; to mort
gage or encumber in any manner, real
and personal property; and to do all
other acts and things necessary for I he
furtherance of their business-
Third. They show that the principal
office ot said company shall be located
at Brinson, Decatur county, Georgia, but
they desire the. right to establish and
maintaia offices at such other plaees as

Fourth. The capital stook of said

($50,000.00), divided into five hundred
(500/) share of one hundred ($100.00) dol
lars each, fifty thousand dollars ($50,000)
of which has been .fully paid in. They

stook by a vote of two-thirds (3-8) of the
stook issued to au amount not exceeding
onu hundred thousand dollars, when it
may be deemed necessary, during the
termcf this incorporation.
Fifth'. No stockholder in said corpo
ration shall be bound in his individual
capacity for the debts or contracts of
said corporation, beyond the amount of
his unpaid subscription to its capital
stook.
Sixth. They desire to have aad use a
common seal, and in the name of the
corporation, to sue and be sued, plead
and be impleaded, in any court of law
or equity, they desire the right to make
contracts, borrow and lend money, and
create suoh .evidences of debt ae the cor
poration may desire, and to eeoure the
same by mortgage-deed, trust-deed, deed
to securedebt, or other instruments, in
writing, upon its property.
Seventh. They desire the right to
make all proper rulee and by -laws, and
to alter the-same at pleasure, and to
create and elect suoh offieers and direc
tors as they see fit and proper.
Eighth. The officers of said corpora
tion shall be a president, a vice-presi
dent, a secretary and a treasurer. The
office of secretary and treasurer may be
coneolidatad and held by one and the
same person. There shall also be a
board of directors, the number of which
shall be prescribed by the by-laws, and
elected annually by a majority vote cf
the stock represented at Buch meeting.

the president, or vice-president and sec
retary.
Nil,th. There shall be an annual
meeting held at such time as the by-laws
shall prescribe, at which ’ he directors
shall be elected, and a majority of the
directors shall elect the officers of said
corporation. A majority of the stock
issued snail be necessary to constitute a
quorum. All officers shall hold oyer un
til their successors are elected and qual
ified.
Tenth. Ou failure to hold au annual
meeting any two stockholders may call
a meeting by giving thirty days notice
dy advertisement in the newspaper
known as the official organ of Decatur
county.
Wherefore, petitioners pra • to be in
corporated ana made a body corporate
under the style and name of WAIN-
HURST RAILWAY, with such powers
and privileges are incident to corpora
tions of the same character, and as are
allowed by the laws of said State, and
conferred by tbe Superior Courts there
of, and as may be hereafter allowed by
the same.
