Petition for Charter.
GEOKGI a - Decatur County.
To the Superior Court of slid County:
The petition of J. K. Joice, of the
county of Cook and state of Illinois, and
H. M. Graham, and M. E. O'Neal, ol the
county of Decatm, and state of Georgia,
respectfully showeth,
1st, That they, with such other par-
ties as may be hereafter associated with
them, desire to be incorporated and
made a body corporate and politio, tor
the full eud and term of twenty (90)
years, with the privilege of renewal at
the expiration of that time, under the
style and name 6t fipHlNd’OBSBK Naval
Store Company.
Snd. The object of said company is
the mutual gain and protit to its stock
holders, and to obtai.i this end they de-
sirej v.
(a) To engage in «nd carry on the
business of producers and manufactur
ers of naval stores) to engage in and
pursue the bandliugof turpentine, resin,
rosin, and all kinds of naval stores, that
it buying and selling outright, to buy
and sell on commission or consignment,
or to handle in any manner which they
may deem necessary and proper.
(b) To acquire any crude, residuent
or by-product materials containing resin,
rosin, turpentine, pitch, tar, or other
like materials or substances by any pro
cess of manufacture or com bination they
may devise, into commercial products,
ana dispose of the same for any use for
wbieh it may be manufactured; to man
ufacture turpentine, charcoal, cr-osote,
and each and every pioduct that may be
manufactured or extracted by any pro
cess whatever from pine wood, pine
stumps, piue knots, pine roots or pine
tiees, and to sell the same.
(c) To build, equip, and operate, kilns,
stills, retorts, tram roads, railroads and
such other properties as may be neces
sary or desirable in the manufacturing
and marketing turpentine, resin, rosin
tar, charcoal, creosote, bi-products and
naval stores of all kinds) to construct,
build, owu, and operate barges, flat
Jwata, tug boats, and steam boats, rolling
stock for the transportation and tunk
cars;
(d) To deal in real estate, to buy,
own, rent, lease, farm, lease and farm-
let, sell, aud otherwise handle or dis
pose of real estate of every discription;
and to do and perform all other acts
which individuals might or could do in
the buying, owning, selling, or handling
personal property of all kinds) and to do
all other things or acts in connection
with realty or personalty.
(e) To conduct, and operate for profit,
stores, commissaries, aud other places
for the sale of merchandise of every die-
eription; buying and Belling for cash or
on credit, all of suoh articles as may be
profitably handled and sold in connection
with said business, dealing in fertilisers,
buggies, wagi ns, norses. mules, cattle,
hogs, and suoh other things of like char
acter.
(f) To aot as agent, or special agent,
for all perrons or companies, in buying
or selling any articles connected with the
meroantilejor turpentine and naval stores
business) to make contracts to aot as
such agents, and to exercise the usual
powers, and to do all usual, necessary,
and proper acts, which pertaiu to or may
be connected with the moroantile or tur
pentine and naval stores business.
(g) To borrow, and loan, monhy) to
lease, sell, and mortgage, or encumber
in any wuy or manner, real estate and
personal pioperty; and to do all other
acts and things necessary for the fur
therance of their business.
3rd. They show that the principal of
fice of said company shall be looated at
Brinson, Decatur county. Georgia, but
they desire the right to establish and
main tain, or discontinueoffioee, branches,
agencies and yards, at such other places
as the business of said company may de
mand.
4th. The capital stock of said com
pany shall he seventy-five thousand dol
lars (173,000 00) authorized, divided iuto
seventy-five (IS) shares of one thousand
dollars ($1,000.00) each, sixty thousand
dollars ($60,000.00) of which has been
fully paid in. They desire the right to
increase the capital stock by a vote of
two-thirds (f) of the stock is«ubd to an
amount not exceeding one hundred
and twenty thousand dollars ($120,000.00)
when it may he deemed necessary, dur
ing the term of this incorporation.
5th. No stockholder in said corpora
tion shall he bouud in his individual ca
pacity for the debts or contracts of said
corporation beyond the amount of his
unpaid subscription to its capital stock.
6th. They desire to have and use a
common seal, and.in the uame,of the
corporation, to sue and he sued, plead
and he impleaded, iu any court ot law
and equity, and to do all other acts which
individuals might legally do. They de
sire the right to tnaks contracts, borrow
money, lend money, and create such
evidences of debt as the corporation
may desire, and to secure the same by
mortgage deed, trust deed, deed to se
cure debt, or other instruments, iu writ
ing, upon its property and branches.
7th. They uesire the right, to make all
proper rules, and by-laws, and alter the
same at pleasure, and to create and elect
such officers, directors, and agencies as
thev see tit.
8th. The officers of said corporation
shall be a president, a vice-president, a
secretary and treasurer. The ''ffice of

10th. On failure to hold an annual
meeting any two stockholders my call a

Georgia.
Wherefore. Petitioners pray to be in
corporated and made a body corporate,
under the style and name of SPRING
Creek Naval Store Company, with
such powers and privileges as are inci
dent to corporations of the same char
