Joioe. of the county of Cook and State
of Illinois, and J. A. McIntosh and H. M.
Graham, of the county of Decatur and
State of Georgia, respectfully showeth.
First That they, with such other
parties as may be hereafter associated
with them, desire to be incorporated
and made a bodv corporate and politio.

Second. The object of said company
is the mutual gain and profit to its
stockholders, and to obtain this end they

Georgia, in a southwesterly direction for
a distance of twenty miles, for the pur
pose of hauling logs, lumber, naval
stores, farm products, merchandise,

and operate locomotives, tram and rail
road engines, rolling stock and tank cars
on the same; to build, construct, and
project tram roads and railroads contig

Sixth. They desire to have and use a
common seal, and in the name of the
corporation, to sue aud be sued, plead
and be impleaded, iu any court of law
or equity, they desire the right to make
contracts, borrow and lend money, and
create such evidences of debt as tbe cor
poration may desire, and to secure the
same by mortgage-deed, trust-deed, deed
to secure debt, or other instruments, in
-writing, upon its property.
Seyonth. They desire the right to
make-all proper rules and by-laws, and
to alter the same at pleasure, and to
create and elect such officers and direc
tors as tr.ey see tit aud proper.
Eighth. The officers of said corpora
tion Hh9.ll be a president, a . vice-presi
dent, a secretary aud a treasurer. The
office of secretary aud treasurer may be_
cousolidatad and held by one aud the
same person. There shall also be a
board of directors, the number of which
shali be prescribed by the by-laws, and
elected annually by a majority vote of
the stock represented at such meeting.
All stock certificates snail be signed by
the president, or yice-president and sec
retary.
Ninth. There shall be an annual
meeting held at such time as the by-laws
shall prescribe, at which he directors
shall be elected, and a majority of the
directors shall elect the officers oh said
corporation. A majority of the . stock
issued snaii be necessary to constitute a
quorum. All officers shall hold oyer un
til their successors are elected and qual
ified.
Tenth. On failure to hold an annual
meeting any two stockholders may call
a meeting by giying thirty days notice
oy adyertisament in the newspaper
known as the official organ of Decatur
county.
W herefore, petitioners ora ■ to be m -
coipovated and made a body corporate,
under the style and name of WAIN-
HURST RAILWAY, with such powers
and privileges are incident to corpora
tions of the same character, and as are
allowed by the laws of said .State, and
conferred by the Superior Courts there
of, and as may be hereafter allowed by
