To the Honorable Walter I. Geer,
Judge of the Superior Colurt of
said County:
Comes now, Annette F. Spooner,
John I. Spooner, Jr., and Beryl S.
Broome hereinafter called the Ap
plicants, and bring this application
for. the granting of a charter for
private corporation, and show to
the court the following facts:
ONE
They desire for themselves, their
associates and successors, to be in
corporated under the name of
SELDOM-'REST FARMS, INC.
The principal office and place of
business of said corporation shall
be located in Donalsonville, Semi
nole County, Georgia, with the
privilege of establishing branch
offices and places of business in
such other places as may be deter
mined.

The applicants show that their
residence and post office addresses
are as shown below:

THREE
The purpose and object of said
corporation is pecuniary gain and
profit to its shareholders. The
general nature of the business to
be transacted and the corporate
powers desired are:
(a) To buy, raise, produce, and
sell and otherwise deal in any and
all kinds of farm, poultry, live
stock, or dairy products, and gener
ally of owning and disposing of all
necessary tools, machinery, equip
ment, feed, and supplies necessary
to conduct such a business; with
the right of contracting and pur
chasing franchises and licenses for
the use of trade names, trade
marks, patents, and copyrights,
and for the use of different pro
cesses in carrying on the business
es herein indicated and to do any
and all acts and things necessary,
convenient, expedient, and ansilarj
or in aid, either direct or indirect
to the accomplishment of the fore
going.
(b) To have all of the powers
and enjoy all of the privileges enu
merated in Section 22-1827 and 22-
1870 of the Code of Georgia and
all of the other powers and privil
eges enumerated in Chapter 22-18
and 22-19 of said Code and all o
the powers and privileges enumer
ated herein are made a part hereo
to the same extent as if the same
were quoted herein, .
And to engage I in such other
business ventures as may be use
or disirable for the accomplish
ment and general nature o e
purposes of this corporation.
FOUR
The time for which said c^°' a ‘
tion is to have existence is Thirty-:
Five (35) years.
FIVE ; ' 1 _
The amount of; capital wit
which the corporation will begin
business shall be Eighty Thousand
Dollars ($80,000) in property,
and other assets.
SIX
The amount of capital stock
with which the said company s a
begin business, shall be divided in
to eighty (80) shares of eommo
stock of the face or par value of
One Thousand Dollars ($1,000) pe.
The holders of the common stock
shall control the corporation. The
rights of the holders of all classes
of stock shall be defined and set
forth in the by-laws to be adopted
by the corporation at its firs,
meeting held for organization.
Applicants desire th? privilege
of increasing the capital stock o
said corporation from eighty (80)
shares to one hundred fifty (150)
' shares of common stock of a par
value of One Thousand Dollars
($1,000) per share, and by a ma
jority of the vote of the stock out
standing at the time of a meeting
duly caused for that purpose,. the,
voting rights of the shareholders
can be as thereinafter defined.
SEVEN
Attached hereto is a certificate
from the Secretary of the State of
i Georgia certifying that the name
of this corporation is not the name
of any other corporation in this
State.
WHEREFORE, applicants pray
j that they be incorporated under the
name and style aforesaid,- with all
the fights and privileges herein
after set out, and such additional
powers and privileges as may be
necessary, proper or incident to
the conduct of the business for
which applicants are asking incor
poration, and as may be allowed
like corporations under the laws
of this State as they now or may
hereinafter exist.

contest would be broken down
