APPLICATION FOR CHARTER.
Georgia, Burke County.—To the Su
perior Court of said county: The
petition of J. M. Byne, J. H. White
head, E. H. Blount, N. S. Kendrick, R.
A. Bell, P. W. Thompson, an dR. E.
Fulcher, all of said state and county
respectfully shows:
1. That they desire for themselves,
their associates and successors to be
incorporated and made a body poli
tic under the name and style of “The
Waynesboro Gin Company” for the
period of twenty years.
2. The principal office and place of
business of said company shall be in
the city of Waynesboro, Burke Coun
ty Georgia, but petitioners desire the
right to establish branch offices with
in this state or elsewhere, whenever
the holders of a majority of the stock
may so determine.
3. The object of said corporation is
pecuniary gain to itself and its share
holders.
4. The business to be carried on by
said corporation is to gin cotton, and
to have the further right to buy, and
sell cotton, cotton seed and cotton
seed products, fertilizer, and the buy
ing selling and mixing of material for
fertilizer, and the further right to buy
and sell coal and anjr other fuel. Also
the right to buy and sell bagging,
ties, sacks and burlaps.
5. Petitioners also desire the right
to purchase or rent such real estate
as will be necessary for the carrying
on of said business.
6. The capital stock of said corpo
ration shall be twenty-five thousand
($25,000.00) Dollars with the privilege
of increasing same to the sum of fifty
thousand ($50,000.00) dollars by a ma
jority vote of the stockholders, said

7. Petitioners desire the right to
have the subscriptions to said capi
tal stock paid in money.
8. Petitioners desire the right to
isue and be sued, to plead and be im
'pleaded, to have and to use a common
seal, to make all necessary by-laws
and regulations, and to do all
other things that may be necessary
for the successful carrying on of said
business including the right to buy,
hold, rent and sell real estate and per
sonal property suitable to the pur
poses of the corporation, and to ex
ecute notes and bonds as evidence of
indebtedness incurred, or to be in
curred, in the conduct of the affairs
of the corporation, and to secure the
same by mortgage, security deed or
other form of lien under existing laws
9. They desire for the said corporation
the power, privilege and authority to
apply for and to accept amendments to
its charter of either form or sub
stance by a vote of a majority of its
stock outstanding at the time. They
also have authority for said corpora
tion to wind up its affairs, liquidate
and discontinue its business at any
time it may determine to do so by a
vote of two-thirds of its stock out
standing at the time.
10. They desire for the said corpo
action the right of renewal when
and as .provided by the laws of the
state of Ga., and that it have all such
other rights powers and privileges
and immunities as are incident to like
corporation or permissable under
the laws of Georgia.
