The petition of F. O. Whitehead,
W. T. Thurmond and T. M. Wilbanks
all of said county, respectively shows:

That they desire for themselves,
their associates successors and as
gigns, to be incorporated as a private
corporation under the name and
style of Rebecca Lumber Company,
for a period of twenty years, with
privileges of renewal at the expira
tion of that time.
—2nd,—
That the object of said corporation
is pecuniary gain and profit for the
stockholders thereof, and its princi
pal place of business shall be at
Thurmond, in said county, but peti
tioners desive the privilege of estab
lishing and operating branchee of
gaid business at such other places as
may be deemed best.

That the Capital Stock of said cor
porations shall be Sixty Thousand
($60,000,00) dollars, divided into six
hundred (600) shares of the par val
ue of one hundred ($lOO.OO dollars
each; bat petitioners desire the right
to increase said capital stock at any
regular stock holders meeting to any
amount not exceeding one hun
dred thousand($100,000.00) dollars,
2nd likewise to decrease said capital
stock to any amount not less than
gixty thousand ($60,000.00) dollars.

per cent of the said capital stock has
already been paid in.

poration is as follows:
To do a general saw-mill and lumber
business and for that purpose to estab
lish or acquire, maintain and operate
saw-mills, plaining-mills, shingle and
lath-mills, dry-kilns and other ma
chinery as may be necessary or con
venient for the carrying on of the

to manufacture and sell for cash or
on credit all kinds of lumber and
other building materials; to purchase
improve, own hold and convey
real estate of every kind including
timber and timber lands; to estab

both, all kinds of goods, wares, and
merchandise; to buiid, maintain and
operate all such tram roads or rail
roads as may be necessary or con

ing on the business of the corpora
tion; and generally to do and perform
every act and thing which may be
necessary or convenient for the car
rying on of the business of the cor
poration to the best interests of the
Stock holders thereof.

ed and invested with all the powers
and privileges usual and incident to
Corporations in general, and in ad
dition thereto the following powers

use a corporate seal; to elect a presi
dent, Vice Presidenf, Secretary,
Treasurer and Board of Directors
and such other officers as may be
deemed expedient, and to prescribe
their powers and duties; to make and
adopt a Constitution and By-laws for
the goyernment and direction of the
business of the corporation and the
officers thereof; to lend or borrow
money, and to issue bonds, notes or
other negotiable evidences of debt,
and to secure the same by mortgage,
pledge, trust-deed or otherwise, and
to provide for the payment thereof;
to sell lumber, building materials,
goods, wares and merchandise on
credit and to take mortgages or other
evidences of debt, or any kind of col
lateral whatever, to secure payment
of the purchase price of the same; to
remove at any time, by a majority
vote of the Stock-holders, any of
the officers of the said Corporation.
